§ 5 (3) of the Programme Terms and<br />
Conditions of the Notes will be amended<br />
with the words “or interest” as follows:<br />
If any payment of principal or interest with<br />
respect to a Note is to be effected on a day<br />
other than a Payment Business Day,<br />
payment shall be effected on the next<br />
following Payment Business Day. In this<br />
case, the relevant Noteholders shall neither<br />
be entitled to any payment claim nor to any<br />
interest claim or other compensation with<br />
respect to such delay. In this Paragraph (3)<br />
"Payment Business Day" means each day<br />
on which the Trans-European Automated<br />
Real-Time Gross settlement Express<br />
Transfer System (TARGET-System) and the<br />
Clearing-System settle payments in Euro.<br />
