In accordance with Art. 21 of the Articles of Incorporation and under the terms of<br />
Art. 762 of the Swiss Code of Obligations (SCO), the Canton of Berne is entitled to a<br />
maximum of two seats on the Board of Directors. Currently, State Councillors Barbara<br />
Egger-Jenzer and Urs Gasche sit on the Board of Directors as delegates of the Canton<br />
of Berne.<br />
The following is a summary of the main tasks, Board mandates and representation<br />
offi ces held by Board members.<br />
Fritz Kilchenmann, Doctor of Law, advocate, has been Chairman of the Board since<br />
1994. He runs his own fi rm of solicitors in Berne and represents <strong>BKW</strong> on the board of<br />
various affi liated <strong>BKW</strong> companies. Before opening his own fi rm of solicitors, he was<br />
legal advisor and Secretary to the <strong>BKW</strong> Board of Directors. He legally represents only<br />
the <strong>BKW</strong> Group.<br />
Hans Lauri, Doctor of Law, advocate, has been Vice Chairman of the Board since<br />
1994. Until 2002 he was Financial Director of the Canton of Berne, during which time<br />
he represented the canton of Berne on the <strong>BKW</strong> Board of Directors. In 2002 Dr Hans<br />
Lauri was elected to the Board of Directors at the <strong>Annual</strong> General Meeting. He runs<br />
his own consultancy in Münsingen and, among other things, is Chairman of the Board<br />
of BLS Lötschbergbahn AG as well as member of the Board of Directors of Basler &<br />
Hofmann Ingenieure und Planer AG. He is also the parliamentary representative of the<br />
Canton of Berne in the Council of States.<br />
Walter Balmer is a farmer and runs his own farm in Mühleberg as well as being<br />
a member of the Canton of Berne parliament. He is also Chairman of the Board<br />
of Directors of Lobag, a member of the Swiss Farmers’ Association Chamber of<br />
Agriculture, and President of the Canton of Berne Association of Home Owners.<br />
Barbara Egger-Jenzer is an advocate and a State Councillor, in which function she<br />
acts as Director of Construction, Transport and <strong>Energy</strong> for the Canton of Berne State<br />
Council. She is also a member of the Board of Directors of BLS Lötschbergbahn AG<br />
and Alpar AG. Prior to her appointment she worked as an independent lawyer.<br />
Urs Gasche is an advocate and a State Councillor, in which function he acts as<br />
Director of Finance for the Canton of Berne. Prior to his appointment he worked as an<br />
independent partner in a fi rm of solicitors.<br />
Frédéric Graf is a retired secondary school teacher.<br />
Hans-Dieter Harig, Doctor of Engineering, is a mechanical engineer who has been<br />
retired since <strong>2003</strong>. Prior to his retirement he was Chairman of the Board of E.ON<br />
Energie AG. Now he is a member of the Board of E.ON Energie AG and represents<br />
E.ON Energie AG on the boards of various subsidiaries of E.ON Energie AG, Sydkraft<br />
AB, Ruhrgas AG and EWE AG.<br />
Francis Jeannottat is a heating engineer by profession. He is energy delegate for the<br />
Canton of Jura and a director of Energie du Jura SA.<br />
Peter Kappeler holds a degree in engineering from the Federal Institute of Technology<br />
and an MBA. He has been Chairman of the Executive Board of the Cantonal Bank of<br />
Berne since <strong>2003</strong>. Prior to this he was CEO of the Cantonal Bank of Berne. He is also<br />
a member of various boards (Cendres & Métaux SA, Schweizerische Mobiliar Holding<br />
