On 1st July <strong>1999</strong> the company's prospectus to issue ordinary shares to the public was approved by the Australian<br />

Securities and Investment Commission. The company undertook a public offer of shares from 5th July through to<br />

23rd July under this prospectus. In late July the company received permission to list its shares on the Australian Stock<br />

Exchange (ASX). On 4th August, shares in Protel International Limited were first quoted on the ASX under the ticker<br />

symbol PRI. New shares issued raised $30,000,000 for the company to assist its growth and acquisition program and<br />

to expand working capital.<br />

Two convertible notes issued as consideration during technology acquisitions in September 1998 and April <strong>1999</strong>, and<br />

listed as current liabilities in the financial statements were converted to ordinary shares in the company and<br />

subsequently listed on the ASX.<br />

Options<br />

Options granted to employees under the Protel International Employee Share Option Scheme and to Macquarie<br />

Equity Capital Markets under the Underwriting agreement are considered to be potential ordinary shares and have<br />

been included in the determination of diluted earnings per share. The options have not been included in the<br />

determination of basic earnings per share. Details relating to the options are set out in notes 19 and 21.<br />

Convertible Notes<br />

Convertible notes issued during the year are considered to be potential ordinary shares and have been included in the<br />

determination of diluted earnings per share. The note has not been included in the determination of basic earnings per<br />

share. Details relating to the convertible note are set out in note 16.<br />

Preference Shares<br />

Preference shares issued during the year are considered to be potential ordinary shares and have been included in the<br />

determination of diluted earnings per share. The preference shares have not been included in the determination of<br />

basic earnings per share. Details relating to the preference shares are set out in note 16.<br />
