I. BACKGROUND<br />
In June 2005 GAHS (predecessor to <strong>SEHA</strong>) signed a contract with <strong>Cerner</strong> to implement <strong>Cerner</strong>’s<br />
Millennium Health Information Systems across all <strong>SEHA</strong> facilities in Abu Dhabi. The implementation is a<br />
single database, enterprise build with minimal deviation or facility specific configuration. On March 31,<br />
2010 <strong>SEHA</strong> signed an Enterprise Agreement with <strong>Cerner</strong> which includes, among other things, licenses for<br />
all applications in the <strong>Cerner</strong> Middle East catalogue.<br />
The Abu Dhabi Health Services Company, PJSC (<strong>SEHA</strong>) has implemented <strong>Cerner</strong>’s Health Information<br />
System (HIS) in the following facilities:<br />
Al Corniche Hospital;<br />
Al Ain Hospital;<br />
Al Rahba Hospital;<br />
Al Mafraq Hospital;<br />
Al Gharbia Medical Region;<br />
Tawam Hospital;<br />
Sheikh Khalifa Medical City (SKMC);<br />
22 Ambulatory Health Clinics (AHS)<br />
In addition <strong>SEHA</strong> is currently planning / implementing <strong>Cerner</strong> Millennium Health Information System<br />

II. DEFINITIONS AND TERMINOLOGIES<br />
For the purpose of this RFP, the terms below apply.<br />
"Government" means the Government of Abu Dhabi.<br />
“Contract” means the signed agreement between <strong>SEHA</strong> <strong>and</strong> the selected Vendor to perform<br />
activities in relation to this RFP.<br />
“<strong>SEHA</strong>” means Abu Dhabi Health Services Company, P.J.S.C..<br />

“Subject Matter Expert (SME)” – Person who is an “expert” in a particular software<br />
application <strong>and</strong>/or clinical practice area.<br />
"Project" means the work specified in this RFP.<br />
III. PURPOSE<br />
<strong>SEHA</strong> is seeking proposals from experienced vendors to assist in implementing a comprehensive training<br />
<strong>and</strong> adoption program to be used across all <strong>SEHA</strong> facilities. The program must maximize the investment<br />
<strong>SEHA</strong> has made in the HIS system <strong>and</strong> ensure consistency of use across all facilities.<br />
IV. SCOPE OF SERVICES/DELIVERABLES<br />
The selected vendor will be required to provide recommendations <strong>and</strong> deliver turnkey content within<br />
the following areas:<br />

A. Proposed Strategy<br />
a. Describe your proposed education <strong>and</strong> adoption strategy for a multiple hospital/clinic environment<br />
(single database).<br />
b. Describe how you will use multiple learning methods <strong>and</strong> technologies to create a cohesive <strong>SEHA</strong><br />
strategy.<br />
c. Provide detail on how your proposal will enhance end user adoption <strong>and</strong> satisfaction.<br />
d. Describe how the offering impacts or correlates to patient care <strong>and</strong> patient safety<br />
e. Describe how the proposed learning/adoption strategy optimizes the existing investments in the<br />
HIS system.<br />
f. Describe how the strategy impacts the optimization of coding <strong>and</strong> correlates to enhance revenue.<br />
B. Communication <strong>and</strong> Project Br<strong>and</strong>ing<br />
a. Describe how you would position or br<strong>and</strong> this offering as an enterprise learning initiative.<br />
b. How will you work with <strong>SEHA</strong> to build a project governance <strong>and</strong> escalation structure?<br />
c. How will you work with <strong>SEHA</strong> to build a communication strategy for leadership <strong>and</strong> staff?<br />
d. How will you work with <strong>SEHA</strong> to develop new policies that may be required to maximize our use of<br />
the <strong>Cerner</strong> applications?<br />
e. Describe the communication process in detail <strong>and</strong> the tools used to achieve affective<br />
communication.<br />
f. Describe how policies <strong>and</strong> procedures can be implemented <strong>and</strong> used within our Marketing <strong>and</strong><br />
Professional Development department.<br />

a. Explain your use of “simulator” technology or other methods that provide users with a true h<strong>and</strong>son<br />
experience.<br />
i. Emphasis should be placed on physician documentation, nursing documentation, CPOE,<br />
registration <strong>and</strong> scheduling<br />
b. Describe how you would develop reference materials customized to the <strong>SEHA</strong> <strong>Cerner</strong><br />
implementation.<br />
c. Detail how the proposed learning materials will look <strong>and</strong> work exactly like our live applications.<br />
d. Describe how the proposed materials, built for <strong>SEHA</strong>, will be specific to the roles within our<br />
organization (e.g. nurses, schedulers, physicians).<br />
e. Describe how the learning materials you build for <strong>SEHA</strong> will incorporate our specific workflows <strong>and</strong><br />
best practices.<br />
i. It’s important that your response focus on the modules listed in the Background Section<br />
Part A Sub-Section IV. Your response should include:<br />
Five physician workflows relative to CPOE, documentation <strong>and</strong> other common<br />
physician activities.<br />
Five nursing workflows relative to documentation <strong>and</strong> other common nursing<br />
activities.<br />

Two common scheduling workflows<br />
f. Does your technology include role plays, exercises <strong>and</strong> scenarios for end-user training?<br />
g. Does your technology provide for the ability to create WBT, CBT or video training or FAQs?<br />
h. Describe the st<strong>and</strong>ard learning method for “Trainers” conducting ‘Train the Trainers” courses,<br />
presentation skills <strong>and</strong> SME for Trainers.<br />
i. Describe how the training design can incorporate interfaces with other core systems, for example<br />
billing, coding <strong>and</strong> other medical devices.<br />
j. Do you have experience working in <strong>and</strong>/or developing training materials for customers in the<br />
Middle East?<br />
k. Can you develop learning materials (both written <strong>and</strong> audio) in languages other than English, for<br />
example Arabic?<br />
l. Describe your capabilities to create a system that allows for our own materials to be posted to a<br />
learning portal. This could include:<br />
a. PowerPoint presentations<br />
b. Workflow diagrams<br />
c. Policies <strong>and</strong> Procedures<br />
D. Learning Delivery Technology<br />
a. Describe your proposed concept of a “learning portal”.<br />
b. How will our users get on dem<strong>and</strong> <strong>and</strong> remote access to their learning materials?<br />
o Detail your logon security architecture<br />
c. Do you support single sign on (SSO) technologies?<br />
d. Explain how the proposed solution recognizes users by role for access to learning materials <strong>and</strong><br />
assigned curriculums.<br />
e. What is the “user experience” for accessing <strong>and</strong> using the learning materials?<br />
f. Describe your method of pre <strong>and</strong> post training assessment – are there any prerequisites such as<br />
windows skill, typing speed, English skills? If there are prerequisites do you offer training in these<br />
areas?<br />
g. Do you offer assistance with training logistics such as scheduling physicians <strong>and</strong> nurses, identifying<br />
training locations <strong>and</strong> availability?<br />

E. End User Support Strategy<br />
a. Describe your end user support structure.<br />

c. How will you work with our staff to become self-sufficient after the initial rollout?<br />
d. Do you provide go-live support for end users?<br />
e. How will you select/assign staff to conduct training at <strong>SEHA</strong>?<br />
f. How do you ensure your staff has the knowledge, experience <strong>and</strong>/or clinical background to deliver<br />
affective training programs at <strong>SEHA</strong>?<br />
g. Do you have a local presence within the UAE?<br />
G. Tracking Reporting <strong>and</strong> Measurement<br />
a. What tools do you propose for tracking such things as course completion data?<br />
b. How do you propose to measure improvement in employee proficiency?<br />
c. How will we know if employees have completed their learning <strong>and</strong> that they are able to<br />
successfully use the <strong>Cerner</strong> application within their job roles, i.e., competency testing?<br />
d. Do you provide Dashboard reporting?<br />
e. Can you report on courses completed by user?<br />
f. Can you report on courses not completed or past due by user?<br />
g. Can you roll up reports by various departments <strong>and</strong>/or organizations?<br />
h. Do you provide executive level reports that roll up summary data?<br />
i. Are you able to output reports or data that we can load into Oracle’s HR modules?<br />
j. Will you help <strong>SEHA</strong> acquire CEU’s or CME’s for users?<br />
k. Describe the end-users training feedback process.<br />
l. Describe the process of identifying training gaps.<br />
m. Describe how the user adoption will be tracked <strong>and</strong> monitored.<br />
o Can this be tie to user Performance appraisal system (Oracle)?<br />
n. Do you have a method to track no shows?<br />
o. Describe your method of retraining users <strong>and</strong> criteria for retraining users.<br />
F. Sustainability <strong>and</strong> Maintenance<br />
a. What is your commitment to maintain our learning materials as we get new product releases<br />
<strong>and</strong>/or change our workflows over the next five (5) years?<br />
b. What is your commitment to maintain the delivery mechanism (i.e., learning portal) for the<br />
learning materials?<br />
c. How do you address advanced learning (such as “master level” courses) for key employees as our<br />
knowledge <strong>and</strong> use of the system exp<strong>and</strong>?<br />
d. How will you help <strong>SEHA</strong> ensure we retain user proficiency over the next five (5) years?<br />
e. How will you maintain/update our Oracle ERP system for such things as:<br />
i. Assigning curriculums to new hires<br />
ii. Assigning new curriculums for users changing job roles<br />
iii. Deleting access for employees<br />
f. How do you h<strong>and</strong>le updates to your learning portal?<br />
g. What are the <strong>SEHA</strong> <strong>and</strong> facility resource commitments for maintaining <strong>and</strong> enhancing the live<br />
system?<br />

h. Describe your preferred method for controlling the training environment st<strong>and</strong>ards by site such as<br />

I. Award<br />
This project will be awarded through a formal contractual agreement. The agreement will be developed<br />
jointly by <strong>SEHA</strong> <strong>and</strong> the Vendor based on the scope described in the RFP, the bidder’s offer, <strong>and</strong> RFP’s<br />
terms <strong>and</strong> conditions. Each party shall assume responsibility for any legal fees incurred in the<br />
preparation of the agreement.<br />
(10% Performance Guarantee of the total award value to be submitted upon signing the contract with<br />
the awarded bidder)<br />
Bidders requesting advanced payments will be required to submit a bond of equal amount issued by a<br />
UAE Bank with one (1) year validity.<br />
A. <strong>Proposal</strong> Submission<br />
<strong>SEHA</strong> discourages overly lengthy <strong>and</strong> costly proposals; however, in order for <strong>SEHA</strong> to evaluate proposals<br />
fairly <strong>and</strong> completely, bidders must follow the format set out in this RFP <strong>and</strong> provide all requested<br />
information. Bidders should submit a sealed technical proposal containing one (1) original, four (4)<br />
copies, <strong>and</strong> one (1) electronic copy on a CD in Microsoft Word format; <strong>and</strong> a separate sealed cost<br />
proposal containing one (1) original <strong>and</strong> one (1) copy. The language of the proposal shall be English.<br />
B. Commercial <strong>Proposal</strong><br />
All costs <strong>and</strong> expenses incurred by the Bidder, whether direct or indirect, in relation to or in connection<br />
with the preparation, discussion <strong>and</strong>/or negotiation of the Offer or review of the RFP, including, without<br />
limitation, all costs <strong>and</strong> expenses associated with attending any clarification meetings <strong>and</strong> site visits,<br />
shall be borne by the Bidder.<br />
(5% Bid Bond of the total RFP value to be submitted as a Bank Guarantee, valid for 120 days)<br />
a. <strong>Proposal</strong> Preparation Costs<br />
Bidders are solely responsible for their own expenses in preparing proposals <strong>and</strong>/or for subsequent<br />
negotiations with <strong>SEHA</strong>, if any. If <strong>SEHA</strong> elects to reject all proposals, <strong>SEHA</strong> will not be liable to pay<br />
<strong>and</strong>/or reimburse any bidder for any claims, whether for costs or damages incurred by the Bidder with<br />
respect to the preparation, evaluation <strong>and</strong>/or submission of the proposal.<br />
C. Closing Date <strong>and</strong> time<br />
The proposal must be submitted by the closing date <strong>and</strong> time specified on the cover page of this RFP.<br />

D. Delivery of <strong>Proposal</strong>s<br />
All proposals must be delivered or mailed to the address specified on the cover page of the RFP.<br />
<strong>Proposal</strong>s sent by facsimile or e-mail or unsolicited proposals will not be accepted.<br />
E. Late <strong>Proposal</strong>s<br />
<strong>Proposal</strong>s will only be considered if they are received by the closing date <strong>and</strong> time as stated within the<br />
RFP. Late proposals will not be accepted <strong>and</strong> will be returned un-opened to Bidders.<br />
F. Irrevocability of <strong>Proposal</strong><br />
By submission of a clear <strong>and</strong> detailed written notice, the bidder may amend or withdraw its proposal<br />
prior to the closing date <strong>and</strong> time. However, upon the elapse of the closing date <strong>and</strong> time, all proposals<br />
become irrevocable. By submission of a proposal, the Bidder agrees that should his/her proposal be<br />
deemed successful, the Bidder will enter into a contract with <strong>SEHA</strong>.<br />
G. Validity of <strong>Proposal</strong><br />
<strong>Proposal</strong>s shall remain valid for a period of 120 calendar days from the RFP’s closing date.<br />
H. Currency <strong>and</strong> Taxes<br />
Prices quoted are to be in United Arab Emirate’s Dirham (AED) inclusive of tariffs <strong>and</strong>/or taxes, where<br />
applicable.<br />
II. <strong>SEHA</strong>’s Rights <strong>and</strong> Options<br />
<strong>SEHA</strong> expressly reserves the right to:<br />
A. Modify, amend, or substitute the RFP at any time.<br />
B. Cancel the RFP.<br />
C. Issue additional instructions or requests to prospective bidders.<br />
D. Conduct investigations about the qualifications <strong>and</strong> experience of responsive bidders.<br />
E. Request additional information from selected bidders if deemed necessary for the<br />
proposal evaluation or award selection. This may include asking bidders to present their<br />
proposals to <strong>SEHA</strong> Management.<br />
F. Waive any irregularities in received proposals.<br />
G. Discuss or negotiate with selected bidders proposal’s terms <strong>and</strong> conditions.<br />
H. Accept or reject any or all proposals, including awarding all or part of the required<br />
services without issuing further solicitations.<br />
I. Procure services specified in the RFP by any other means.<br />
J. Accept other than the lowest fee proposal <strong>and</strong> shall not be bound to give any reasons<br />
for non-acceptance of any proposal it may receive.<br />
K. Have <strong>and</strong> retain all copies of proposals or information submitted to support a proposal.<br />

L. Require the selected Bidder to participate in negotiations on the terms <strong>and</strong> conditions<br />
of a contract <strong>and</strong> to submit revisions, including price revisions that may result from such<br />
negotiations.<br />
M. The proposal, once evaluated, shall be considered a public record except for the<br />
material that the Bidder specifically requests to be considered a “trade secret”.<br />
III. RFP Follow-up Communications<br />
Amendments, changes, <strong>and</strong> clarifications to the RFP will be disseminated electronically to bidders who<br />
indicate their intent to bid. <strong>SEHA</strong> will not be responsible for any outcomes resulting from verbal<br />
communications regarding the RFP. Prospective bidders are requested to send their Intent to Bid to the<br />
procurement <strong>and</strong> services department at <strong>SEHA</strong> by the date indicated in the RFP posting to ensure<br />
receiving RFP related communications.<br />
All questions regarding this RFP must be submitted electronically in writing to the contact person(s)<br />
specified on the cover page of the RFP. All questions must reference the exact RFP page. <strong>SEHA</strong> will<br />
disseminate responses to submitted questions to all responsive bidders electronically. Comments or<br />
questions regarding the content or requirements in this RFP should be submitted by the deadline<br />
specified in the RFP posting. <strong>SEHA</strong> reserves the right to determine at its sole discretion, the appropriate<br />
<strong>and</strong> adequate response to all comments.<br />
IV. Presentation of Offers<br />
<strong>SEHA</strong> may, at its own discretion, invite the top three short-listed bidders to present their proposals to a<br />
<strong>SEHA</strong> panel. The purpose of the presentation is to clarify any ambiguities in the proposal <strong>and</strong> help <strong>SEHA</strong><br />
evaluation team in the selection process.<br />
V. Evaluation Criteria <strong>and</strong> Process<br />
<strong>SEHA</strong> will conduct a fair, impartial, <strong>and</strong> comprehensive evaluation of all complete proposals in<br />
accordance with the criteria set forth below. <strong>Proposal</strong> evaluation will be conducted by a <strong>SEHA</strong> appointed<br />
team based on the requirements stated in this RFP. Award will be made to the bidder with the highest<br />
scores.<br />
The Offer will be evaluated on the basis of overall value for money, price, qualifications, past experience<br />
in providing similar services <strong>and</strong> degree of compliance with the provisions in the RFP. <strong>SEHA</strong> may also<br />
review <strong>and</strong> check any references provided by the bidder as part of the evaluation process.<br />
Notwithst<strong>and</strong>ing the foregoing, <strong>SEHA</strong> reserves the right to at any time: (i) accept or reject the Offer<br />
without explanation or justification for any reason whatsoever; or (ii) terminate the bidder selection<br />
process without explanation.<br />
I. Evaluation Criteria<br />
<strong>Proposal</strong>s will be evaluated is as follows:<br />
Technical Review – 70% of total<br />
Cost <strong>Proposal</strong> – 30% of total<br />

B.1. Technical Qualifications<br />
Technical qualifications of bidders will be given a weight based score as detailed below. This will be<br />
calculated at 100% but weighted as 70% of the total proposal. The other 30% will be based on the cost<br />
proposal submitted under separate cover. <strong>SEHA</strong> will look at the following areas during the technical<br />
evaluation process:<br />
A. Underst<strong>and</strong>ing of Requirements <strong>and</strong> Quality (5%). We will evaluate the proposal based on the<br />
following guidelines:<br />
Coverage of all areas identified in this RFP;<br />
Underst<strong>and</strong>ing of scope of services, deliverables, <strong>and</strong> project approach; <strong>and</strong><br />
Adherence to RFP terms <strong>and</strong> conditions.<br />
Clarity, soundness <strong>and</strong> thoroughness of approach in delivering services outlined in the<br />
RFP;<br />
Efficiency <strong>and</strong> timeliness of execution of RFP requirements; <strong>and</strong><br />
Clarity of deliverables<br />
B. Quality of Proposed Offering (95%). We will assess the quality of the proposed offering by<br />
reviewing applicability of the proposed approach to:<br />

B.2. Cost <strong>Proposal</strong><br />
The costs presented here should account for an enterprise solution representing the facilities detailed in<br />
Section I - Background. The cost should account for the design, development, implementation <strong>and</strong><br />
maintenance of a five year commitment.<br />
Cost proposals should clearly annotate the development costs described in Section IV Scope of<br />
Services/Deliverables, specifically Parts A <strong>and</strong> C of the Deliverable Table. The costs should be based on<br />
the following scope:<br />
Five physician workflows relative to CPOE, documentation <strong>and</strong> other common physician<br />
activities.<br />
Five nursing workflows relative to documentation <strong>and</strong> other common nursing activities.<br />
Two common registration workflows<br />
Two common scheduling workflows<br />

By submitting a proposal the Bidder agrees to the terms <strong>and</strong> conditions of this RFP, including<br />
the General contract terms <strong>and</strong> conditions (Attachment 1). Consultants who have obtained the<br />
RFP electronically must not alter any portion of the document; to do so will invalidate the<br />
proposal. Conditional offers or offers containing bidder’s conditions in conflict with RFP’s<br />
terms <strong>and</strong> conditions will not be considered.<br />

Appendix 1<br />
Abu Dhabi Health Services Company PJSC (<strong>SEHA</strong>, meaning health in Arabic) is a public joint stock<br />
company (PJSC) wholly-owned by the Government of Abu Dhabi. Prior to 2007, government owned<br />
health care facilities in the Emirate of Abu Dhabi were managed by the General Authority for Health<br />
Services (GAHS). In 2007, the Abu Dhabi Government issued two laws concerning the restructuring of<br />
healthcare provision in the Emirate. Law No 1 of 2007 regarding the establishment of Health Authority –<br />
Abu Dhabi (HAAD) <strong>and</strong> Law No 10 of 2007 regarding the establishment of Abu Dhabi Health Services<br />
Company as a P.J.S.C.). <strong>SEHA</strong> is responsible for the ownership <strong>and</strong> operational aspects of healthcare<br />
facilities <strong>and</strong> HAAD is responsible for regulating the provision of healthcare in the Emirate <strong>and</strong><br />
implementing the Emirate’s healthcare policy. <strong>SEHA</strong> currently owns <strong>and</strong> operates thirteen hospitals,<br />
fifty-seven ambulatory healthcare centers, three maternal <strong>and</strong> child health centers, three specialized<br />
dental centers, one center for autism <strong>and</strong> 5 specialized facilities (rehab, blood bank, herbal center). Six<br />
of <strong>SEHA</strong>’s hospitals are managed by international healthcare firms through long-term management<br />
service agreements (MSAs). Tawam Hospital, Al-Rahba Hospital, Corniche Hospital, <strong>and</strong> Sheikh Khalifa<br />
Medical City are accredited through the Joint Commission International Accreditation (JCIA) program.<br />

Attachment 1: General Contract Terms <strong>and</strong> Conditions<br />
The following terms <strong>and</strong> conditions will be incorporated in the foreseen contractual agreement between<br />
<strong>SEHA</strong> <strong>and</strong> the selected Vendor.<br />
1. Governing Law: This Contract shall be governed in all respects by the laws of the United Arab<br />
Emirates <strong>and</strong> the laws of the Emirate of Abu Dhabi <strong>and</strong> any dispute hereunder shall be subject to the<br />
exclusive jurisdiction of the courts of the Emirate of Abu Dhabi.<br />
2. Independent Vendor: In performing the tasks described in the Contract, the Vendor is considered<br />
an independent Vendor <strong>and</strong> shall be wholly responsible for the work to be performed under the<br />
Contract <strong>and</strong> for the supervision of its employees. The Vendor shall, at its own expense, secure all<br />
personnel required in performing the services under this Contract. Such employees shall not be<br />
employees of, or have any individual contractual relationship with <strong>SEHA</strong>.<br />
3. Key Personnel: The Vendor shall not substitute key personnel, including interim management staff,<br />
assigned to the performance of this contract without <strong>SEHA</strong>’s prior written approval. Vendor should<br />
also provide the CVs of Personnel assigned to the project with the project plan.<br />
4. Subcontracting: The Vendor shall not subcontract any portion of the work to be performed under<br />
this contract without the prior written approval of <strong>SEHA</strong>.<br />
Performance <strong>and</strong> Default: If, through any cause, the Vendor shall fail to fulfill in timely <strong>and</strong> proper<br />
manner the obligations under this Contract, <strong>SEHA</strong> shall thereupon have the right to terminate this<br />
contract by giving written notice to the Vendor <strong>and</strong> specifying the effective date thereof. In that<br />
event, all completed or uncompleted deliverable items under this contract prepared by the Vendor<br />
shall, at the option of <strong>SEHA</strong>, become its property, <strong>and</strong> the Vendor shall be entitled to receive just<br />
<strong>and</strong> equitable compensation for any satisfactory work completed on such materials.<br />
Notwithst<strong>and</strong>ing, the Vendor shall not be relieved of liability to <strong>SEHA</strong> for damages sustained by<br />
<strong>SEHA</strong> by virtue of any breach of this Contract, <strong>and</strong> <strong>SEHA</strong> may withhold any payment due the Vendor<br />
for the purpose of setoff until such time as the exact amount of damages due <strong>SEHA</strong> from such<br />
breach can be determined.<br />
In case of default by the Vendor, <strong>SEHA</strong> may procure the services from other sources <strong>and</strong> hold the<br />
Vendor responsible for any excess cost incurred thereby. <strong>SEHA</strong> reserves the right to require a<br />
performance bond or other acceptable alternative performance guarantees from successful bidder<br />
without expense to <strong>SEHA</strong>.<br />
In addition, in the event of default by the Vendor under this contract, <strong>SEHA</strong> may immediately cease<br />
doing business with the Vendor, immediately terminate for cause all existing contracts <strong>SEHA</strong> or its<br />
<strong>SEHA</strong>-G/RFP/17/2011 Page 13 of 17
facilities has with the Vendor, <strong>and</strong> de-bar the Vendor from doing future business with <strong>SEHA</strong> or its<br />
facilities.<br />
If the Vendor files a petition for bankruptcy or if a judgment of bankruptcy is entered by or against<br />
the Vendor, <strong>SEHA</strong> may immediately terminate, for cause, this contract <strong>and</strong> all other existing<br />
contracts the Vendor has with <strong>SEHA</strong> or its facilities, <strong>and</strong> de-bar the Vendor from doing future<br />
business with <strong>SEHA</strong> or its facilities.<br />
5. Force majeure: If as a result of Force Majeure (e.g. war, hostile foreign action, nuclear explosion,<br />
riot, strikes, civil insurrection, earthquake, hurricane, tornado, or other catastrophic natural event or<br />
act of God) either Party is rendered unable, wholly or in part, to carry out its obligations under this<br />
Contract, then the obligations of the Party giving such notice, so far as <strong>and</strong> to the extent that the<br />
obligations are affected by such Force Majeure, shall be suspended during the continuance of any<br />
inability so caused <strong>and</strong> for such reasonable period thereafter as may be necessary for the Party to<br />
put itself in the same position that it occupied prior to the Force Majeure, but for no longer period.<br />
The Party claiming Force Majeure shall notify the other party of the Force Majeure promptly after<br />
the occurrence of the facts relied on <strong>and</strong> shall keep the other Party informed of all significant<br />
developments. Such notice shall give reasonably full particulars of the Force Majeure, <strong>and</strong> also<br />
estimate the period of time which the Party will probably require to remedy the Force Majeure. The<br />
affected Party shall use all reasonable diligence to remove or overcome the Force Majeure situation<br />
as quickly as possible in an economic manner. If such circumstance of Force Majeure continues in<br />
effect for a continuous period of 180 days or more either party may terminate this Contract<br />
forthwith by notice in writing to the other.<br />
6. Suspension: <strong>SEHA</strong> shall have the right to suspend partly or as a whole at any time the performance<br />
of the SERVICES. In such event, <strong>SEHA</strong> shall determine if any extra payment is to be made to the<br />
Vendor in respect of such suspension. The Vendor shall bind himself not to suspend or delay partly<br />
or as a whole for any reason the performance of the Services notwithst<strong>and</strong>ing any dispute arising<br />
between him <strong>and</strong> <strong>SEHA</strong>.<br />
7. Termination: <strong>SEHA</strong> may terminate this Contract at any time by thirty (30) days notice in writing<br />
from <strong>SEHA</strong> to the Vendor. In that event, all completed or uncompleted deliverable items prepared<br />
by the Vendor under this contract shall, at the option of <strong>SEHA</strong>, become its property. If the contract<br />
is terminated by <strong>SEHA</strong> as provided herein, the Vendor shall be paid for services satisfactorily<br />
completed, less payment or compensation previously made.<br />
8. Inspection <strong>and</strong> Acceptance: <strong>SEHA</strong> shall provide the Vendor with any information reasonably<br />
required for the performance of the services within a reasonable time of the Vendor's request<br />
provided that the Vendor shall at all times give adequate notice of its requirements to <strong>SEHA</strong>. No<br />
inspection or failure to inspect on the part of <strong>SEHA</strong> or no approval, consent, instruction or<br />
recommendation given by <strong>SEHA</strong> shall release the Vendor from its obligations or liabilities under this<br />
Contract or at law.<br />
9. Payment Terms: Payment terms are Net not later than 40 days after receipt of correct invoice(s) or<br />
acceptance of services, whichever is later, or in accordance with any special payment schedule<br />
identified in the RFP. Payments are made by check or wire transfer only.<br />

10. Taxes: The Vendor shall be liable for all taxes, imposts, duties, withholding taxes, charges or other<br />
assessments of whatsoever nature, whether levied by the Government of Abu Dhabi or the UAE, or<br />
any other Government elsewhere.<br />
11. Confidentiality: All information, data, methods, instruments, documents, studies or reports given to<br />
or prepared or assembled by the Vendor under this contract shall be kept as confidential <strong>and</strong> not<br />
divulged or made available to any individual or organization without the prior written approval of<br />
<strong>SEHA</strong>. Vendor should also sign non disclosure agreement with <strong>SEHA</strong>.<br />
12. Personnel Data: In the event of the Vendor <strong>and</strong> its Agents are permitted access to personal data<br />
held by <strong>SEHA</strong> for any reason or are supplied with or otherwise provided personal data by <strong>SEHA</strong> for<br />
any purpose the Vendor <strong>and</strong> its agents shall:<br />
a. use <strong>and</strong>/or hold such personal data only for the purposes <strong>and</strong> in the manner directed by<br />
<strong>SEHA</strong> <strong>and</strong> shall not otherwise modify, amend or alter the contents of such personal data or<br />
disclose or permit the disclosure of such personal data to any third party unless specifically<br />
authorized in writing by <strong>SEHA</strong> <strong>and</strong> shall take all such steps as may be necessary to safeguard<br />
such personal data;<br />
b. comply in all respects with Applicable Law <strong>and</strong> the instructions of <strong>SEHA</strong> issued to the Vendor<br />
from time to time <strong>and</strong> shall not do or permit anything to be done which might contravene<br />
<strong>SEHA</strong>'s instructions;<br />
c. Return the personal data to <strong>SEHA</strong> on termination of this Contract.<br />
13. Care of <strong>SEHA</strong> Property: The Vendor agrees that it shall be responsible for the proper custody <strong>and</strong><br />
care of any property furnished it for use in connection with the performance of this contract or<br />
purchased by it for this contract <strong>and</strong> will reimburse <strong>SEHA</strong> for loss of damage of such property.<br />
14. Copyright: No deliverable items produced in whole or in part under this Contract shall be the<br />
subject of an application for copyright by or on behalf of the Vendor.<br />
15. Access to Persons <strong>and</strong> Records: The Vendor shall grant <strong>SEHA</strong> Auditors access to contract personnel<br />
<strong>and</strong> contract if requested by <strong>SEHA</strong>. The Vendor shall retain all related contract records for a period<br />
of three years following completion of the contract.<br />
16. Assignment <strong>and</strong> Subcontracting: The Vendor shall not without the prior written consent of <strong>SEHA</strong><br />
assign, sub-contract, transfer or otherwise dispose of any part of its rights or obligations under this<br />
Contract. If the Vendor shall be permitted to appoint any sub-Vendors the sub-contract will include<br />
a provision specifically giving the right to the Vendor to assign the sub-contract to <strong>SEHA</strong> (<strong>and</strong> the<br />
Vendor agrees to make such assignment in accordance with <strong>SEHA</strong>’s instructions). Such appointment<br />
shall be without prejudice to the Vendor's obligations under this Contract <strong>and</strong> the Vendor shall be<br />
responsible for <strong>and</strong> actively supervise its sub-Vendors. If requested by <strong>SEHA</strong>, the Vendor shall<br />
promptly provide <strong>SEHA</strong> with copies of any sub-contracts. In the event that the Vendor appoints a<br />
sub-Vendor it shall warrant that such sub-Vendor is fully equipped experienced qualified organized<br />
<strong>and</strong> financed to undertake the work contracted to it.<br />
<strong>SEHA</strong> shall not assign, transfer or otherwise dispose of its rights or obligations under this Contract<br />
without the consent of the Vendor, which consent shall not be unreasonably withheld.<br />
17. Compliance with Laws: The Vendor shall comply with all pertinent UAE laws, codes, rules,<br />
regulations, <strong>and</strong> licensing requirements that are applicable to the conduct of its business.<br />

18. Indemnities <strong>and</strong> Insurance: The Vendor shall keep <strong>SEHA</strong> indemnified against claims, actions or<br />
proceedings brought or instituted against <strong>SEHA</strong>, by any of his employees or any other third party in<br />
connection with, relating to, or arising out of the performance of the services under this Contract.<br />
The Vendor will at all times be solely responsible for any instance of professional malpractice, i.e.<br />
damage arising out of bodily injury or mental injury to or death of any personnel caused by or<br />
alleged to have been caused by any negligent act of commission or omission including refusal to<br />
perform a duty, error, failure, negligence in the services rendered or which should have been<br />
rendered by the Vendor or any of its personnel or other Vendors.<br />
The Vendor shall indemnify <strong>SEHA</strong> against any liability for any accident, death or injury to any person<br />
(including the servants <strong>and</strong> agents of <strong>SEHA</strong>) or against any loss of or damage to any property<br />
belonging to <strong>SEHA</strong>, its servants or agents which shall arise out of the performance of the services<br />
under this Contract <strong>and</strong> against all costs, claims, dem<strong>and</strong>s <strong>and</strong> damages involved therewith.<br />
During the term of the contract, the Vendor at its sole cost <strong>and</strong> expense shall provide commercial<br />
insurance of such type <strong>and</strong> with such terms <strong>and</strong> limits as may be reasonably associated with the<br />
contract. As a minimum, the Vendor shall provide <strong>and</strong> maintain the following coverage; where<br />
applicable:<br />
a. Malpractice Insurance<br />
b. Worker’s Compensation covering all of Vendor’s employees who are engaged in any work<br />
under the contract. If any work is subcontracted, the Vendor shall require the subVendor to<br />
provide the same coverage for any of its employees engaged in any work under the<br />
contract.<br />
c. Commercial General Liability<br />
d. Automobile Liability Insurance, to include liability coverage, covering all owned, hired <strong>and</strong><br />
non-owned vehicles, used in connection with the contract.<br />
e. Health insurance.<br />
All deductibles or liabilities in excess of the indemnities provided under the insurance arranged by<br />
the Vendor shall be for the account of <strong>and</strong> paid by the Vendor.<br />
<strong>SEHA</strong> shall not accept any responsibility whatsoever for any loss of or damage to any property or<br />
personal effects belonging to the Vendor’s employees.<br />
19. Advertising: The Vendor shall not use any work assignment or contract in relation to this RFP as<br />
part of any news release or commercial advertising.<br />
20. Entire Agreement: This contract <strong>and</strong> any documents incorporated specifically by reference in the<br />
contract represent the entire agreement between the parties <strong>and</strong> supersede all prior oral or written<br />
statements or agreements.<br />
21. Amendments: The agreed contract for the project may be amended only by written amendments<br />
duly signed by <strong>SEHA</strong> <strong>and</strong> the Vendor.<br />
22. Outsourcing: The Vendor shall not outsource any portion of the contract to a third party without<br />
<strong>SEHA</strong>’s prior approval.<br />
23. Delay: The In the event that the successful bidder fails to process the contract documents within a<br />
maximum of 10 working days from date of award. The penalty for late delivery is set at 2.5% of the<br />
<strong>SEHA</strong>-G/RFP/17/2011 Page 16 of 17
total cost per week or part of a week for up to (4) weeks (Maximum penalty is 10%). Delivery dates<br />
should be clearly mentioned including any procedure required for obtaining license etc.<br />
24. Documentation & H<strong>and</strong>over procedure: Vendor should provide the installation <strong>and</strong> configuration<br />
documentation apart from manuals. Vendor should h<strong>and</strong>over <strong>and</strong> provide knowledge transfer after<br />
completion of project.<br />
25. Spare parts Availability: Vendor should make sure that the spare parts of equipments purchased<br />
should be available at least for 5 years.<br />
