Re: In re TFT-<strong>LCD</strong> Litigation Cost Share<br />

Request for Reimbursement to the State of Missouri for costs of administering the<br />

Cost Share Account.<br />

The <strong>LCD</strong> Cost Share Fund was established in October, 2010 by the States of Arkansas,<br />

Florida, Michigan, Missouri, New York, Oregon, West Virginia and Wisconsin. To close out the<br />

account we now need to determine the amount of administrative fees that should be paid by the<br />

Cost Share to the Administrator under the terms of the Cost Share Agreement and in<br />

consideration of the discretion the Administrator may exercise in submitting a bill for its<br />

services.<br />

The Cost Share Agreement states in Paragraph 5(g):<br />

“Cost Share Administrator Fees. In recognition of the contribution of non-taxable<br />

administrative overhead and expenses, the Cost Share Administrator may submit<br />

to the Finance Committee periodic invoices for payments not exceeding<br />

$2,500.00 each calendar quarter during which administration services were<br />

provided by the Administrator, beginning August 1, 2010; upon approval by a<br />

majority of the Finance Committee, the Cost Share Fund shall pay such amounts.<br />

In the event the Administrator is tasked with an unexpected amount of work, the<br />

Administrator may submit a request for additional compensation supported by a<br />

report of the additional tasks necessarily performed and the time or other costs<br />

incurred in completing them, which will be considered by the Finance Committee<br />

on the basis of reasonableness of the compensation requested and the necessity of<br />

that work. Any decision to provide additional remuneration to the Cost Share<br />

Administrator will be promptly reported to the Parties.”<br />

Since August, 2010, eight quarters have passed. At the maximum assessment rate, the<br />

Cost Share Administrator is entitled to seek up to $ 20,000.<br />

Because the Cost Share Account was not actually established at the bank until October,<br />

2010 (so it has been open for less than 8 quarters), because the amount of administrative work in<br />

running the Cost Share account has varied, and because some work was done by the Finance<br />

Committee rather than our Fiscal Officer, Missouri is requesting payment at a 50% discount for a<br />

7-quarter period, for an Administration charge of<br />

$ 8,750.00.<br />

I request approval of payment of a cost share administration fee of $8,750.00.<br />

Our Cost Share Administration bill of $8.750.00 is based on our assumption that the only<br />

significant task remaining is the replenishment of the Cost Share Fund with settlement monies so<br />

that it may then be fully distributed to all contributing parties so as to reimburse them for their<br />

several contributions over the life of the Cost Share Fund. If there is additional expense or time<br />

required of the Administrator beyond this task, we may submit an additional bill under the terms<br />

of the Cost Share Agreement.<br />

Please advise if this bill is approved by the Finance Committee so that we may<br />

process the payment and add the expense to our Costs Petition.
