(ii) the expiration of the period within which the next AGM after the date it is required to be held pursuant to Section 143(1) of the Act, (but will not extend to such extension as may be allowed pursuant to Section 143(2) of Act); or (iii) revoked or varied by resolution passed by the shareholders in general meeting, whichever is the earlier. 2.2 Definitions (A) Director “Director” shall have the meaning given in Section 2(1) of the CMSA and includes any person who is or was within the preceding 6 months of the date on which the terms of the transaction were agreed upon, a director of the listed corporation, its subsidiary or holding company or a chief executive of the listed corporation, its subsidiary or holding company. (B) Related Party Transaction “Related party transaction” is defined in Rule 10.02 of the AMLR as a transaction entered into by the listed corporation or its subsidiaries which involves the interest, direct or indirect, of a related party. (C) Major Shareholder (D) RRPT “Major Shareholder” includes any person who is or was within the preceding 6 months of the date on which the terms of the transaction were agreed upon, has an interest or interests in one or more voting shares in a corporation and the nominal amount of that share, or the aggregate of the nominal amounts of those shares, is: (i) 10% or more of the aggregate of the nominal amounts of all the voting shares in the corporation; or (ii) 5% or more of the aggregate of the nominal amounts of all the voting shares in the corporation where such person is the largest shareholder of the corporation. “Recurrent related party transaction” as stated in Para 3.1.1 of Guidance Note 8 of the AMLR, considers the frequency or regularity of the transaction. A transaction which has been made or will be made by the listed corporation at least once in three (3) years in the course of its business will be considered recurrent. “Revenue nature necessary for day-to-day operations” as stated in Para 3.1.2 of Guidance Note 8 of the AMLR, refers to day-to-day operations which must either contribute directly or indirectly to the generation of revenue for the listed corporation. “In the ordinary course of business” as stated in Para 3.1.3 of Guidance Note 8 of the AMLR, refers to transactions which would reasonably be expected to be carried out by the listed corporation given the type of business the listed corporation is involved in. 3
