decision, and/or action, on behalf of<br />

the Board and in the interest of the<br />

Association. In such circumstances',<br />

the Executive Committee may make<br />

decisions and take actions on behalf<br />

of the Board. Any such decisions or<br />

actions shall require the unanimous<br />

consent of all members of the<br />

Executive Committee. Any and all<br />

actions of the Executive Committee<br />

shall be reported to theBoard within<br />

thirty (30) days.<br />

In the event of death, resignation,<br />

inability of the President, President­<br />

Elect, or the Immediate Past<br />

President, to perform his or her duties,<br />

or transfer to Affiliate Member status,<br />

the President, or Board member<br />

assuming the responsibilities of the<br />

President pursuant to Article IV<br />

herein, shall appoint another Board<br />

member to assumerelevant<br />

responsibilities for Executive<br />

Committee purposes.<br />

D. Responsibilities of Board<br />

Members: The Board of the<br />

Association shall be the President, the<br />

Immediate Past President, the<br />

President-Elect, the four (4) Regional<br />

Vice Presidents (one (1) each for the<br />

eastern, central andwestern regions<br />

of the United States and one (1) for<br />

Canada), the Vice President for<br />

Professional Development, Vice<br />

President for Finance, Vice President<br />

for Communications, Vice President<br />

for External Relations, Vice President<br />

for Planning and Vice President for<br />

Membership.<br />

President: The President shall be<br />

the chief executive officer of and shall<br />

represent the Association. The<br />

President shall preside at all meetings<br />

of the Association. The President shall<br />

have the power to make, as directed<br />

by and subject to the approval of the<br />

Board, contracts for and in the name<br />

of the Association. The President shall<br />

have the power to create ad hoc<br />

committees and appoint members<br />

thereof and perform such other duties<br />

as are usually required by the<br />

President's office or as may be<br />

delegated to the President by the<br />

Board. The President shall be, ex<br />

officio, a member of all standing and<br />

special committees.<br />

President-Elect: The President­<br />

Elect shall assume the office of the<br />

President at the conclusion of the<br />

Annual Meeting at which the<br />

incumbent President's term of office<br />

expires. The Vice President for<br />

Planning and the Vice President for<br />

Membership shall report to the<br />

President-Elect. The President­<br />

Elect shall provide special oversight<br />

for the Annual Meeting Committee.<br />

Immediate Past President: The<br />

Immediate Past President shall chair<br />

the Nominations and Awards<br />

Committee for the year immediately<br />

following his/her term as President.<br />

The Vice President for Professional<br />

Development and the Regional Vice<br />

Presidents shall report to the<br />

Immediate Past President.<br />

Regional Vice Presidents: Each<br />

Regional Vice President shall have<br />

general jurisdiction over his or her<br />

respective region. He or she shall<br />

have the authority to appoint, with the<br />

advice and consent of the President,<br />

such assistant Regional Vice<br />

Presidents and regional committees<br />

as he or she shall deem advisable for<br />

proper conduct of the business of the<br />

Association in hisor her region, and a<br />

Regional Secretary who shall keep the<br />

minutes of all regional meetings and<br />

deliver the same to his or her<br />

Regional Vice President for transmittal<br />

to the Board. No such appointed<br />

person shall have, without express<br />

authority from the President or the<br />

Board, any authority to bind or<br />

obligate the Association financially or<br />

in any other way whatsoever. The.<br />

Regional Vice Presidents shall report<br />

to the Immediate Past President and<br />

shall perform all such other duties and<br />

exercise such powers as may be<br />

delegated to them by the Board.<br />
