decision, and/or action, on behalf of
the Board and in the interest of the
Association. In such circumstances',
the Executive Committee may make
decisions and take actions on behalf
of the Board. Any such decisions or
actions shall require the unanimous
consent of all members of the
Executive Committee. Any and all
actions of the Executive Committee
shall be reported to theBoard within
thirty (30) days.
In the event of death, resignation,
inability of the President, President­
Elect, or the Immediate Past
President, to perform his or her duties,
or transfer to Affiliate Member status,
the President, or Board member
assuming the responsibilities of the
President pursuant to Article IV
herein, shall appoint another Board
member to assumerelevant
responsibilities for Executive
Committee purposes.
D. Responsibilities of Board
Members: The Board of the
Association shall be the President, the
Immediate Past President, the
President-Elect, the four (4) Regional
Vice Presidents (one (1) each for the
eastern, central andwestern regions
of the United States and one (1) for
Canada), the Vice President for
Professional Development, Vice
President for Finance, Vice President
for Communications, Vice President
for External Relations, Vice President
for Planning and Vice President for
Membership.
President: The President shall be
the chief executive officer of and shall
represent the Association. The
President shall preside at all meetings
of the Association. The President shall
have the power to make, as directed
by and subject to the approval of the
Board, contracts for and in the name
of the Association. The President shall
have the power to create ad hoc
committees and appoint members
thereof and perform such other duties
as are usually required by the
President's office or as may be
delegated to the President by the
Board. The President shall be, ex
officio, a member of all standing and
special committees.
President-Elect: The President­
Elect shall assume the office of the
President at the conclusion of the
Annual Meeting at which the
incumbent President's term of office
expires. The Vice President for
Planning and the Vice President for
Membership shall report to the
President-Elect. The President­
Elect shall provide special oversight
for the Annual Meeting Committee.
Immediate Past President: The
Immediate Past President shall chair
the Nominations and Awards
Committee for the year immediately
following his/her term as President.
The Vice President for Professional
Development and the Regional Vice
Presidents shall report to the
Immediate Past President.
Regional Vice Presidents: Each
Regional Vice President shall have
general jurisdiction over his or her
respective region. He or she shall
have the authority to appoint, with the
advice and consent of the President,
such assistant Regional Vice
Presidents and regional committees
as he or she shall deem advisable for
proper conduct of the business of the
Association in hisor her region, and a
Regional Secretary who shall keep the
minutes of all regional meetings and
deliver the same to his or her
Regional Vice President for transmittal
to the Board. No such appointed
person shall have, without express
authority from the President or the
Board, any authority to bind or
obligate the Association financially or
in any other way whatsoever. The.
Regional Vice Presidents shall report
to the Immediate Past President and
shall perform all such other duties and
exercise such powers as may be
delegated to them by the Board.
