<strong>Agreement</strong> <strong>for</strong> <strong>Owner</strong> Representative Services<br />

McDonald and Adams Elementary <strong>School</strong>s<br />

This contract between <strong>Central</strong> <strong>Valley</strong> <strong>School</strong> <strong>District</strong> #356 and Roen Associates is <strong>for</strong> owner's representative services <strong>for</strong><br />

the modernization and addition to Adams and McDonald Elementary <strong>School</strong>s. This agreement shall be the basis <strong>for</strong><br />

subsequent services <strong>for</strong> Greenacres Middle <strong>School</strong>, Opportunity and South Pines Elementary <strong>School</strong>s, and Evergreen<br />

Middle <strong>School</strong> provided that there is:<br />

(1) Availability of <strong>District</strong> funding <strong>for</strong> the proposed projects.<br />

(2) TIle <strong>District</strong>'s favorable evaluation ofRoen A::.sociates' work on previous projects. (3) Satisfactory financial<br />

negotiation with the <strong>District</strong> <strong>for</strong> the proposed work.<br />

(4) Willingness on behalf of bOth parties to continue the relationsrup.<br />

Sco~e of Services<br />

Work will include that shown in Attachment A.<br />

Fees will be based on actual time spent by Roen Associates' personnel at the hourly rates shown in Attachment B. Clerical<br />

support and cell phone time are included in the hourly rates. Travel costs<br />

will not be invoiced unless specifically approved by the <strong>District</strong>. Estimated fees are as follows:<br />

The estimated fees as outlined above establish "not to exceed" amounts <strong>for</strong> owner's representative services <strong>for</strong> each<br />

project. Those amounts shall not be exceeded without prior written authorization from <strong>Central</strong> <strong>Valley</strong> <strong>School</strong> <strong>District</strong>.<br />

INSURANCE<br />

Roen Associates shall purchase from and maintain, in a company or companies lawfully authorized to do business in the<br />

jurisdiction in which the Project is located, such insurance, with liability limits of not less than $1,000,000 as well protect<br />

Roen Associates from claims set <strong>for</strong>th below which may arise out of or result from Roen Associates' operations under this<br />

<strong>Agreement</strong> alld<strong>for</strong> much Roen Associates may be legally liable.<br />

Claims under workers compensation, disability benefit and other similar employee benefit acts which are applicable to the<br />

operations to be per<strong>for</strong>med.<br />

Claims <strong>for</strong> damages because of bodily injury. occupational sickness or disease. or death ofRoen Associates' employees.<br />

Claims <strong>for</strong> damages because of bodily injury, sickness or disease, or death of any person other than Roen Associates'<br />

employees.<br />

Claims <strong>for</strong> damages insured by usual personal injury liability coverage which are sustained (1) by a person as a result of an<br />

offense directly or indirectly related to employment of such person by RoeD Associates, or (2) by another person.<br />

Claims <strong>for</strong> damages, other than to the work itself, because of injury to or destruction of tangible property, including loss of<br />

use resulting therefrom.<br />

Claims <strong>for</strong> damages because of bodily injury, death of a person or property damage arising out of ownership, maintenance<br />

or use of a motor vehicle.<br />

DISTRICT CONTACT<br />

The project representative will report to the <strong>District</strong> Superintendent or to his designee in charge of the respective project.<br />

Monitor schedule compliance during design process.<br />

Assist <strong>District</strong> in selection of technical consultants as fe(}uested.<br />

Ser..e as a resource as the <strong>District</strong> determines early procurement and bulk purchasing strategy .<br />

Participate as a <strong>District</strong> Representative in the Value Engineering and Constructability Review.<br />

Review plans and specifications <strong>for</strong> consistency, completeness and con<strong>for</strong>mance with the project requirements.<br />

Work with designers to establish submittal and change proposal procedures.<br />

Bidding<br />

Provide input concerning bidding schedule and process. Assist in evaluating bids received.<br />

Construction Phase<br />

Cooperate with the design team in establishing and monitoring a schedule of critical dates during the construction phase.<br />

Assist architect and contractor in developing recovery strategies if work faIls behind schedule.<br />

Provide field supervision and project monitoring in addition to that provided by the architect. Elements of field supervision<br />

are to include, but may not be limited to:<br />

Quality Assurance<br />

Monitorpt'oject to see that work COIUOnns to plans, specifications and that appropriate testing is done.<br />

Report to architect and to owner any apparent deviations from specifications. Monitor contractor's compliance with on-site<br />

Advise <strong>District</strong> and Architect concerning on-site safety programs.<br />

Assist <strong>District</strong> to evaluate and timely process change order proposals and change orders.<br />

Represent <strong>District</strong> in negotiating cost of proposed changes.<br />

Assist in <strong>District</strong>'s occupancy of facilities as requested.<br />

Represent <strong>District</strong> in identification and monitoring warranty work.<br />

General<br />

The individual or firm selected as Project Representative will serve as a <strong>District</strong> representative in recommending finns or<br />

individuals who will provide Value Engineering, Constructability and Commissioning services <strong>for</strong> anticipated remodel<br />

projects. The Project Representati ve must be free of any perception of conflict of interest.<br />

Periodically review project schedules vs. amount of work completed.<br />

Assist in preparing <strong>District</strong> submittals to Spokane County and other agencies as required. Prepare monthly oral and written<br />

reports <strong>for</strong> the <strong>District</strong>, including but not limited to 1) progress of work vs. project schedule and 2) budget status.<br />
