23.3.1 The parties will share the cost <strong>of</strong> the appraiser equally.<br />

23.3.2 If either party desires another appraisal, that costs for that appraisal will be borne<br />

by the party requesting another appraisal.<br />

23.4 Minimum Option Price.. Notwithst<strong>and</strong>ing the above, the Option Price shall not be less<br />

than the full amount required to redeem all <strong>of</strong> the City’s outst<strong>and</strong>ing Arena Revenue Bonds or, in the<br />

event the Arena Revenue Bonds have been refinanced at the time the Arena Manager exercises the Arena<br />

Option, an amount equal to the calculated principal balance <strong>of</strong> the Arena Revenue Bonds at the time the<br />

Arena Manager will close on the purchase <strong>of</strong> the Arena assuming that no refinancing been undertaken <strong>and</strong><br />

that the Arena Revenue Bonds had been paid in accordance with their terms <strong>and</strong> established payment<br />

schedules.<br />

24. MISCELLANEOUS..<br />

24.1 Amendment; Waiver..<br />

24.1.1 No alteration, amendment or modification here<strong>of</strong> shall be valid unless evidenced<br />

by a written instrument executed by the parties with the same formality as this Agreement.<br />

24.1.2 The failure <strong>of</strong> any party hereto to insist in any one or more instances upon the<br />

strict performance <strong>of</strong> any <strong>of</strong> the covenants, <strong>agreement</strong>s, terms, provisions or conditions <strong>of</strong> this Agreement,<br />

or to exercise any election or option herein contained, shall not be construed as a waiver or<br />

relinquishment for the future <strong>of</strong> such covenant, <strong>agreement</strong>, term, provision, condition, election or option,<br />

but the same shall continue <strong>and</strong> remain in full force <strong>and</strong> effect.<br />

24.1.3 No waiver by any party hereto <strong>of</strong> any covenant, <strong>agreement</strong>, term, provision or<br />

condition <strong>of</strong> this Agreement shall be deemed to have been made unless expressed in writing <strong>and</strong> signed<br />

by an appropriate <strong>of</strong>ficial or <strong>of</strong>ficer on behalf <strong>of</strong> such party.<br />

24.2 Consents <strong>and</strong> Approvals.. Unless otherwise specifically provided herein, no consent or<br />

approval by any party permitted or required under the terms <strong>of</strong> this Agreement shall be valid unless the<br />

same shall be in writing, signed by the party by or on whose behalf such consent or approval is given.<br />

Unless a higher st<strong>and</strong>ard is expressly provided for pursuant to any provision <strong>of</strong> this Agreement, any<br />

consent or approval required to be given or otherwise provided for in this Agreement shall not be<br />

unreasonably withheld, delayed or conditioned by the party giving such consent or approval.<br />

24.3 Additional Documents <strong>and</strong> Approval.. Each <strong>of</strong> the parties, whenever <strong>and</strong> as <strong>of</strong>ten as each<br />

shall be reasonably requested to do so by any other party hereto, shall execute or cause to be executed any<br />

additional documents, take any additional actions <strong>and</strong> grant any additional approvals consistent with the<br />

provisions <strong>of</strong> this Agreement as may be necessary or expedient to consummate the transactions provided<br />

for in, <strong>and</strong> to carry out the purpose <strong>and</strong> intent <strong>of</strong>, this Agreement.<br />

24.4 Severability.. If any provision <strong>of</strong> this Agreement, or the application there<strong>of</strong> to any party<br />

or circumstance, shall, to any extent, be invalid or unenforceable, the remainder <strong>of</strong> the provision, or the<br />

application <strong>of</strong> the same to parties or circumstances other than those to which it is held invalid or<br />

unenforceable, shall not be affected thereby, <strong>and</strong> each remaining provisions shall be valid <strong>and</strong> enforceable<br />

to the fullest extent permitted by law, provided that the obligations <strong>of</strong> the City to pay the Management<br />

Fee are so material that such obligations shall not be severable <strong>and</strong> this Agreement shall terminate if any<br />
