• assurance mechanisms: <strong>the</strong>se are required to ensure c<strong>on</strong>tinual alignment of <strong>the</strong> ICS’s design with<br />

<strong>the</strong> Company’s <strong>governance</strong> <strong>and</strong> c<strong>on</strong>trol requirements. Applicati<strong>on</strong> of this principle presupposes<br />

independence of <strong>and</strong> separati<strong>on</strong> between operating <strong>and</strong> c<strong>on</strong>trol resp<strong>on</strong>sibilities, thus preventing<br />

potential c<strong>on</strong>flict of interest between organisati<strong>on</strong>al functi<strong>on</strong>s <strong>and</strong> individual positi<strong>on</strong>s which might<br />

compromise integrated risk c<strong>on</strong>trol.<br />

The ICS’s main instruments, in additi<strong>on</strong> to <strong>the</strong> system of assignment of powers, are <strong>the</strong> Code of C<strong>on</strong>duct 35 , <strong>the</strong><br />

Model 36 <strong>and</strong> various activities that verify <strong>the</strong> existence, adequacy <strong>and</strong> actual applicati<strong>on</strong> of <strong>the</strong> administrative<br />

<strong>and</strong> accounting procedures needed to draft financial statements which <strong>the</strong> “DP” has to issue in accordance with<br />

<strong>the</strong> Investor Protecti<strong>on</strong> law (also definable as <strong>the</strong> “Internal c<strong>on</strong>trol system for financial <str<strong>on</strong>g>report</str<strong>on</strong>g>ing”) 37 .<br />

6.2 Internal audit functi<strong>on</strong> <strong>and</strong> internal audit manager<br />

In line with <strong>the</strong> definiti<strong>on</strong> of <strong>the</strong> “Institute of Internal Auditors”, <strong>the</strong> functi<strong>on</strong> provides <strong>the</strong> Board, <strong>the</strong> executive<br />

director overseeing <strong>the</strong> operati<strong>on</strong> of <strong>the</strong> ICS, <strong>the</strong> ICC <strong>and</strong> <strong>the</strong> Statutory Auditors with professi<strong>on</strong>al advice<br />

<strong>on</strong> maintenance <strong>and</strong> c<strong>on</strong>tinual improvement of <strong>the</strong> ICS <strong>and</strong> assurance, based <strong>on</strong> checks <strong>and</strong> assessments,<br />

regarding <strong>the</strong> functi<strong>on</strong>ality, completeness <strong>and</strong> adequacy of <strong>the</strong> ICS.<br />

This is 3 rd level c<strong>on</strong>trol <strong>and</strong> its operating phases may be summarized as follows:<br />

• assessment of risks characterizing business processes <strong>and</strong> operating units ( risk assessment) <strong>and</strong><br />

identificati<strong>on</strong> of areas most at risk <strong>and</strong> <strong>the</strong>nce definiti<strong>on</strong> of c<strong>on</strong>trol priorities (annual audit plan);<br />

• development of <strong>the</strong> audit plan, identificati<strong>on</strong> of critical issues <strong>and</strong> areas for improvement in 1 st <strong>and</strong> 2 nd<br />

level c<strong>on</strong>trol <strong>and</strong> discussi<strong>on</strong> <strong>on</strong> corrective acti<strong>on</strong>s with operating management;<br />

• m<strong>on</strong>itoring of timings agreed for implementati<strong>on</strong> of corrective acti<strong>on</strong>s <strong>and</strong> <strong>the</strong>ir efficacy ( follow-up);<br />

• review of <strong>the</strong> results of <strong>the</strong> audit activities outlined above with <strong>the</strong> CEO <strong>and</strong> his direct <str<strong>on</strong>g>report</str<strong>on</strong>g>s.<br />

The Board assigns <strong>the</strong> duties of internal c<strong>on</strong>trol manager (as defined in <strong>the</strong> Code) to <strong>the</strong> head of <strong>the</strong><br />

Internal Audit functi<strong>on</strong> (Chief Audit Executive), who is a member of <strong>the</strong> Chairman’s staff (also given that <strong>the</strong><br />

Chairman is <strong>the</strong> executive director overseeing <strong>the</strong> working of <strong>the</strong> ICS) <strong>and</strong> does not <strong>the</strong>refore <str<strong>on</strong>g>report</str<strong>on</strong>g> to <strong>the</strong><br />

head of any operating department.<br />

The internal c<strong>on</strong>trol manager <str<strong>on</strong>g>report</str<strong>on</strong>g>s to <strong>the</strong> Statutory Audit Committee <strong>and</strong> <strong>the</strong> ICC (at least quarterly) <strong>and</strong> to<br />

<strong>the</strong> Chairman in his capacity as executive director charged with supervising <strong>the</strong> ICS <strong>on</strong>, am<strong>on</strong>g o<strong>the</strong>r things,<br />

activities carried out, <strong>and</strong> <strong>the</strong>refore <strong>on</strong> risk management, compliance with risk management plans <strong>and</strong><br />

assessment of <strong>the</strong> adequacy of <strong>the</strong> ICS itself.<br />

Fur<strong>the</strong>r, this manager:<br />

• is charged with checking that <strong>the</strong> ICS is always adequate <strong>and</strong> fully operati<strong>on</strong>al;<br />

• has direct access to all informati<strong>on</strong> needed to carry out <strong>the</strong> functi<strong>on</strong> properly;<br />

• has <strong>the</strong> means (annual budget) <strong>and</strong> structures needed to carry out <strong>the</strong> functi<strong>on</strong> assigned to him/her (also<br />

in terms of numbers <strong>and</strong> professi<strong>on</strong>al qualificati<strong>on</strong>s of employees).<br />

The board of directors appoints <strong>and</strong> fixes <strong>the</strong> remunerati<strong>on</strong> of <strong>the</strong> internal c<strong>on</strong>trol manager <strong>on</strong> <strong>the</strong><br />

recommendati<strong>on</strong> of <strong>the</strong> executive director charged with overseeing <strong>the</strong> operati<strong>on</strong>s of <strong>the</strong> ICS <strong>and</strong> having<br />

c<strong>on</strong>sulted <strong>the</strong> ICC.<br />

In 2010, <strong>the</strong> main activities carried out by <strong>the</strong> Internal Audit functi<strong>on</strong> were as follows: (i) completi<strong>on</strong> of<br />

activities to update <strong>the</strong> Model <strong>and</strong> review <strong>the</strong> Code of C<strong>on</strong>duct; (ii) supporting <strong>the</strong> AFC in testing activities<br />

related to <strong>the</strong> project to adapt to <strong>the</strong> Investor Protecti<strong>on</strong> law <strong>and</strong> <strong>the</strong> issue of an independent opini<strong>on</strong> <strong>on</strong> <strong>the</strong><br />

validity of internal c<strong>on</strong>trols in financial <str<strong>on</strong>g>report</str<strong>on</strong>g>ing processes, (iii) carrying out of checks under <strong>the</strong> 2010 audit<br />

plan, covering, am<strong>on</strong>g o<strong>the</strong>r things, operating audits in certain Italian plants, a number of financial audits in<br />

Turkey, France <strong>and</strong> <strong>the</strong> UK, <strong>and</strong> “business ethics audits” <strong>on</strong> certain Subsidiaries, (iv) finalizati<strong>on</strong> of an interdepartmental<br />

project to improve <strong>the</strong> disciplining of accesses to <strong>the</strong> SAP informati<strong>on</strong> system for <strong>the</strong> purposes<br />

of segregati<strong>on</strong> of tasks (assigned to Ernst&Young in December 2010), <strong>and</strong> (v) participati<strong>on</strong> in a project to<br />

review <strong>the</strong> processes of authorizati<strong>on</strong>/c<strong>on</strong>trol <strong>and</strong> methods of booking discounts allowed to <strong>the</strong> network<br />

(post-invoice discounts).<br />
