General<br />

DESCRIPTION OF THE NOTES<br />

Each trust may issue one or more classes of notes under an indenture. We have filed the<br />

form of the indenture as an exhibit to the registration statement of which this prospectus is a part.<br />

The following summary describes the important terms of the notes and the indenture. It does not<br />

cover every detail of the notes or the indenture and is subject to all of the provisions of the notes<br />

and the indenture.<br />

Principal and Interest on the <strong>Notes</strong><br />

The prospectus supplement will describe the timing and priority of payment, seniority,<br />

allocations of losses, note rate and amount of or method of determining payments of principal<br />

and interest on each class of notes. The right of holders of any class of notes to receive payments<br />

of principal and interest may be senior or subordinate to the rights of holders of any other class<br />

or classes of notes of that series. Payments of interest on the notes will be made before payments<br />

of principal. Each class of notes may have a different note rate, which may be a fixed, variable,<br />

adjustable, auction-determined rate or any combination of these rates. <strong>Class</strong>es of notes will have<br />

a stated principal amount and will bear interest at a specified rate or may be entitled to:<br />

Principal distributions with disproportionately low, nominal or no interest<br />

Distributions based on a combination of components; or<br />

The related prospectus supplement will specify the rate for each class of notes or the<br />

method for determining the note rate.<br />

Under some circumstances, the amount available for these payments could be less than<br />

the amount of interest payable on the notes on any distribution date, in which case each class of<br />

noteholders will receive its pro rata share of the aggregate amount available for interest on the<br />

notes.<br />

In the case of a series which includes two or more classes of notes, the prospectus<br />

supplement will describe the sequential order and priority of payment of principal and interest of<br />

each class. Payments of principal and interest of any class of notes will be on a pro rata basis<br />

among all the noteholders of that class.<br />
