Renton Film Frenzy Attracts
Youngest Filmmakers Yet
Seattle hosts the
largest international film
festival in the United States
and next year, it expands to
Renton. In the meantime,
Renton has its own emerging
filmmakers and one quarter
of the entries submitted to the
Renton Film Frenzy IV local
filmmaking competition
were from Cedar River
Montessori School.
Four middle school
students from Cedar River
Montessori School became
the youngest yet to enter
Renton’s Film Frenzy film
festival. Aiko Luckasavage
12, Jake Gabrielson 12,
Cooper Hanisco 13, and
Ray Austill 14 alternated as
producers and crew during
a sleep-over at the school to
create four short films for the
competition.
Ray won third place
with his movie, including
a trophy and $150 which
he donated towards the
class fundraising for a visit
to Washington, DC. Aiko,
along with the class, won
for her movie by special
recognition from the judges
that, while the fifty hours
were a challenge to produce
one movie from a single
team, they produced four! All
of the students won a judges’
Special Award certificate and
the school took home two
trophies.
Their teacher, Lee
Elliott, says, “I had just
delivered an integrated
curriculum using the creative
process behind filmmaking as
a means to inspire teamwork
among my students – it was
just a happy coincidence that
the Film Frenzy came up just
when they were ready for it.”
Renton Film Frenzy
is an annual competition in
which budding filmmakers
have fifty hours in which to
write, shoot, and edit a four
minute film in the Renton
area before delivering it
on disk before the cut-off
time. To ensure the films
are made in the given time
slot, the applicants are give
three last-minute curve-ball
challenges to include in their
productions.
All 17 movies
entered were shown free
of charge to the public at
Renton Civic Theater on the
evening of Monday, October
24. The following evening,
prizes were awarded at a
ceremony held at Renton/
IKEA Performing Arts
Center. A chance to meet and
congratulate the filmmakers
and learn more about their
creative processes was held at
The Whistle Stop Ale House
on October 26.
Articles/advertisements submitted for
publication, referring to a lottery, must
state they are a non-profit organization
and that the game is licensed by the State
of Washington. This includes bingo,
games of chance, raffles, door prizes,
Minutes of the Meeting
October 18th, 2011
The following is a summary
of the meeting minutes and is not yet
approved by the board.
Board Members Present: Curt
Whitaker,GeorgeMcGill,JohnUtz,Don
Nelson, Valerie Frazier, John Newcomb.
Others Present: 5 Homeowners. This
monthly meeting was called to order at
7:00 pm. at the King County Sheriff’s
Office – Fairwood Storefront.
Fire Department Report: Not Present
Police Report:
Report was not read at meeting
but received afterwards: There were
292 calls for service in September that
generated case reports in the Fairwood
area. Only four were in our HOA area.
One burglary, one vehicle theft, one car
prowl and one robbery. The vehicle theft
was an old Honda that has been stolen
twice before. It is always recovered,
someone is using it for transportation.
The robbery was a case where two 12 year
olds were pounced on by some older kids
and had a cell phone and scooters taken.
There were no weapons or injuries.
Traffic contacts: 27; Parking
contacts: 24; Park contacts: 2 (one
incident, two kids)
Approval of Last Month’s Minutes:
Minutes were not present for
signing due to absence of recording
secretary. Valerie to print them and get
them signed by board members.
Homeowner Concerns:
Homeowner had question
regarding the cul-de-sac center medians
and who’s responsibility it is to maintain.
SoosCreekhadremovedtreesand the culde-sac
had been left unlandscaped with
crumbling curbs. George is to investigate
this situation and see if King County
has any maintenance responsibilities.
Homeowners are responsible for the
sidewalks and have also been responsible
for the medians located in front of their
properties.
Also there was a question about
soliciting in the area. We do have “no
soliciting” signs posted at the entrances.
Another homeowner asked
if ACC could do anything about
companies doing work at homes that
park in front of driveways. Unfortunately,
this is something that should be a
common courtesy of these people, but
homeowners should also make sure that
workers are not blocking other homes or
driveways.
Committee Reports:
Treasurer’s Report:
The Treasurer reported that no
liens were filed in the past 30 days and
there have been no lien satisfactions.
We are on target for the year
with legal expenses still running higher.
A proposed 2012 budget was
presented taking into consideration the
3% due increase passed at last month’s
meeting. Discussion regarding each line
item followed.
George is to put together CAM
projects that need to be done in 2012
and the approximate expenses for our
next meeting.
ACC Report:
ACC requests for the month:
• 2 Roofs
• 1 Driveway replacement
• 1 Fence with gate
• 1 Backyard landscaping project
• 1 Paint
• 1 Window Replacement
1. Reminder - Our CC&Rs and
Rules and Regulations clearly state
that exterior projects such as roofs,
painting, fencing, decks, driveways,
major landscaping and patios require
the submission and approval of an
ACC request before commencing
the project. The ACC has up to 30
days to respond to an ACC request
but tries to respond much sooner
than that. It is recommended that
if a response to an ACC request
has not been received within two
weeks, the homeowner should
2.
contact the ACC Chairman via
email at architecture@crcwhoa.org
or by leaving a voice message at
425-738-8611. For emergency type
repairs notify the ACC Chairman as
indicated above and mention that
it is an emergency type situation.
Please do not contact the ACC
chairman via a home phone number.
A notebook with samples of colors
that provide a range of colors
that meet HOA guidelines for
repainting homes is available and
will be provided upon request.
Please contact the ACC chairman as
indicated above if you would like to
see it.
Elliott Farm Homeowner’s Association
Annual Homeowners Meeting
October 25, 2011
The Elliott Farm Home Owners
Association annual meeting was called
to order at 7:05 by John Wruble. The
Board members present were John
Wruble, Linda North, Chris Rodrigues,
Scott Paul, and Jeri Martin. Joy Church,
bookkeeper was also present. Eighteen
homeowners, including the Board
members, were present.
John welcomed all the homeowners
and thanked them for coming and
introduced the Board members. He also
thanked Bruce King, our web master, for
all the work he has done for us this past
year. There was not a quorum present so
he explained that nominations for Board
and committee positions would be
accepted but that an official vote would
not be taken. The minutes were read
and approved as written.
Financial Statement: Joy Church
reported that 10% of the 2011
homeowner’s dues have not yet been
paid and that we are about 2% ahead of
last year in collecting them. In October
we cashed in a CD when it matured
which was used to pay for the fence
project. Our regular monthly expenses
were pretty much in line with last year.
Chris and Joy went over the year-to-date
spread sheet. Exceptions to our normal
expenses were landscaping expenses for
the arborist and fence projects.
Architectural Report: Jeri stated there
were no new submissions in October
and that the issue of the white newly
installed garage door had been resolved.
She reported there had been 13
requests submitted year-to-date from
homeowners with 3 still pending. She
also reported that an inspection of the
homes in both Woodward and The
Gables indicated that things are generally
in good shape. Over the past year several
homes have been painted and she said
there are several others that need to at
least have the trim painted. She also
reminded us that prior to painting the
exterior of our homes, a request needs
to be submitted to ACC for approval.
Paint colors need to be harmonious with
the neighborhood in neutral colors and
shades of white. She also mentioned
that there are many homes with over
grown shrubs that need maintenance.
Violations are dealt with on a case to case
basis, the major one being trash cans left
out and owners allowing pets to leave
messes on neighbor lawns
Landscaping Report: Scott reported
that the open spaces landscaping is
looking pretty good. Malone’s has done
an acceptable job of maintaining these
areas. The path between Woodward and
The Gables continues to be a problem
and he has again asked them to clean it
up.
• In December, 2010 we had
an arborist come and analyze
our greenbelt area. On their
recommendation, several trees were
cut down or trimmed back.
• Homeowners (19) made good
use of the thatching and aerating
equipment this year
• The seasonal plantings were replaced
with permanent plantings at The
Gables entrance
• Moss was treated in several open
areas
• A suggestion from the floor was
made that we present Malone’s with
a list of monthly expectations and
if the work is not completed, we
consider withholding a percentage
of that month’s payment. It was also
suggested we look at new bids from
several landscapers for 2012.
2011 Accomplishments: John presented
a list of the accomplishments made
during this past year.
• The Gables entrance landscaping
change – thanks is given to Linda
North, Norm North, John Wruble,
and Chris Rodrigues for their work
in this project.
• Common Area fence – Linda North
headed up this project. Five bids
were accepted prior to the Board
deciding who would do the project.
Fences were replaced at the lower
entrance to The Gables as well as
above the Tot Lot.
• Sport Court Net and winch – This
project is still in process. Dale
Prior assisted us with the research
for replacing the net and winch.
The Board approved the project
to be done in the spring. Dale also
volunteered to remove the old net
since it is now considered a potential
injury risk.
• Stop sign at SE 154th and 141st
Pl SE –This issue is still in process.
John was able to make contact with
the original engineer on this project
and he has assured us the stop
sign will be installed in the relative
near future. It was suggested by a
homeowner that one of the hedges at
this intersection be lowered to assist
with vision and that caution be used
when approaching the intersection.
It was also suggested by another
homeowner that the intersection of
143rd Ave SE and SE 157th Place
in Woodward could benefit by
some traffic control signage. John
Wruble said he would bring it to the
attention of King County DOT for
review.
• Neighborhood Night Out – This
annual event was held in August
at the Tot Lot and was considered
a big success. There were many
residents from both The Gables
and Woodward present. Thank
you to John and Becky Wruble
for providing the ice cream and
popsicles which were enjoyed by all!
• Halloween 2010 – This was
again a very successful event
with approximately 50 children
attending. The costumes were great,
the treats tasty, and a good time was
had by all. Thank you to Jeri Martin
and Joyce Keil for their hard work in
presenting this event.
• Christmas Decorating contest,
2010 – This popular contest was
again held and the outside home
decorations spectacular, as usual. We
are considering a modification in
judging for the 2011 contest which
will be announced later.
2011 Challenges
• Burglaries – Over the past year
there have been several burglaries
and break-ins reported. It has been
suggested that residents be alert to
any suspicious activities going on
and not hesitate to call 911. It was
also suggested neighbors consider
leaving their porch lights on at
night, be sure any cars left outside
are locked, and that garage doors
be down and secured when not in
use. Leaving extra keys under door
mats and in flower pots is also not
considered a good idea.
• Foreclosures – There are currently 6
foreclosures being processed. While
these homes are vacant, neighbors
have been asked to help keep
the lawns mowed and sidewalks
cleaned. If you see something
needing attention and the home is
listed with a realtor, give them a call
as well.
• General upkeep – Look around
your property to determine if there
is something needing attention.
Shrubs are maturing and becoming
overgrown in some areas, some
homes need cleaning and/or
painting. We were all asked to be
aware that some trees were planted
very close to water and sewer lines
and may be impairing them.
• Pet Refuse – There have been
numerous reports of pet waste being
left on lawns, including the Tot Lot
and Sport Court lawns. Please be
considerate of others when walking
your pets, and always have them on
leash and clean up after them.
• 2011 Budget Review – An analysis
of expenses was provided. With
the exception of the arborist and
fence project costs we maintained
expenses well. It was shown that
the routine costs used most of
the budget and left very little for
increasing maintenance expenses
which will likely increase as our
neighborhood ages.
• 2012 Budget Review – Chris and
John went over the proposed budget
for 2012, showing why an increase in
annual association dues is necessary.
The dues had not been raised since
they were started in 1998. The
pressure of increased maintenance
costs and a higher percentage
of homeowners defaulting on
their homeowner dues made it a
requirement to raise the homeowner
dues. The board had voted in August
to raise the dues $45 (15%) starting
in 2012. This was consistent with
section 7.3 of the EFHOA CC&R’s.
The budget will be posted on the
website for all to review.
• Comments from homeowners
– It was suggested that we again
consider having a Block Watch
for our neighborhoods. Shirleann
Nold and Christ Rodrigues both
volunteered to be Block Watch
Captains for their blocks and
someone will be appointed to chair
this very important project and see
if we can generate enough interest to
get it started.
• Hill Erosion Issue – There is
nothing new to report at this time.
Our attorney is looking into the
matter to determine what, if any,
responsibility the HOA has, and
what , if anything, needs to be done
at this time.
• • Election of 2012 Board
Members - Since there were not
enoughhomeownerspresenttomake
a quorum, an official election could
not be held. However, nominations
were taken from the floor for open
Board positions. Heidi Adamson
was nominated, she graciously
accepted, and the nomination
was unanimously approved by the
informal homeowner vote. There
were several other names listed to
fill vacated positions as well. A final
determination and vote will be taken
by the Board at the November, 2011
meeting. We thank each and every
person who has expressed an interest
in helping fulfill these important
and necessary positions.
The meeting was adjourned at 9:15pm.
The Board meetings are held the 4th
Tuesday of every month. The next
meeting will be held on November 22,
2011 at 7:00 pm at the Nativity Lutheran
Church. Residents are encouraged to
attend.

PROFESSIONAL AND RETAIL
ABOUT YOUR TAXES & FINANCES
by David A. Williams, CPA, CFP®
CHOOSING THE RIGHT ENTITY TYPE FOR YOUR BUSINESS
Are you thinking about
going into business for yourself? Or
have you already taken the plunge
and opened your own business?
With high levels of unemployment
and business uncertainty in
today’s economic environment,
more people are choosing selfemployment
than ever before. If
you are thinking about or have
already decided to open your own
business, congratulations!
Many people choose selfemployment
because it gives them
greater control over their lives.
As their own bosses, they have
increased ability to determine when
and where they will work, who will
be their customers, what services or
products they will provide, and the
form of their compensation. The
greater amount of control enjoyed
by self-employed individuals is
often accompanied by greater
amounts of responsibility and
the requirement to make more
decisions.
One of the first decisions
confronted by every new business
owner is to choose how their
business will be set up. Many new
business owners do not realize
the importance of selecting their
business type or even that this is a
decision that they should make. The
business entity is very important
because it determines many aspects
of the business including (but not
limited to):
• if the owner is treated as an
employee of the business and
how they are compensated
• if and how the owner’s
compensation and benefits are
deductible on the business tax
return
• how and when taxes are paid on
the owner’s compensation and
share of business net income
• the extent of the business
owner’s personal liability for
the business
• how to claim a deduction for
business use of the owner’s
home or other property
• the business owner’s eligibly
for industrial insurance or
unemployment insurance
coverage
• retirement savings options of
the business owner
• the number and types of owners
of the business
• what tax return(s) is required
signed by two members of the Forest
Estates board to be valid.
CC&R: The yard cleanup of one
home that has been unoccupied
for several years was completed by
our landscaper. Another home in
disrepair had a new roof installed after
a successful short sale. The board
reminds all homeowners that they are
responsible for general maintenance
of the curb and sidewalk adjacent to
their homes. Please contact a board
member with any CC&R compliance
concerns.
Landscaping: The traffic islands will
all have one more clean up before
the end of the year. The contract
with our current landscaper was
renewed for 2012 at the same cost
as last year. A second bid for possible
removal of trees in the Big Toy park
was received. Randall will obtain
one more bid. The broken basketball
stand post in the park will be dug up
and removed. Several homeowners
have volunteered to help with a few
repairs to the Big Toy structure.
Chris will coordinate. The board
asked for an estimate of repair costs
before the work is initiated. Randall
will investigate improved solar lights
for the entrance. If you have any
common area landscaping concerns,
please contact a board member.
2012 Budget: The 2012 budget was
interested in volunteering for the
2012 board are encouraged to
attend the Oct board meeting and/
or contact a board member to have
your name added to the ballot for the
annual meeting on Nov 3rd.
New Board Member: The board voted
to add homeowner Duane Jones to
the board effective immediately.
2012 Board: The current board
is looking for volunteers to come
forward for 2012. The board must
have a minimum of three and
maximum of nine members. This
is your opportunity to join all the
past board members and committee
volunteers that have helped keep
Forest Estates a desirable community
in which to live. Many of your
neighbors have already contributed
by serving in the past. Is it your turn
now? Please call or email a current
programs also require homeowners
to add more insulation to obtain
the rebate. Attic, wall and, in some
cases, under floor insulation must
be added to get the utility rebate on
new double pane windows or a high
For 2011 as an example, the
Federal Tax Credit is 10% up to
$200 for windows and skylights and
10% up to $500 for exterior doors.
This compares to the $1500 offered
in 2009 when Obama signed the
credit into law. While the credit
isn’t as large as in 2009, homeowners
that have yet to use their credit
now have only a month and a half
to take advantage of the program.
No details have been released as to
what is planned for 2012 in regards
to tax credits. With 2012 being an
election year, and the economy still
not recovering, who can say what
will come from Washington?
No one can deny the benefits
these programs have provided over
the last few years. Millions of dollars
are being saved by homeowners on
their energy bills and the utilities
are saving many more millions. It
is cheaper for the utilities to provide
are expensive and no one wants one
in their backyard.
emergencies.
Some examples of times when
you should call (206) 296-3311 are:
• Your house or car was broken into
yesterday.
• Your runaway child has returned
home.
• You need to add additional items
to the burglary report which you
made last week.
• Your car was stolen sometime
overnight.
• Someone stole your bicycle while
you were at school.
• There is an abandoned vehicle on
your street.
External Affairs: Erin Aboudara
On October 4th, the Board held
an educational Emergency Preparedness
meeting at Fairwood Golf & Country
Club. The meeting was attended by
about 45 homeowners and information
was taught by 2 Renton Firefighters
and a Deputy Director of King County
Dept. of Emergency Management and
2 volunteers from Renton Emergency
Communications Service (ham radio
operators) also participated.
A few CERT team members
from Fairwood Greens, including myself,
also attended the meeting. After the
earthquake in Japan earlier this year, a few
homeowners requested that the Board
hold an emergency preparedness meeting
to inform residents on how to become
prepared for several different types of
likely emergencies that could affect the
Fairwood area.
I have extra print materials that
I will bring to regular Board meetings
until we run out that primarily deal
with how to get prepared for natural
disasters such as earthquakes or winter
storms and potential hazards around
your household and neighborhood after
a major emergency.
The Board encourages all
homeowners to get their households
prepared for a minimum of 3 days,
preferably 7 days, of non-perishable food,
fresh drinking water, medications, first
aid supplies, and warm blankets for each
member of the home and don’t forget to
have enough supplies for your pets during
an emergency. Keep extra clothing and
jackets on hand to take with you if your
home were to be damaged and you need
to evacuate quickly. Batteries, flashlights
and an emergency radio are very valuable
items to have on hand as well.
Renton Technical College offers
many informative classes on preparedness
and also CERT training is offered
twice per year. I will keep homeowners
informed as to when the next series of
classes are available for registration. Some
are free classes and others have a small fee.
Big thanks to Trustee Bonnie
Lyon of Special Projects Committee,
for helping me plan the meeting, for
arranging the meeting location and
creating the postcard invitations that were
sent to all Fairwood Greens residents a
few weeks ago! Her efforts are very much
appreciated.
Toddler Park property encroachment-
Jim Canterbury
During process of viewing
Toddler Park for recent work,
topography was done and discovered
land encroachment was done on the
Fairwood Greens property. Homeowner
has been waiting for several years for
someone from the Board to contact him
about this issue. He bought the property
as is. The encroachment happened 20+
years ago. Not likely that the HOA will
go ahead with any litigation to get the
property back based on cost and advice
from the Association’s Attorney. A letter
will be written outlining the reasons for
the Board decision for the HOA files.
Street Light poles- Jim Canterbury
Recently Jerry Smith and I met
with a person from PSE to address the
light issues within the Greens. Currently
there are 374 poles in the Greens, five
different types. Discussion was held
trying to see what PSE would be willing
to do with the lights.
The Trustee Committee
Assignments for year 2011 – 2012 were
Announcements & Reminders
• ACC Requests - The HOA
CC&Rs and Rules and
Regulations documents clearly
state that exterior projects such
as roofs, painting, fencing, decks
and patios require the submission
and approval of an ACC request
before commencing the project.
The ACC has up to 30 days to
respond to an ACC request but
tries to respond much sooner.
It is recommended that if a
response to an ACC request has
not been received within two
weeks, the homeowner contact
the ACC Chairperson via email
at architecture@crcwhoa.org or
by leaving a voice message at 425-
Cold Weather Household
“To Do” List
1. Check the furnace - it may be time for new filters.
2. Check the smoke detector - did you change the batteries in
June?
3. Check the carbon monoxide detector or install. Carbon
monoxide is an odorless killer.
4. Fire up your furnace once as warmer weather’s winding
down to burn off any accumulated dust so you’re not trapped
inside with “that burny smell” on the first cold day!
5. It’s also a good time to run the oven’s cleaning cycle while
it’s warm enough to leave windows open to catch the breeze.
6. Have your furnace periodically checked by a professional
to make sure it’s operating at peak efficiency and that your
ducts are clear of dust & debris, properly sealed and aren’t
leaking hot air into your attic or crawl-space!
7. Have wood stove and fireplace chimneys checked and
cleaned as needed. Chimney fires aren’t fun!
8. Make sure any floor or baseboard heaters are clear and that
nothing has been placed on top or against them over the -
it’s one of the top causes of home fires.
9. Check doors and windows to make sure seals and weatherstriping
are doing their job. Feel any cool air coming in? That
means heat is going out and costing you money.
10. Clean out the rain gutters and make sure they’re flowing
clearly before rainy season starts.
11. Don’t forget to apply moss control or winterizer fertilizer to
the lawn. It’s also the perfect time to over-seed your lawn.
12. Check trees and large shrubs for weakened limbs or dead
branches that should be removed.
13. Think about planting some spring-blooming bulbs now for a
burst of color in spring.
14. Scrub down and cover the patio furniture so it’s ready to use
at a moment’s notice when clear weather comes.
15. Have you checked your tires and brakes recently? Fall means
wet weather and slippery roads.
16. It’s a good time to clean your car’s inside windows to remove
any haze that only gets worse as windows fog up.
17. Time to take the chains or cables out of the garage and put
them back in the trunk so they’re ready in case icy roads
suddenly appear.
18. Put insulated covers on outdoor faucets - it may be a long,
cold winter. Burst pipes can lead to costly repair bills.
19. As temperatures drop, little furry varmints try to find ways
into warmer areas. Make sure your crawl-space attic vent
screens are tightly attached and in place - and the same
goes for clothes dryer and cooktop vents. Little varmints
can do big and costly damage to insulation and wiring (wire
insulation is a tasty snack to them) under the house, in the
attic or garage if they get in.

COLLEGE ADMISSIONS 101
Monday, Nov 14, 2011 - 7 PM
For teens and their parents. A lot of the
information families hear from friends
about getting into college is just plain
wrong. So we created this seminar to
answer the question, “What are colleges
really looking for? Are grades, test scores
and activities all equally important?
What other factors are considered during
the admissions process? And is it true
that having a connection to someone
can get you in?” We’ll talk about all of
those things and take you behind the
scenes of a college admissions office to
show you exactly how they evaluate and
select students.
The inventory of unsold homes and the number of new foreclosures is fi nally shrinking. Sales are happening in Fairwood.
When prices get lower, more houses get sold. I think a lot of people who have been sitting on the sidelines are starting
to get into the market. They are thinking that maybe prices haven’t hit bottom yet—but they are good enough. With our
diverse economy of Boeing and dot-com companies in a booming state, our area is one of the regions were sales have taken
off in the right direction. See the chart below where it shows our 98058 zip code is following that exciting upward direction!
Saturday, Nov 19, 2011 - 2 PM
Presented by Elizabeth Payne, University
and Nutrition. Television use is at an
all-time high among preschoolers -
according to Nielsen, young children
spend, on average, more than 24 hours
a week watching TV. This number
does not even include video games,
David Williams: About Taxes and Finances
Continued from Page 9
to be filed with the IRS for the
business
• how business net income is
allocated among and reported
to the business owners
• if the net income of the business
is subject to “double taxation”
This article will introduce
the five major business entity types
and provide an overview of their
major characteristics.
SOLE PROPRIETORSHIP
A sole proprietorship is the
simplest form of business for an
enterprise that is owned entirely
by one person (a married couple
that own 100% of a business can
also elect to be treated as a sole
proprietorship). If an individual
operates a trade or business
without taking any formal steps to
organize a separate business entity,
this business is “unincorporated”
and will – by default – be treated
as a sole proprietorship. This is
the easiest business to organize
with minimal legal restrictions.
From the IRS’ perspective, the
business owner and the business
are considered to be the same. The
business income and expenses are
reported on Schedule C of the
business owner’s individual income
tax return.
A sole proprietor is not
an “employee” of and does not
receive W-2 wages from his or her
business, the business does not
withhold or remit any taxes for the
owner, and the business owner is
responsible for the payment of all
of their self-employment taxes (the
“employer’s” and the “employee’s”
share of FICA taxes) and income
taxes on the business net income.
The failure of sole proprietors
to make adequate estimated tax
payments throughout the year can
result in large amounts of taxes due
when they file their annual income
tax returns, the assessment by the
IRS of penalties and interest, and –
in some cases – the inability of the
business owner to continue being
self-employed.
A characteristic of a sole
proprietorship is that the business
owner of the business is personally
liable for all debts incurred by the
proprietorship. It is very important
that owners of sole proprietorships
understand and accept this liability.
If they want to limit their personal
liability, they should consider other
business entity options.
PARTNERSHIP
A “general” partnership
exists when two or more persons
or legal entities jointly own an
unincorporated business (a married
couple that own 100% of a business
can also elect to be treated as a sole
proprietorship). A partnership is
easy to organize and has minimal
legal restrictions. There are no legal
limitations on the number or type of
partners in a partnership (although
there are practical limitations). A
partnership files a separate federal
income tax return, and the partners
are responsible for paying all taxes
on their compensation and share
of partnership income on their
individual income tax returns
(explained further in the following
paragraph).
Similar to a sole proprietor,
a partner is not an “employee” of
and does not receive W-2 wages
from the partnership. A partner
who works in the business does
receive “guaranteed wages” from
the partnership, but the partnership
does not withhold any taxes from
the partner’s guaranteed payments.
To avoid major headaches, partners
need to be aware of their estimated
tax payment responsibility.
A partnership offers greater
flexibility than a corporation
in dividing up profits, losses,
ownership of capital, and making
special allocations to partners. A
general partnership may or may
not have a written partnership
agreement that spells out the rights
and duties of the partners relative
to the partnership assets, liabilities,
income (loss) and control of
business operations. Although
a formal partnership agreement
is not required, it is highly
recommended and often will
facilitate partnership ownership
transfers or terminations.
All general partners are
“jointly and severally” liable for all
partnership debts (which means
that each partner can be held
liable by third parties for the entire
partnership debt).
“S” CORPORATION
A Washington-state
corporation is a legal association
formed to carry on a trade or
business by filing articles of
incorporation with the Washington
State Secretary of State. Ownership
is through owning shares of stock
of the corporation, and each
owner’s liability is limited. Forming
a corporation may require complex
and expensive legal procedures.
Corporations are required to hold
meetings of board members and
shareholders as well as maintaining
corporate minutes.
If a corporation is owned
by 100 or fewer shareholders that
are individuals, estates, certain
trusts, and certain charities
(which describes most closely-held
corporations), the owners of the
corporation can file an election
with the IRS to elect to be treated
as an “S” Corporation. An “S”
Corporation is a “flow-through
entity” that does not pay income
taxes on its net income. Instead,
the “S” Corporation shareholders
pay taxes on their shares of “S”
Corporation net income on their
individual income tax returns.
“S” Corporation
shareholders who work in the
businessare“employees”andshould
receive W-2 wages which are subject
to payroll taxes. “S” Corporation
owner/employees are required to
receive “reasonable W-2 wages”
for their work as employees of the
corporation. After they have been
paid their reasonable W-2 wages,
these owner/employees (as well as
owners who do not work in the
business) can receive shareholder
distributions that are not subject
to payroll taxes. This opportunity
to reduce the amount of payroll
taxes paid by a “S” Corporation
shareholder can result in significant
tax savings if done properly. Failure
to pay reasonable W-2 wages to
“S” Corporation owner/employees
is carefully monitored by the IRS
and the reason that the IRS audits
many “S” Corporations.
“C” CORPORATION
The process of forming a
corporation is described in the first
paragraph of the section on “S”
Corporations. A “C” Corporation
exists whenever a corporation does
not file an election to be treated
as an “S” Corporation. There is
no limit on the number or type of
shareholders of a “C” Corporation.
A “C” Corporation files a separate
income tax return and is required
to pay corporate income tax on
the net income of the corporation.
Corporate owners who work in
the business are employees of
the corporation and receive W-2
wages. Like not-owner employees,
the corporation withholds income
taxes and the employee’s portion of
FICA taxes from the gross wages
of owners. In addition to wages
for work performed, owners of C
corporations may receive dividends
from the corporation. Dividends
paid to corporate shareholders
are paid out of previously-taxed
retained earnings of the corporation
and are not deductible by the
corporation. Dividends received by
shareholders are subject to tax on
the shareholder’s individual income
tax return. This is the “double
taxation” that many business
owners would like to avoid.
LIMITED LIABILITY COMPANY
Under the laws of most U.S.
state, a Limited Liability Company
(often referred to as an “LLC”) is a
legal form for a business entity that
provideslimitedliabilitytoitowners
without much of the complexity
required for a corporation. An LLC
is a hybrid business entity having
certain characteristics of both a
corporation and an unincorporated
business. The primary characteristic
it shares with a corporation is
limited liability, and the primary
characteristic it shares with a sole
proprietorship or a partnership
is the availability of pass-through
income taxation. An LLC is often
more flexible than a corporation
and is well suited for many small
companies. The limited liability
offered to owners of businesses
organized an LLCs along with
decreased complexity, restrictions
and requirements make an LLC a
very attractive way to set up many
small businesses.
The IRS does not have a
separate income tax return for
LLCs. Instead, an LLC reports as
a sole proprietorship, partnership,
“S” Corporation, or “C”
Corporation depending on the
number of owners of the LLC and/
or tax-treatment election that has
been filed with the IRS.
IN CONCLUSION
As summarized above, selecting
the structure of your business is
very important and has significant
consequences to the business
owner. Whether you are thinking
about starting a new business, have
already started your new business,
or have a well-established business,
I encourage you to carefully
consider the different entity choices
that are available for your business.
To discuss what form of business
would be most appropriate and
beneficial for you, I invite you to
