TENDER CALL NOTICE<br />

Sealed Tenders are invited from RQPs/ Consultants/Agencies (herein after will be referred as<br />

Tenderer/Agencies) having valid registration as RQP from Indian Bureau <strong>of</strong> Mines (IBM) and fulfilling<br />

the eligibility criteria as prescribed below.<br />

i) The agency must have valid registration as RQP from Indian Bureau <strong>of</strong> Mines (IBM) on the<br />

date <strong>of</strong> opening <strong>of</strong> tender. The copies <strong>of</strong> RQP certificate duly authenticated by the agency are to<br />

be furnished.<br />

ii) The Agency should have prepared and got approved a minimum <strong>of</strong> 5(five) nos. <strong>of</strong> <strong>Mining</strong><br />

plan/<strong>Mining</strong> Scheme/Modification <strong>of</strong> <strong>Mining</strong> Plans/modification <strong>of</strong> mining Schemes/FMCP<br />

within last 10 financial years. At least one out <strong>of</strong> the <strong>Mining</strong> Plans/<strong>Mining</strong><br />

Schemes/Modification to the <strong>Mining</strong> Plan/Modification to the scheme <strong>of</strong> mining/ FMCP should<br />

be <strong>of</strong> fully mechanized category). List & copy <strong>of</strong> pro<strong>of</strong> <strong>of</strong> all such approvals duly authenticated<br />

by the agency should be furnished.<br />

iii) The Agency must have valid Service Tax Regn. Number if applicable & PAN No. (Photo copy<br />

<strong>of</strong> the documents duly authenticated by the agency should be produced).


4). The interested Agencies, may download the Tender Schedule from the website <strong>of</strong> OMC<br />

(www.orissamining.com) and the tenderer are required to submit the tender along with Demand<br />

Draft/Pay order for Rs.5250/-(Rs.5000 plus VAT @ 5% totaling Rs.5250/-Rupees Five<br />

Thousand two hundred & fifty only) drawn in favour <strong>of</strong> <strong>Odisha</strong> <strong>Mining</strong> Corporation Limited,<br />

Bhubaneswar payable at any Scheduled Bank at Bhubaneswar towards the cost <strong>of</strong> the Tender<br />

Schedule (non-refundable).<br />

5) Sealed tenders enclosing the technical bid and price bid in separate sealed covers shall be<br />

received on or before 15.03.2013 up to 3.00 P.M. The tenderers are required to submit both parts<br />

<strong>of</strong> the tender in a separate envelope duly sealed and appropriately superscribed with the Tender<br />

Notice No.& Name <strong>of</strong> the work. The Earnest Money Deposit (EMD) will be submitted as a part<br />

<strong>of</strong> Technical Bid. Each bid should be superscribed on the sealed cover as “Technical bid” or<br />

“Price bid”. Sealed envelope containing both parts <strong>of</strong> the <strong>of</strong>fer shall be placed inside another<br />

envelope duly sealed and addressed to Addl. General Manager (<strong>Mining</strong>), OMC Ltd., Post Box<br />

No.34, Bhubaneswar-751001. The full name and address <strong>of</strong> the tenderer, name <strong>of</strong> the work and<br />

tender number shall be clearly represented on the envelope. The Technical bid must be<br />

accompanied with the Earnest Money Deposit (EMD) <strong>of</strong> Rs.25,000/- (Rupees Twenty-five<br />

Thousands only) in shape <strong>of</strong> Demand Draft/Pay Order drawn in favour <strong>of</strong> <strong>Odisha</strong> <strong>Mining</strong><br />

Corporation Limited, Bhubaneswar payable at any Scheduled Bank at Bhubaneswar . Technical<br />

bids will be opened on the same day at 4.00 P.M. in presence <strong>of</strong> the bidders or their authorized<br />

representatives, if available.<br />

After evaluation <strong>of</strong> the technical bids by a committee <strong>of</strong> OMC, price bids <strong>of</strong> the Agencies<br />

qualifying in the technical bid, will be opened on a date, which will be separately intimated to<br />

the bidders qualifying in the technical bid. The Agencies bidding L 1 price, will be allocated with<br />

the work after negotiation.<br />

6) This tender call notice shall be subject to the terms & conditions <strong>of</strong> the tender schedule.<br />

The <strong>Odisha</strong> <strong>Mining</strong> Corporation Limited reserves the right to accept or reject the tender<br />

<strong>of</strong>fers without assigning any reason there<strong>of</strong>.<br />

Part-I<br />

Technical Bid<br />

TENDER SCHEDULE FOR PREPARATION, SUBMISSION & OBTAINING APPROVAL OF MINING SCHEME<br />

WITH PMCP & FEASIBILITY REPORT OF KATHPAL CHROMITE MINES & NISHIKHAL MANGANESE<br />

MINES OF OMC LTD IN DHENKANAL & RAYAGADA DISTRICTS OF ODISHA RESPECTIVELY.<br />

INSTRUCTION TO TENDERER.<br />

1. The tender consists <strong>of</strong> two parts, i.e. Technical Bid and Price Bid. Both parts shall be duly filled<br />

in and signed by the tenderer.<br />

2. Duly filled in tenders are to be deposited in the Tender Box kept in the Office <strong>of</strong> Addl.General<br />

Manager (<strong>Mining</strong>), OMC, Head Office on or before 3.00 PM on 15.03.2013. The tender can be<br />

sent by post or courier but tender(s) delivered after the due date/time shall not be entertained at<br />

all.<br />

3. The main sealed envelope containing the two sealed envelopes (Part-I, Part-II) will be opened at<br />

4.00 PM on 15.03.2013 in the presence <strong>of</strong> the tenderers or their authorised representatives who<br />

wish to be present. Immediately thereafter, The Part-I <strong>of</strong>fer <strong>of</strong> the tenderers will be opened.<br />

Instead <strong>of</strong> a tenderer, when a representative wishes to remain present at the time <strong>of</strong> opening <strong>of</strong><br />

the Part-I <strong>of</strong> the tender on the date fixed, he shall have to produce a letter <strong>of</strong> authority on the<br />

letterhead/pad <strong>of</strong> the tenderer duly signed or a power <strong>of</strong> attorney executed by the tenderer to that<br />

effect.<br />

4. The price bid <strong>of</strong> the technically qualified tenderers after completion <strong>of</strong> scrutiny <strong>of</strong> the Technical<br />

part, will be opened at a later date in presence <strong>of</strong> the tenderers or their authorised representatives<br />

who wish to be present. The date <strong>of</strong> opening <strong>of</strong> the price bid (Part-II) will be separately<br />

intimated to all the qualified tenderers in advance.<br />

5. The tenderer shall sign each and every page <strong>of</strong> the tender documents and submit the tender<br />

complete in all respect and in the appropriate part <strong>of</strong> the bid.<br />

6. Tenders not received in the prescribed form as specified in the Tender Notice/documents and<br />

without earnest money shall be summararily rejected.<br />

7. The Agencies either proprietor/partner/company should have his/its own experience in<br />

preparation <strong>of</strong> <strong>Mining</strong> Plans/<strong>Mining</strong> Schemes/Modification <strong>of</strong> <strong>Mining</strong> Plans/ modification <strong>of</strong><br />

<strong>Mining</strong> Scheme/FMCP <strong>of</strong> mechanized & other than fully mechanized mines.<br />

8. The tenderers shall furnish the following documents in addition to those listed under submitted<br />

by the agency.<br />

<strong>Category</strong> <strong>of</strong> tenderer, whether proprietary concern/partnership whether registered or<br />

unregistered, Private Limited Company, Public Limited Company, Co-Operative Society etc.<br />

along with following documents.<br />

i) In case <strong>of</strong> proprietary firm, affidavit <strong>of</strong> Sole Proprietorship.<br />

ii) In case <strong>of</strong> Partnership firm, attested copy <strong>of</strong> Registered Partnership deed along with<br />

amendments, if any, and the pro<strong>of</strong> <strong>of</strong> registration, if any.<br />

iii) In case <strong>of</strong> Limited Companies, Memorandum and Articles <strong>of</strong> Association, Certificate <strong>of</strong><br />

Incorporation, authorised, subscribed and paid up capital.<br />

iv) In case <strong>of</strong> Co-operative Society, attested copy <strong>of</strong> the certificate <strong>of</strong> registration from the<br />

Registrar <strong>of</strong> Co-operative Societies.


9. Tender by a partnership firm shall be signed in the firm’s name by the Managing Partner or one<br />

<strong>of</strong> the partners by any other duly authorised representative followed by the name and<br />

designation <strong>of</strong> the person so signing; Tender by a limited Company shall be signed in the name<br />

<strong>of</strong> the company, by a person duly authorised on its behalf. A power <strong>of</strong> attorney or other<br />

satisfactory pro<strong>of</strong> showing that the person signing the tender document on behalf <strong>of</strong> the<br />

company is duly authorised to do so, shall accompany the tender. Tender submitted by tenderers<br />

without furnishing the full particulars and/or documents as asked in tender documents or<br />

furnishing particulars or submitting tender documents without strictly adhering to the directions<br />

given herein shall be rejected.<br />

10. Price Bid: The tenderer(s) shall submit the price bid as per the format given herein as “price<br />

bid”.<br />

11. Tenders containing signature on the page(s) <strong>of</strong> Price Bid and amount/quantity not shown in<br />

figures and words will be liable for rejection. No overwriting in price bid would be allowed.<br />

12. The rates and quantities quoted in the tender by the tenderer shall be in figure as well as in<br />

words. In case <strong>of</strong> discrepancy in the rate(s) amount/quantities between figure and words, the<br />

value written in words shall be taken as finally quoted rate(s)/amount/quantities.<br />

13. Canvassing in any form is strictly prohibited and tenders submitted by the tenderer who resort to<br />

canvassing, will be liable for rejection.<br />

14. The Company reserves the right to accept/reject any or all tenders without assigning any reason<br />

there<strong>of</strong>.<br />

15. It shall be deemed that the tenderer has visited and carefully inspected the location and<br />

topography <strong>of</strong> the mine lease area at the mines before submitting the tender and no dispute that<br />

the mines area for which this tender is floated was in any way vague, indefinite and smacked <strong>of</strong><br />

specificity would be entertained at any time.<br />

16. The above criteria and or conditions are immutable and do not admit <strong>of</strong> any exception.


DETAILS TO BE SUBMITTED BY THE AGENCY:<br />

The Agencies should furnish information & enclose supporting authenticated documents<br />

as listed under, while participating in the tender for the above work. The information so submitted are<br />

subject to verification by the OMC Ltd. and in case, the information so furnished or a part there<strong>of</strong> is<br />

found to be false/exaggerated/manipulated, the bid <strong>of</strong>fered by the Agencies shall be liable for rejection<br />

and the OMC Ltd. reserves all rights to reject the bid without assigning any reason there<strong>of</strong>.<br />

Bidders are advised to study the requirement <strong>of</strong> OMC and the Tender Schedule carefully on their<br />

own. Submission <strong>of</strong> bid shall be deemed to have been done after careful study and examination <strong>of</strong> the<br />

OMC requirements.<br />

II SCOPE OF WORK FOR PREPARATION, SUBMISSION & OBTAINING APPROVAL OF<br />

MINES & NISHIKHAL MANGANESE MINES OF OMC LTD IN DHENKANAL &<br />

RAYAGADA DISTRICTS OF ODISHA RESPECTIVELY.<br />

Preparation, submission & obtaining approval <strong>of</strong> the mining scheme with PMCP & Feasibility<br />

report <strong>of</strong><br />

III. TERMS AND CONDITIONS<br />

with all chapters, plates & annexures both hard & s<strong>of</strong>t. The<br />

draft shall be returned for necessary correction to the Agency<br />

in hard copy.<br />

5 Agency shall give a power point presentation <strong>of</strong> the rectified<br />

draft to OMC & according to the discussion on the rectified<br />

draft, prepare a final draft.<br />

6 The Agency shall give a final draft to OMC for submission<br />

to IBM, which will be signed by authorized signatory &<br />

submitted along with requisite fee to IBM.<br />

7 The Agency shall : i) persuade processing <strong>of</strong> the submitted<br />

draft & fixing up date for inspection at <strong>of</strong>fice <strong>of</strong> RCOM,IBM<br />

Bhubaneswar. ii) Co-ordinate the Inspection iii) Be<br />

physically present to explain the querries raised by the<br />

inspecting <strong>of</strong>ficial during the inspection, iv)Supplement with<br />

any additional information for clarification. v)Constantly<br />

intimate AGM(Min), HO,OMCLtd regarding status till<br />

receipt <strong>of</strong> scrutiny remarks form IBM,Nagpur.<br />

8 The Agency shall ask OMC for any additional data as per<br />

scrutiny remarks issued by IBM Nagpur, and OMC shall<br />

supply<br />

9 The Agency shall comply scrutiny remarks raised by IBM<br />

Nagpur and submit final rectified copies to IBM.(In case <strong>of</strong><br />

receipt <strong>of</strong> scrutiny remarks again, the rectification shall be<br />

effected & submitted )<br />

10 The Agency shall obtain approval <strong>of</strong> IBM. Agency shall<br />

constantly intimate AGM(Min), HO,OMCLtd regarding<br />

status till receipt <strong>of</strong> the approval from IBM.<br />

11 The Agency shall submit 6(Six) hard copies along with 2<br />

(Two) s<strong>of</strong>t copies( (i) scan copies <strong>of</strong> the complete approved<br />

document & plan converted to .pdf format, (ii) text, table &<br />

calculations in editable format & drawings in AutoCAD/Arc<br />

GIS format) to Addl Gen Manager (<strong>Mining</strong>)OMC.<br />

The above work shall be executed under the guidance <strong>of</strong> AGM(Min) ,Head <strong>of</strong>fice<br />

The Agency shall submit duly signed requisition enclosing the consolidated list <strong>of</strong><br />

data/information required for the work awarded.<br />

The agency is to prepare all plans & sections (Geological, Year wise Development, Conceptual,,<br />

Environmental Management, Environment, Reclamation, Dump) consistent with supplied<br />

exploration data, production target, environment monitoring data etc on it’s own.<br />

Only authorized personnel/e.g. Geologists, <strong>Mining</strong> Engineers, Surveyors/AutoCAD draughtsman<br />

etc those who are connected to the specific work shall communicate with AGM(Min) <strong>of</strong> OMC Head<br />

<strong>of</strong>fice, with prior appointment regarding the work allotted/ information/data required & status.<br />

Data/information required by the Agencies will be collected from mine/region/HO & will be<br />

handed over to the agency on due acknowledgement.<br />

The Agency shall visit mine/ region/HO as frequently as it is required to at their own cost<br />

verify/discuss/clarify /deliberate & obtain suggestions for preparation <strong>of</strong> the Scheme <strong>of</strong> <strong>Mining</strong><br />

with PMCP & Feasibility Report.<br />

Any discrepancy/ clarification in respect to data/ information so received or for requirement <strong>of</strong><br />

supplementary/additional data, the Agencies shall have to submit a requisition as above again<br />

mentioning/justifying the requirement <strong>of</strong> such additional information.<br />

The Agency shall assimilate, validate, compile & consolidate all data/information collected for<br />

their consistency, prior to incorporation <strong>of</strong> the same in the <strong>Mining</strong> Scheme with PMCP &<br />

Feasibility Report.<br />

The draft complete in all respect enclosing texts, plates, Annexures & photographs, is to be<br />

submitted in duplicate hard copy along with a letter under the signature <strong>of</strong> authorized signatory to<br />

OMC for scrutiny. This is to be followed by a power point presentation at place, date & time to be<br />

decided by OMC.<br />

The Agency should verify the Lease plan <strong>of</strong> the M/L, Updated Surface plan, Land use Plan, and<br />

conduct re-survey <strong>of</strong> the area, if the features in the submitted plan does not appear to have been<br />

properly plotted, & survey is required on the basis <strong>of</strong> which <strong>Mining</strong> Scheme with PMCP &<br />

Feasibility Report is to be prepared.<br />

While preparing for submission <strong>of</strong> <strong>Mining</strong> Scheme for approval, the agency shall comply with the<br />

IBM’s Circular No.1/93 and Circular No.10/2006 in this matter. This will include the<br />

Environment Management plan and an Environmental Impact Assessment <strong>State</strong>ment. The<br />

preparation <strong>of</strong> <strong>Mining</strong> Scheme must be in accordance with the latest guidelines/circulars issued by<br />

IBM from time to time. In this regard, the agency may refer to the various circulars issued by IBM<br />

and incorporate the same while preparing the <strong>Mining</strong> Scheme.<br />

The agency shall adhere to the guidelines <strong>of</strong> IBM circular No.14/2003 and CCOM’s Circular<br />

4/2006 while preparing Mine Closure Plans including a Progressive Mine Closure plan (as a<br />

component <strong>of</strong> mining plan). The agency shall also adhere to the IBM circular No.1/2006,<br />

regarding UNFC classification <strong>of</strong> reserves/ resources supported by pre-feasibility and feasibility<br />

study. Preparation <strong>of</strong> <strong>Mining</strong> Scheme shall be in compliance with IBM Circular No. 2/91,<br />

Regarding Outline <strong>of</strong> <strong>Mining</strong> Scheme including Environmental Management Plan(EMP) IBM<br />

circular Nos 3/91, 4/91 & 3/92 to be followed. Regarding standardization <strong>of</strong> map and<br />

plans/sections symbols IBM circular Nos 5/91 to be followed.<br />

All documents are to be prepared in strict adherence to the applicable Acts, Rules, Regulations &<br />

circulars, guidelines, orders issued there under.<br />

Reclamation plan, as necessary, has to be prepared by the Agency.


The Scheme <strong>of</strong> <strong>Mining</strong> with PMCP & Feasibility Report is to be prepared considering the EC &<br />

FDP conditions and in such a way, so that required data for EC and FDP can be retrieved.<br />

All statutory clearances whether approved or in process like forest diversion proposal, environment<br />

clearance, Consent to operate, DGMS approval etc are to be taken into consideration while<br />

preparing the <strong>Mining</strong> Scheme with PMCP & Feasibility Report.<br />

The total time <strong>of</strong> completion <strong>of</strong> the entire work under Clause III(Preparation and sub<br />

mission <strong>of</strong> approved copy to OMC) is limited to one hundred eighty days(180 days).<br />

During the pendency <strong>of</strong> this contract if any new Act/Rule/Regulation/circular/guideline is enforced<br />

by any concerned authority, the agency entrusted with this work shall comply with the conditions<br />

<strong>of</strong> the same for getting approval from IBM at the approved price without any additional financial<br />

burden to OMC.<br />

IV OBLIGATION OF THE OMC LTD.<br />

1. The OMC Ltd will supply additional Geological data if any with supporting plans and sections,<br />

updated pit position, pr<strong>of</strong>iles etc for development planning as per proposed rate <strong>of</strong> production to the<br />

Agency for the preparation <strong>of</strong> the report within thirty(30) day’s from receipt <strong>of</strong> written requisition<br />

from the Agency. The Agency shall check the adequacy <strong>of</strong> data/information supplied for carrying out<br />

the assignment and will confirm to the OMC Ltd. the adequacy/ inadequacy <strong>of</strong> the available data<br />

within 2 (Two) days <strong>of</strong> receipt <strong>of</strong> the relevant data/information from the OMC. Ltd failing which it<br />

shall be construed that the information provided are adequate.<br />

2. All statutory charges/expenses/application fees etc., if any, which are required to be paid to IBM, shall<br />

be borne and paid by the OMC Ltd.<br />

V. PAYMENT TERMS:<br />

1. 30% (Thirty percent) <strong>of</strong> the total work value will be released on completion <strong>of</strong> the work indicated<br />

as per item No 1 to 6 <strong>of</strong> Clause No. III.<br />

2. Further 20% (Twenty percent) <strong>of</strong> the total work value will be released after completion <strong>of</strong> the work<br />

indicated as per item No.10 <strong>of</strong> Clause No. III.<br />

3. The balance 50% (Fifty percent) <strong>of</strong> the total work value will be released after completion <strong>of</strong> the<br />

work indicated as per item No 11 <strong>of</strong> Clause No. III.<br />

4. TDS and Surcharge as per IT Act-1961 shall be deducted from each running bill. Service Tax, as<br />

applicable, shall be paid by OMC extra on production <strong>of</strong> invoice as per rule <strong>of</strong> service tax rule &<br />

the agency has to produce service Tax Registration Certificate for the purpose under this service.<br />

Other taxes, as applicable, shall be to the account <strong>of</strong> the Consultant/Agency. The above payments<br />

will be released at HO on recommendation <strong>of</strong> Addl Gen Manager (<strong>Mining</strong>).<br />

5. The bills in respect <strong>of</strong> above works are to be submitted in triplicate along with the approval letter,<br />

Six bound copies <strong>of</strong> the approved proposal, 2 s<strong>of</strong>t copies <strong>of</strong> the entire document (one in .pdf &<br />

another in its own format) to Addl Gen Manager (<strong>Mining</strong>), OMC Ltd, Bhubaneswar.<br />

6. For inspection <strong>of</strong> the visiting <strong>of</strong>ficials from the <strong>Govt</strong>. <strong>of</strong> India in connection with the approval <strong>of</strong><br />

the proposal, the OMC will arrange free transport & accommodation.<br />

7. The Consultant/Agency shall visit the site at it’s own cost.<br />

8. The visit to IBM and any other <strong>of</strong>fices in connection with the above work, no separate payment<br />

will be made. This is included in the total fees for the assignment <strong>of</strong> the above job.


VI.<br />

OTHER TERMS AND CONDITIONS.<br />

1 The Agency is required to discuss with the concerned Manager (<strong>Mining</strong>) at site, Regional<br />

Manager & Head <strong>of</strong> Geology at the Regional Office after receiving the details information from<br />

O.M.C head <strong>of</strong>fice & before submission <strong>of</strong> draft to OMC regarding development <strong>of</strong> mines and<br />

other related mining activities in connection with preparation <strong>of</strong> the <strong>Mining</strong> scheme at it’s cost.<br />

2, The subject indicating the lease and details <strong>of</strong> the <strong>Mining</strong> scheme should not be published in any<br />

manner or discussions made in any Seminar/Technical Forum without prior permission <strong>of</strong> the<br />

OMC’s Management.<br />

3 Regarding any dispute arising while undertaking the job and extension <strong>of</strong> time <strong>of</strong> contract etc. the<br />

decision <strong>of</strong> the Managing Director/CMD, OMC Ltd., will be final and binding on the<br />

Consultant/Agency.<br />

4. The OMC Ltd reserves the right to reject any bids/<strong>of</strong>fers without assigning any reason there<strong>of</strong>.<br />

5. The lowest price quoted for a lease will be the basis for selection for awarding the work relating to<br />

concerned lease.<br />

7. Arbitration:<br />

a) All disputes arising out <strong>of</strong> this work order shall be resolved amicably as provided under Clause VI<br />

(3) above. In the event the dispute is not resolved amicably, the same shall be referred for<br />

Arbitration in accordance with the Arbitration and Conciliation Act, 1996. The OMC Ltd. shall<br />

appoint the sole arbitrator, who shall ordinarily be retired High Court or District Judge <strong>of</strong> this<br />

state.<br />

b) The place <strong>of</strong> arbitration shall be Bhubaneswar and the language <strong>of</strong> the arbitration shall be<br />

English.<br />

VII.<br />

CONDITIONS FOR EMD.<br />

1. Technical bid must be accompanied with the Earnest Money Deposit ( EMD) in shape <strong>of</strong> Demand<br />

Draft/Pay Order <strong>of</strong> Rs.25,000/-(Rupees Twenty five Thousand only) in favour <strong>of</strong> <strong>Odisha</strong> <strong>Mining</strong><br />

Corporation Limited, Bhubaneswar payable at any Scheduled Bank at Bhubaneswar<br />

2. Tender without prescribed EMD shall be rejected.<br />

3. No interest shall accrue on the Earnest Money.<br />

4. The Earnest Money will be refunded to the unsuccessful bidders with in 15 days <strong>of</strong> finalization <strong>of</strong> the<br />

tender on submission <strong>of</strong> application. If after issue <strong>of</strong> work order to the successful bidders, the work is<br />

abandoned or left incomplete, the EMD/ISD shall be forfeited.<br />

5. The Earnest Money <strong>of</strong> all the bidders shall be refunded in case the tender is cancelled by OMC Ltd.<br />

6. The EMD will be converted into initial security deposit (ISD) once the work is awarded to the<br />

Consultant/Agency. The ISD will be released after 30 days <strong>of</strong> the final payment is released on<br />

successful completion <strong>of</strong> work.<br />

VIII.<br />

PENALTY:<br />

(i)<br />

For any discrepancy observed regarding suitability <strong>of</strong> the <strong>Mining</strong> scheme with PMCP &<br />

Feasibility report as per requirement and efforts taken by the Agency in obtaining<br />

approval <strong>of</strong> IBM, the corresponding part <strong>of</strong> the work value shall not be paid and EMD/ISD<br />

deposited with OMC shall be forfeited, considering that the Agency has not properly<br />

attended the work assigned. OMC may take steps to black list such agency & debar from<br />

participating in similar tender for any work to such Agency in future.


(ii)<br />

Penalty @ 0.25% <strong>of</strong> the work value for delay <strong>of</strong> each week calculated from the next day <strong>of</strong><br />

scheduled date <strong>of</strong> completion. The total penalty to be imposed is subject to a maximum <strong>of</strong><br />

5% <strong>of</strong> the work value, which will be deducted from the bills. Any fraction <strong>of</strong> week more<br />

than 3 days will be calculated as one week for the above purpose by OMC. Where as less<br />

than 3 days may be condoned by OMC. However if the delay is not due to the fault <strong>of</strong> the<br />

contractor/Agency, it can be waived <strong>of</strong>f with the due approval <strong>of</strong> MD/CMD.<br />

IX.<br />

RISK PURCHASE:<br />

In the event <strong>of</strong> failure to fulfill the contract terms for execution <strong>of</strong> work as per letter <strong>of</strong><br />

intent/contract, the company reserves the right to make the contractual obligations carried out by<br />

alternative arrangement and the company shall recover from the tenderer any additional cost<br />

involved therein.<br />

The ISD <strong>of</strong> the agency shall be liable to be forfeited in case <strong>of</strong> failure to complete the job<br />

within stipulated period or within such extended period approved by the management.<br />

X. FORCE MAJURE:<br />

Either party shall be relieved <strong>of</strong> its obligations and responsibilities under this contract if the<br />

performance <strong>of</strong> this contract is wholly or partially prevented and/or delayed by act <strong>of</strong> GOD and any<br />

other causes beyond the control <strong>of</strong> either party such as fire, flood, strike, lockout, riot or civil<br />

commotion, epidemic, war and acts <strong>of</strong> Government etc. Either party shall promptly give notice to<br />

the other party <strong>of</strong> any force majure even affecting its obligations under this contract along with<br />

documentary evidence such as any competent authority connected with the cause. If such notice is<br />

given, the obligations and responsibilities <strong>of</strong> the other party shall be relieved to the extent made<br />

necessary by and during the continuance <strong>of</strong> force majure.<br />

XI.<br />

GENERAL:<br />

1. OMC reserves the right to terminate the work order at any point <strong>of</strong> time if the progress <strong>of</strong><br />

work is not found satisfactory and the penalty provision as at Clause-VIII shall be<br />

applicable.<br />

2. Incase any dispute arises during the contract period, the decision <strong>of</strong> the MD/CMD, OMC<br />

shall be final and binding, for appointment <strong>of</strong> the sole arbitrator.<br />

3. The work shall be completed within the specified period <strong>of</strong> one hundred eighty days<br />

Decision <strong>of</strong> the MD/Chairman, OMC shall be final and binding on extension <strong>of</strong> time for<br />

the reasons beyond control <strong>of</strong> the Agency.<br />

4. OMC reserves the right to distribute the work if required among other eligible bidders if<br />

agreed to perform in the same rate, terms and conditions.<br />

XII.<br />

ACCEPTANCE OF WORK ORDER:<br />

Out <strong>of</strong> two copies <strong>of</strong> work order to be issued in favour <strong>of</strong> the Agency, one copy shall be returned to<br />

the Addl Gen Manager(<strong>Mining</strong>), OMC Ltd, Bhubaneswar within three days <strong>of</strong> issue <strong>of</strong> work order duly<br />

signed on each page by the Consultant/Agency as a token <strong>of</strong> acceptance <strong>of</strong> the work order.<br />
