REMARKS<br />

You may be charged this fee each time<br />

we conduct a special on-site quality<br />

assurance evaluation: (a) after your<br />

hotel has failed a follow-up quality<br />

assurance evaluation or (b) to verify<br />

that deficiencies noted in a quality<br />

assurance evaluation report or product<br />

improvement plan have been corrected<br />

or completed by the required dates or<br />

(c) for any additional evaluations<br />

exceeding 2 annually, whether<br />

required or requested. You must also<br />

provide complimentary<br />

accommodations for the quality<br />

assurance auditor during the<br />

evaluation.<br />

Your General Manager must attend the<br />

brand conference, which is usually<br />

held annually. The dates, location and<br />

duration of the conference vary from<br />

year to year. There may be annual<br />

increases in the costs. See Items 5<br />

and 11.<br />

You must also pay for wages, travel,<br />

lodging and other expenses.<br />

For 2011, Hilton Worldwide’s FastPay<br />

Program is optional but we may require<br />

you to participate in it in the future.<br />

The FastPay Program centralizes and<br />

automates third-party group and<br />

meeting planner commissions into one<br />

payment for all Hilton Worldwide<br />

hotels. HWI may also perform<br />

reconciliation services for these<br />

payments. All Hilton brand hotels are<br />

automatically enrolled in this program<br />

unless an opt-out form is submitted.<br />

You must participate in any brand<br />

specific or system-wide guest<br />

frequency or reward program. These<br />

programs are subject to change. (See<br />

Note 3 and Item 8).<br />
