Discount Agreement Instructions
The special discount agreement below can be used as the contract between the business
supplying a discount to your members and the union. This agreement should be used along with
the “special benefits letter,” also found in the Print Shop, which will describe the discount in detail.
Please note that in some instances that a business will shy away from the more formal contract
language of this agreement. In that case, the “special benefits letter” can be used as the only
written document between the vendor and the union. However, you should attempt to use this
agreement if possible.
It’s easy to use this template:
1. You can either type in changes to the template or print out the blank template and write in
the appropriate information.
2. Insert the name of the business, noted as vendor, and the name of the union.
3. Include the start and end dates of the agreement.
4. Print the document out by selecting print. Print on union letterhead.
5. You can save the document by moving it into one of the folders on your computer. You
cannot save it onto the CD-ROM.
6. Have a representative of the business and a representative of the union sign and date
the document.
7. Have the governing body of the union review and approve the document.

Discount Agreement
This letter sets forth the terms of the agreements between ______
______(Vendor)
and _____________
(Union) pursuant to which Vendor will provide and
Union will promote discounts on the products and services to union members.
1. Vendor agrees to provide members of unions with the discounts set forth in the Appendix to
this letter of agreement. To receive the discounts a union member must have his/her union
identification or a letter of identification from his/her local union. [A different sentence will be
needed for programs that are accessed through a phone number rather than in-store.]
2. Vendor will notify all of its retail outlets of the terms of this agreement and will use its best
effort to ensure that the agreement is honored at each such outlet. [Where franchises are
involved another sentence will be required to obligate the supplier to make its best effort to
secure the cooperation of franchisees. Where the discount is to be provided by a centralized
facility this paragraph will be eliminated.]
3. Union may actively publicize the discount to national and international unions affiliated with the
AFL-CIO.
4. Union and Vendor will each appoint a coordinator to oversee the administration of this
agreement. In the event that Union learns of a member who has not received the discount
provided for herein Union will promptly notify the Vendor coordinator who will investigate the
matter and make the best effort to rectify the situation.
5. Vendor will not maintain any list of union members using or inquiring about the discount
separate and apart from the list customers that Vendor maintains in its ordinary course of
business.
6. If Vendor agrees to provide superior discounts to any other entity, Vendor will notify Union and,
unless Vendor agrees to extend the same discounts to union members, Union will be free to
terminate this agreement.
7. Union and Vendor each agree to indemnify and hold the other harmless for any losses,
including reasonable attorneys’ fees arising from its wrongful acts or omissions in connection with
its acts or omissions pursuant to this agreement.
8. This agreement shall run for a period of _____ to and including (date),
and shall thereafter automatically renew for periods of one-year unless either party gives notice
of an intention to terminate at least ninety days prior to the expiration of this agreement.
