Terms and conditions for the supply of goods (pro-customer)

PROTECT- CONTRACT
Customer and the Supplier which sets out the Customer's business requirements
regarding the Hardware and Services, as annexed to an Order.
Change Agreement: an agreement made under clause B3-7.
Confidential Information: any confidential information, know how and data (in any
form or medium) which relates to RCUK SSC, the Research Councils and / or the
Customer (if different) or the Supplier, including information relating to the
businesses of RCUK SSC, the Research Councils and / or the Customer (if
different) or the Supplier and information relating to their staff, finances, policies and
procedures. This includes information identified as confidential in the Order or the
Special Conditions (if any) and includes the terms of this Agreement or the
Contract, including, in particular, any terms relating to Price and payment
Contract: the contract between the Customer and the Supplier for the sale and
purchase of the Hardware and supply of the Services, in accordance with the terms
of this Agreement, any Special Conditions and the Order only.
Customer: the person(s) or firm(s) specified in the Order, provided that such
person constitutes an Authorised Entity.
Customer Hardware: the hardware owned or operated by the Customer and which
the Hardware must interface with[, as set out in an Order].
Customer Representative: a person duly authorised by the Customer to act on its
behalf for the purposes of this agreement, and identified to the Supplier in the Order
or by written notice from the Customer.
Customer Software: the software programs owned or operated by the Customer
and which the Hardware will be required to interface with[, as contained in an
Order].
Data Protection Law: all applicable data protection law and regulations in any
jurisdiction.
Deliverables: all documents, products and materials developed by the Supplier or
its agents, contractors and employees as part of, or in relation to, the Services in
any form, including computer programs, data, reports and specifications (including
drafts).
Delivery Note:
has the meaning set out in clause B4-4-2.
EIR: the Environmental Information Regulations 2004 together with any guidance
and/or codes of practice issued by the Information Commissioner or relevant
government department in relation to such regulations.
FOIA: the Freedom of Information Act 2000 and any subordinate legislation made
under the Act from time to time, together with any guidance and/or codes of practice
issued by the Information Commissioner or relevant government department in
