Terms and conditions for the supply of goods (pro-customer)

PROTECT- CONTRACT
X6.6 The Supplier shall promptly notify each of RCUK SSC or the Customer of
any health and safety hazards which may arise in connection with the
performance of its obligations under this Agreement. RCUK SSC or the
Customer shall promptly notify the Supplier of any health and safety
hazards which may exist or arise at the Premises and which may affect
the Supplier in the performance of its obligations under the Agreement
X6.7 The Supplier, wherever relevant, shall comply with the
requirements of the Construction (Design and Management)
Regulations 2007.
X7. Intellectual property rights – to be discussed with preferred
bidder
X7.1 All Intellectual Property Rights in any guidance, specifications,
instructions, toolkits, plans, data, drawings, databases, patents,
patterns, models, designs or other material ("the IP Materials"):

furnished to or made available to the Supplier by or on behalf of
RCUK SSC or the Customer; and
prepared by or for the Supplier on behalf of RCUK SSC or the
Customer for use, or intended use, in relation to the performance
by the Supplier of its obligations under the Agreement shall belong
to and remain the property of RCUK SSC or the Customer;
The Supplier shall not, and shall ensure that the Staff shall not,
(except to the extent required pursuant to this Agreement) without
RCUK SSC or the Customer's prior written approval, use or
disclose any Intellectual Property Rights in the IP Materials
X7.2 The Supplier hereby assigns to RCUK SSC or the Customer, with
full title guarantee, all Intellectual Property Rights which may
subsist in the IP Materials referred to in Clause X.7.1.2. Such
assignment shall take effect on the date of commencement of the
Agreement Commencement Date or as a present assignment of
future rights that will take effect immediately on the coming into
existence of the relevant Intellectual Property Rights. The
Supplier shall execute, and shall procure that all sub-contractors
execute, all documentation necessary to execute or perfect this
assignment.
X7.3 The Supplier shall waive or procure a waiver of any moral rights
subsisting in copyright produced by or on behalf of the Supplier in
the course of the performance of its obligations pursuant to this
Agreement.

X7.4 The Supplier shall ensure that the third party owner of any
Intellectual Property Rights that are or which may be used to
perform the Agreement (including without limitation all Intellectual
Property Rights in the Goods and any documentation in relation to
