7.1. Simplified Group Organizational Structure

Technip SA is the Group parent company.
To continue the move towards greater autonomy of the Regions
which began two years ago, it was decided to create a new legal
structure dedicated to the Group’s corporate activities. Until now,
most of the corporate activities were geographically and legally
incorporated in the Group’s main French entity. The creation
of a separate entity, Technip Corporate Services (TCS), helps to
clarify the Group’s organization. The corporate teams, grouped
within TCS, focus on their respective missions. They continue
to support the Group’s growth strategy, serving all Regions and
providing expertise to cross-Group functions such as HSE, Human
Resources, Finance, Legal, Product Lines, Communication, and IT.
The TCS structure has been operational since January 1, 2010.
The Company’s business is primarily to act as a holding company,
receive dividends, and centralize and reinvoice management
and administrative costs as management fees and specific costs
such as insurance fees and commissions on representations and
warranties.
All of the Company’s revenues are generated by its subsidiaries.
7.2. Subsidiaries and Investments
The subsidiaries handle and execute contracts. The Group’s main

Technip France is a simplifi ed joint-stock company (société
par actions simplifiée) whose registered offi ce is located at
6-8, allée de l’Arche, 92400 Courbevoie (France). It is registered
with the Commercial Registry of Nanterre under the
number 391 637 865. Technip France has been active for over
50 years in the engineering and project construction fields for
the oil and gas and chemical industries. It manages contracts in
the Subsea, Offshore and Onshore segments. As of December 31,
2009, the Group holds 100% of this company’s share capital.
Technip Italy S.p.A. has its registered office at Viale Castello della
Magliana, 68 Roma (Italy). Since 1969, Technip Italy has been a
leading international Engineering Contractor with consolidated
experience in the design and implementation of major plants
in all sectors of the oil and gas industry. It also possesses a vast
capacity to develop large projects in several industrial fields. The
Group holds 100% of this company’s share capital.
Technip UK Limited (Aberdeen) is located at Enterprise Drive,
Westhill, Aberdeenshire AB32 6TQ (United Kingdom). Specialized
in the Offshore and Subsea segments, this company primarily
works on North Sea projects, particularly, the construction of
floating and fixed platforms. Its Evanton spoolbase is used to

assemble rigid pipe. The Group holds 100% of this company’s
share capital.
Technip Geoproduction Malaysia Sdn Bhd has its registered
office at 2 nd Floor Wisma Technip 241 Jalan Tun Razak, 50400
Kuala Lumpur (Malaysia). Created in 1982, this company is
active in the Subsea, Offshore and Onshore segments. It is the
leading engineering technology solutions and turnkey contract
provider in Asia Pacific for the design and construction of
hydrocarbon fi eld development, oil refi ning, gas processing,
petrochemicals and selected non-hydrocarbon projects. The
Group holds 30% of this company’s share capital (in compliance
with local regulation).
Flexibras Tubos Flexiveis Limitada is a Brazilian company, located
at 35 Rua Jurema Barroso, 29020 490 Vitoria (Brazil). Created in
1984, this company’s activity consists in the manufacture and
sale of high-quality flexible pipes. Its manufacturing plant is
strategically located near offshore oil and gas fields. The Group
holds 100% of this company’s share capital.
Technip USA Inc is a US company, located at 11700 Katy
Freeway, Suite 150, Houston, Texas 77079 (United States).
It is active in the Subsea, Onshore and Offshore segments, in
particular, with the construction of Spars for fields in the Gulf of
Mexico. The Group holds 100% of this company’s share capital.
