this <strong>RFP</strong>, may not be complete, accurate, adequate or correct. Each Applicant should, therefore, conduct its<br />
own investigations and analysis and should check the accuracy, adequacy, correctness, reliability and<br />

Information provided in this <strong>RFP</strong> to the Applicants is on a wide range of matters, some of which depends<br />
upon interpretation of law. The information given is not an exhaustive account of statutory requirements and<br />
should not be regarded as a complete or authoritative statement of law. The Authority accepts no<br />
responsibility for the accuracy or otherwise for any interpretation or opinion on law expressed herein.<br />
The Authority, its employees and advisors make no representation or warranty and shall have no liability to<br />
any person, including any Applicant under any law, statute, rules or regulations or tort, principles of<br />
restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from or<br />
be incurred or suffered on account of anything contained in this <strong>RFP</strong> or otherwise, including the accuracy,<br />
adequacy, correctness, completeness or reliability of the <strong>RFP</strong> and any assessment, assumption, statement or<br />
information contained therein or deemed to form part of this <strong>RFP</strong> or arising in any way in this Selection<br />

The Authority also accepts no liability of any nature whether resulting from negligence or otherwise<br />

The Authority may in its absolute discretion, but without being under any obligation to do so, update, amend<br />
or supplement the information, assessment or assumptions contained in this <strong>RFP</strong>.<br />
The issue of this <strong>RFP</strong> does not imply that the Authority is bound to select an Applicant or to appoint the<br />
Selected Applicant, as the case may be, for the Consultancy and the Authority reserves the right to reject all<br />
or any of the Proposals without assigning any reason whatsoever.<br />
The Applicant shall bear all its costs associated with or relating to the preparation and submission of its<br />
Proposal including but not limited to preparation, copying, postage, delivery fees, expenses associated with<br />
any demonstrations or presentations which may be required by the Authority or any other costs incurred in<br />
connection with or relating to its Proposal. All such costs and expenses will remain with the Applicant and the<br />
Authority shall not be liable in any manner whatsoever for the same or for any other costs or other expenses<br />
incurred by an Applicant in preparation or submission of the Proposal, regardless of the conduct or outcome<br />
of the Selection Process.<br />

1 INTRODUCTION<br />
1.1 Background<br />
1.1.1 Agra is a popular tourist destination and home to World Heritage Sites and<br />
internationally known historical monuments of Taj Mahal, Agra Fort, and<br />
Fatehpur Sikri. Agra is at a distance of 200 kilometres from India’s capital city<br />
New Delhi, and approximately 300 kilometres from the State capital Lucknow.<br />
According to a study carried out by the <strong>Tourism</strong> Ministry, Government of India,<br />
about 35 percent of foreign tourists visit India only to see the Taj Mahal that is<br />
not only Agra's number one landmark but also India's top heritage site. Taj<br />
Mahal is situated on the Eastern bank of river Yamuna. The Taj Mahal is<br />
located in Tajganj Municipal ward of Agra. The area is surrounded by famous<br />
Sahjahan Park and Taj Nature Walk.<br />
1.1.2 Department of <strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong>, the nodal agency for<br />
implementing tourism infrastructure in the state is making various endeavours to<br />
improve infrastructure around Taj Mahal. Based on a recent study, the Authority<br />
has identified the following components of world class quality befitting to the<br />
World Heritage Site of the Taj to be implemented in a time bound manner (the<br />
“Project”).<br />
a. Development of world class approach roads to Taj Mahal (East Gate, West<br />
Gate and South Gate approach road)<br />
b. Development of Tajganj infrastructure<br />
c. Development of adjoining gardens (Sahjahan Garden, Taj Nature Walk,<br />
Mehtab Bagh) and<br />
d. Landscaping of nearby river front<br />
1.1.3 In pursuance of the above, Director General <strong>Tourism</strong>, Government of <strong>Uttar</strong><br />
<strong>Pradesh</strong> (“Authority”) has decided to carry out the process for selection of a<br />
Project Management Consultant (“Consultant”) for providing Consultancy<br />
services for the Project in prescribed format set out in this <strong>RFP</strong> <strong>Document</strong>.<br />
1.1.4 Scope of Consultancy is mentioned in Schedule I of this <strong>RFP</strong> <strong>Document</strong>.<br />
1.2 Request for Proposal<br />
1.2.1 The Authority invites Proposals (the “Proposal or Bid”) for selection of a<br />
Consultant to prepare detailed project reports, detailed engineering and detailed<br />
estimates based on necessary surveys, review and approval of existing designs<br />
and drawings, obtain the necessary approvals and clearances required for Project<br />
implementation, assist the Authority in procuring Contractors, day to day<br />
supervision, monitoring of progress and quality of construction, erection and<br />
installation work, reporting and ensuring compliance by the Contractor with the<br />
design and specifications during implementation period of the Project<br />
(“Consultancy”) through an open competitive Selection Process in accordance<br />
with the procedure set out herein.<br />

1.3 Due diligence by Applicants<br />
1.3.1 Applicants are encouraged to inform themselves fully about the Assignment and<br />
the local conditions before submitting the Proposal by paying a visit to the<br />
Authority and the Project site, sending written queries to the Authority, and<br />
attending a Pre-Proposal Conference on the date and time specified in Clause<br />
1.8.<br />
1.4 Sale of <strong>RFP</strong> <strong>Document</strong><br />
1.4.1 <strong>RFP</strong> document can be obtained between 1100 hrs and 1600 hrs on all working<br />
days from October 27, 2012 to November 30, 2012 from the office of Director<br />
General, <strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong>, Paryatan Bhawan, C-13, Vipin<br />
Khand, Gomti Nagar, Lucknow on payment of a fee of Rs. 10,000 (Rupees Ten<br />
thousand) only (cost of <strong>RFP</strong> <strong>Document</strong>) in the form of a Demand Draft drawn<br />
on any Nationalised/Scheduled Bank in India in favour of Director General,<br />
<strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong> and payable at Lucknow. The <strong>RFP</strong><br />
<strong>Document</strong> can also be downloaded from the Official Website of the Authority<br />
(www.up-tourism.com/tender). In case of a downloaded form, the Applicant has<br />
to provide the aforesaid Demand Draft along with the Proposal. The Proposal<br />
without the aforesaid Demand Draft will not be considered. The cost of <strong>RFP</strong><br />
<strong>Document</strong> is not refundable in any case.<br />
1.5 Validity of the Proposal<br />
1.5.1 The Proposal shall be valid for a period of 180 days from the date of opening of<br />
the Financial Proposal.<br />
1.6 Selection Process of a Consultant<br />
1.6.1 The Authority has adopted a two stage selection process (collectively the<br />
“Selection Process”) in evaluating the Proposals comprising Technical and<br />
Financial proposals to be submitted in two separate sealed envelopes. In the first<br />
stage, a technical evaluation will be carried out as specified in Clause 3.1. In the<br />
second stage, the financial evaluation will be carried out as specified in Clause<br />
3.2. The weightage to Technical and Financial Proposals would be 80% and<br />
20% respectively. The Applicant scoring maximum Total Marks would be<br />
recommended for selection.<br />

2 INSTRUCTIONS TO APPLICANTS<br />
2.1 Scope of Proposal<br />
2.1.1 Detailed description of the objectives, scope of services, deliverables and other<br />
requirements relating to this proposal are specified in this <strong>RFP</strong>. In case an<br />
Applicant possesses the requisite experience and capabilities required for<br />
undertaking the Consultancy, it may participate in the Selection Process in<br />
response to this invitation to offer. The manner in which the Proposal is required<br />
to be submitted, evaluated and accepted is explained in this <strong>RFP</strong>.<br />
2.1.2 Applicants are advised that the selection of Consultant shall be on the basis of<br />
an evaluation by the Authority through the Selection Process specified in this<br />
<strong>RFP</strong>. Applicants shall be deemed to have understood and agreed that no<br />
explanation or justification for any aspect of the Selection Process will be given<br />

and that the Authority’s decisions are without any right of appeal whatsoever.<br />
2.1.3 The Applicant shall submit its Proposal in the prescribed <strong>RFP</strong> <strong>Document</strong> and<br />
manner specified in this <strong>RFP</strong>. The Technical Proposal shall be submitted in the<br />
form at Appendix-I and the Financial Proposal shall be submitted in the form at<br />
Appendix-II.<br />
2.2 Conditions of Eligibility of Applicants<br />
2.2.1 Applicants must read carefully the minimum conditions of eligibility (the<br />
“Conditions of Eligibility”) provided herein. Proposals of only those<br />
Applicants who satisfy the Conditions of Eligibility will be considered for<br />
evaluation.<br />
2.2.2 The Applicants eligible for participating in the Assignment shall be a company<br />
registered in India under the Companies Act, 1956 with existence from the last<br />
three years fulfilling each of the following requirements. The Applicant can also<br />
be a Consortium of maximum three companies with a Lead member:<br />
Technical Capacity: Experience as Project Management Consultant for at least<br />
three (3) completed Eligible Assignments, with minimum cost of each project of<br />
Rs. 50 crores (excluding cost of land)<br />
Financial Capacity: The Applicant shall have an average annual turnover of at<br />
least Rs 25 crores in last three financial years (2009-2010, 2010-2011, 2011-<br />
2012). The Financial Capacity has to be met by the Lead Member only.<br />
2.2.3 The Applicant should have a team of experts and specialists (“Key Personnel”)<br />
in their respective areas of expertise and managerial/support staff such that the<br />
Applicant should be able to complete the Consultancy within the specified time<br />
schedule. The Applicant may associate various Key Personnel in the proposed<br />
team<br />
2.2.4 The Project Manager shall be deployed within 7 days of the written intimation<br />
issued by the Authority whereas the other members of the Team shall be<br />
deployed within 15 days of written intimation issued by the Authority, as<br />

2.2.5 The Applicant shall enclose with Proposal its Audited Annual Accounts<br />
certified by its Statutory Auditors /Chartered Accountants that ordinarily audits<br />
the annual accounts of the Applicant.<br />
2.2.6 Any entity which has been barred by the Central Government, or any State<br />
Government, or a statutory authority or a public sector undertaking, as the case<br />
may be, from participating in any project, and the bar subsists as on the date of<br />
Proposal, would not be eligible to submit a Proposal either by itself or through<br />
its Associate.<br />

2.2.7 An Applicant should have, during the last three years, neither failed to perform<br />
on any agreement, as evidenced by imposition of a penalty by an arbitral or<br />
judicial authority or a judicial pronouncement or arbitration award against the<br />
Applicant, nor been expelled from any project or agreement nor have had any<br />
agreement terminated for breach by such Applicant.<br />
2.3 Conflict of Interest<br />
2.3.1 An Applicant shall not have a Conflict of Interest that may affect the Selection<br />
Process or the Consultancy. Any Applicant found to have a Conflict of Interest<br />
shall be disqualified. In the event of disqualification, the Authority shall forfeit<br />
and appropriate the Bid Security without prejudice to any other right or remedy<br />
that may be available to the Authority hereunder or otherwise.<br />
For the purpose of this <strong>RFP</strong> <strong>Document</strong>, “Conflict of Interest” means the<br />
Applicant and its member shall not be involved in execution of the Project.<br />
2.3.2 The Authority requires that the Consultant provides professional, objective, and<br />
impartial advice and at all times hold the Authority’s interests paramount, avoid<br />
conflicts with other assignments or its own interests, and act without any<br />
consideration for future work. The Consultant shall not accept or engage in any<br />
assignment that would be in conflict with its prior or current obligations to other<br />
clients, or that may place it in a position of not being able to carry out the<br />
assignment in the best interests of the Authority.<br />
2.3.3 An Applicant appointed to provide Consultancy for this Project, shall be<br />
disqualified from subsequently providing goods or works or services related to<br />
the construction and operation of the same Project and any breach of this<br />
obligation shall be construed as Conflict of Interest.<br />
2.4 Number of Proposals<br />
2.4.1 No Applicant shall submit more than one Proposal for the Consultancy.<br />
2.5 Cost of Proposal<br />
2.5.1 The Applicants shall be responsible for all of the costs associated with the<br />
preparation of their Proposals and their participation in the Selection Process,<br />
visits to the Authority, Project site et cetera. The Authority will not be<br />
responsible or in any way liable for such costs, regardless of the conduct or<br />
outcome of the Selection Process.<br />
2.6 Site visit and verification of information<br />
2.6.1 Applicants are encouraged to submit their respective Proposals after visiting the<br />
Project site and ascertaining for themselves the site conditions, traffic, location,<br />
surroundings, climate, access to the site, availability of drawings and other data<br />
with the Authority.<br />

2.7 Acknowledgement by Applicant<br />
2.7.1 It shall be deemed that by submitting the Proposal, the Applicant has:<br />
a. made a complete and careful examination of the <strong>RFP</strong> <strong>Document</strong>;<br />
b. received all relevant information requested from the Authority;<br />
c. acknowledged and accepted the risk of inadequacy, error or mistake in the<br />
information provided in the <strong>RFP</strong> <strong>Document</strong> or furnished by or on behalf of<br />
the Authority or relating to any of the matters referred to in Clause 2.6<br />
above;<br />
d. satisfied itself about all matters, things and information, including matters<br />
referred to in Clause 2.6 herein above, necessary and required for<br />
submitting an informed Application and performance of all of its<br />
obligations thereunder;<br />
e. acknowledged that it does not have a Conflict of Interest; and<br />
f. agreed to be bound by the undertaking provided by it under and in terms<br />
hereof.<br />
2.7.2 The Authority shall not be liable for any omission, mistake or error on the part<br />
of the Applicant in respect of any of the above or on account of any matter or<br />
thing arising out of or concerning or relating to <strong>RFP</strong> <strong>Document</strong> or the Selection<br />
Process, including any error or mistake therein or in any information or data<br />
given by the Authority.<br />
2.8 Right to reject any or all Proposals<br />
2.8.1 Notwithstanding anything contained in this <strong>RFP</strong> <strong>Document</strong>, the Authority<br />
reserves the right to accept or reject any or all Proposal and to annul the<br />
Selection Process at any time without any liability or any obligation for such<br />
acceptance, rejection or annulment, and without assigning any reasons thereof.<br />
2.8.2 Without prejudice to the generality of Clause 2.8.1, the Authority reserves the<br />
right to reject any Proposal if:<br />
a. at any time, a material misrepresentation is made or discovered, or<br />
b. the Applicant does not provide, within the time specified by the Authority,<br />
the supplemental information sought by the Authority for evaluation of the<br />
Proposal.<br />
c. Misrepresentation/ improper response by the Applicant may lead to the<br />
disqualification of the Applicant. If such disqualification / rejection occurs<br />
after the Proposals have been opened and the highest ranking Applicant<br />
gets disqualified /rejected, then the Authority reserves the right to consider<br />
the next best Applicant, or take any other measure as may be deemed fit in<br />
the sole discretion of the Authority, including annulment of the Selection<br />
Process.<br />
2.9 Contents of the <strong>RFP</strong> <strong>Document</strong><br />
2.9.1 This <strong>RFP</strong> <strong>Document</strong> comprises the Disclaimer set forth hereinabove, the<br />

2.10.1 Applicants requiring any clarification on the <strong>RFP</strong> <strong>Document</strong> may send their<br />
queries to the Authority in writing before the date mentioned in the Schedule of<br />
Selection Process at Clause 1.7. The envelopes shall clearly bear the following<br />
identification:<br />
“Queries/Request for Additional Information concerning <strong>RFP</strong> <strong>Document</strong> for<br />
Integrated Infrastructure Development around Taj”<br />
The Authority shall endeavour to respond to the queries within the period<br />
specified therein but not later than 7 (seven) days prior to the Proposal Due<br />
Date. The responses will be sent by e-mail. The Authority will post the reply to<br />
all such queries on the Official Website and copies thereof will also be<br />
circulated to all Applicants who have purchased the <strong>RFP</strong> <strong>Document</strong> without<br />
identifying the source of queries.<br />
2.10.2 The Authority reserves the right not to respond to any questions or provide any<br />
clarifications, in its sole discretion, and nothing in this Clause 2.10 shall be<br />
construed as obliging the Authority to respond to any question or to provide any<br />
clarification.<br />

2.11 Amendment of <strong>RFP</strong> <strong>Document</strong><br />
2.11.1 At any time prior to the last date for submission of Proposal, the Authority may,<br />
for any reason, whether at its own initiative or in response to clarifications<br />
requested by an Applicant, modify the <strong>RFP</strong> document by the issuance of<br />
Addendum/ Amendment and posting it on the Official Website.<br />
2.11.2 All such amendments will be notified in writing through fax or e-mail to all<br />
Applicants who have purchased the <strong>RFP</strong> document. The amendments will also<br />
be posted on the Official Website along with the <strong>revised</strong> <strong>RFP</strong> <strong>Document</strong><br />
containing the amendments and will be binding on all Applicants.<br />
2.11.3 In order to afford the Applicants a reasonable time for taking an amendment into<br />
account, or for any other reason, the Authority may, in its sole discretion, extend<br />
the Proposal Due Date.<br />
2.12 Language<br />
2.12.1 The Proposal with all accompanying documents and all communications in<br />
relation to or concerning the Selection Process shall be in English language and<br />
strictly on the prescribed forms provided in this <strong>RFP</strong> <strong>Document</strong>. No supporting<br />
document or printed literature shall be submitted with the Proposal unless<br />
specifically asked for and in case any of these <strong>Document</strong>s is in another<br />
language, it must be accompanied by a true translation of that document in<br />
English, in which case, for all purposes of interpretation of the Proposal, the<br />
translation in English shall prevail.<br />
2.13 Format and signing of Proposal<br />
2.13.1 The Applicant shall provide all the information sought under this <strong>RFP</strong><br />
<strong>Document</strong>. The Authority would evaluate only those Proposals that are received<br />
in the specified forms and complete in all respects.<br />
2.13.2 The Applicant shall prepare one original set of the Proposal (together with<br />
copies of <strong>Document</strong>s required to be submitted along therewith pursuant to this<br />
<strong>RFP</strong>) and clearly marked “ORIGINAL”.<br />
2.13.3 The Proposal and its copy shall be typed or written in indelible ink and signed<br />
by the authorised signatory of the Applicant who shall initial each page, in blue<br />
ink. In case of printed and published <strong>Document</strong>s, only the cover shall be<br />
initialled. All the alterations, omissions, additions, or any other amendments<br />
made to the Proposal shall be initialled by the person(s) signing the Proposal.<br />
The Proposals must be signed by the authorised representative holding the<br />
Power of Attorney of the Applicant.<br />
A copy of the Power of Attorney certified under the hands of Director of the<br />
Applicant and notarised by a notary public in the form specified in Appendix-I<br />
(Form-2) shall accompany the Proposal.<br />

2.14 Technical Proposal<br />
2.14.1 Applicant shall submit the technical proposal in Appendix-I “Technical<br />
Proposal”.<br />
2.14.2 While submitting the Technical Proposal, the Applicant shall, in particular, ensure<br />
that:<br />
a. The Bid Security is provided;<br />
b. all forms are submitted in the prescribed formats and signed by the<br />
authorised prescribed signatories;<br />
c. Power of Attorney, if applicable, is executed as per para 2.13.3 above;<br />
d. Curriculum Vitae (CVs) of all Key Personnel (as against para 2.2.4) have<br />
been included;<br />
e. CVs have been recently signed and dated in blue ink by the respective<br />
Personnel and countersigned by the Applicant. Photocopy or unsigned /<br />
countersigned CVs shall be rejected;<br />
f. Key Personnel would be available for the period indicated in the TOR;<br />
g. the Proposal is responsive in terms of Clause 2.21.2<br />
2.14.3 Failure to comply with the requirements spelt out in this Clause 2.14 shall make<br />
the Proposal liable to be rejected.<br />
2.14.4 If an individual Key Personnel makes a false averment regarding his qualification,<br />
experience or other particulars, or his commitment regarding availability for the<br />
Assignment is not fulfilled at any stage after signing of the Agreement, he shall be<br />
liable to be debarred for any future assignment of the Authority. The award of this<br />
Consultancy to the Applicant may also be liable to cancellation in such an event.<br />
2.14.5 The Technical Proposal shall not include any financial information relating to<br />
the Financial Proposal.<br />
2.14.6 The Authority reserves the right to verify all statements, information and<br />
documents, submitted by the Applicant in response to the <strong>RFP</strong> <strong>Document</strong>. Any<br />
such verification or the lack of such verification by the Authority to undertake<br />
such verification shall not relieve the Applicant of its obligations or liabilities<br />
hereunder nor will it affect any rights of the Authority thereunder.<br />
2.14.7 In case it is found during the evaluation or at any time before signing of the<br />
Agreement or after its execution and during the period of subsistence thereof, that<br />
one or more of the eligibility conditions have not been met by the Applicant or the<br />
Applicant has made material misrepresentation or has given any materially<br />
incorrect or false information, the Applicant shall be disqualified forthwith if not<br />
yet appointed as the Consultant either by issue of the LOI or entering into of the<br />
Agreement, and if the Selected Applicant has already been issued the LOI or has<br />
entered into the Agreement, as the case may be, the same shall, notwithstanding<br />
anything to the contrary contained therein or in this <strong>RFP</strong> <strong>Document</strong>, be liable to<br />
be terminated, by a communication in writing by the Authority without the<br />
Authority being liable in any manner whatsoever to the Applicant or Consultant,<br />
as the case may be.<br />

In such an event, the Authority shall forfeit and appropriate the Bid Security as<br />
mutually agreed pre-estimated compensation and damages payable to the<br />
Authority for, inter alia, time, cost and effort of the Authority, without prejudice<br />
to any other right or remedy that may be available to the Authority.<br />
2.15 Financial Proposal<br />
2.15.1 Applicants shall submit the Financial Proposal in the Appendix-II “Financial<br />
Proposal” clearly indicating the total cost of the Consultancy (Form-2 of<br />
Appendix-II) in both figures and words, in Indian Rupees, and signed by the<br />
Applicant’s Authorised Representative. In the event of any difference between<br />
figures and words, the amount indicated in words shall prevail. In the event of a<br />
difference between the arithmetic total and the total shown in the Financial<br />
Proposal, the lower of the two shall prevail.<br />
2.15.2 While submitting the Financial Proposal, the Applicant shall ensure the following:<br />
a. All the costs associated with the assignment shall be included in the<br />
Financial Proposal. These shall normally cover remuneration for all the<br />
Personnel (Expatriate and Resident, in the field, office, accommodation,<br />
air fare, equipment, printing of documents, surveys, geo-technical<br />
investigations. The total amount indicated in the Financial Proposal shall<br />
be without any condition attached or subject to any assumption, and shall<br />
be final and binding. In case any assumption or condition is indicated in<br />
the Financial Proposal, it shall be considered non-responsive and liable to<br />
be rejected.<br />
b. The Financial Proposal shall take into account all expenses and tax<br />
liabilities. For the avoidance of doubt, it is clarified that all taxes shall be<br />
deemed to be included in the costs shown under different items of the<br />
Financial Proposal. Further, all payments shall be subject to deduction of<br />
taxes at source as per Applicable Laws.<br />
c. Costs (including break down of costs) shall be expressed in INR.<br />
2.16 Submission of Proposal<br />
2.16.1 The Applicants shall submit the Proposal in hard bound/spiral bound form with<br />
all pages numbered serially and by giving an index of submissions. Each page of<br />
the submission shall be initialled by the Applicant or Authorised Representative<br />
of the Applicant as per the terms of the <strong>RFP</strong> <strong>Document</strong>. In case the Proposal is<br />
submitted on the <strong>RFP</strong> <strong>Document</strong> downloaded from Official Website, the<br />
Applicant shall be responsible for its accuracy and correctness as per the version<br />
uploaded by the Authority and shall ensure that there are no changes caused in<br />
the content of the downloaded <strong>Document</strong>. In case of any discrepancy between<br />
the downloaded or photocopied version of the <strong>RFP</strong> <strong>Document</strong> and the original<br />
<strong>RFP</strong> <strong>Document</strong> issued by the Authority, the latter shall prevail.<br />
2.16.2 The Proposal will be sealed in an outer envelope which will bear the address of<br />
the Authority, Consultancy name and the name and address of the Applicant.<br />

2.16.3 If the envelope is not sealed and marked as instructed above, the Authority<br />
assumes no responsibility for the misplacement or premature opening of the<br />
contents of the Proposal submitted and consequent losses, if any, suffered by the<br />
Applicant.<br />
2.16.4 The aforesaid outer envelope will contain two separate sealed envelopes; one<br />
clearly marked ‘Technical Proposal’ and the other clearly marked ‘Financial<br />
Proposal’. The envelope marked “Technical Proposal” shall contain:<br />
a. Application in the prescribed format (Form-1 of Appendix-I) along with<br />
Forms 2 to 10 of Appendix-I and supporting documents; and<br />
b. Bid security as specified in Clause 2.20.1<br />
The envelope marked “Financial Proposal” shall contain the Financial Proposal<br />
in the prescribed format (Forms 1 & 2 of Appendix-II).<br />
2.16.5 The completed Proposal must be delivered on or before the specified time on<br />
Proposal Due Date. Proposals submitted by fax, telex, telegram or e-mail shall<br />
not be entertained.<br />
2.17 Proposal Due Date<br />
2.17.1 Proposal should be submitted at or before 1500 hrs on the Proposal Due Date<br />
specified at Clause 1.7 at the address provided in Clause 1.9 in the manner and<br />
form as detailed in this <strong>RFP</strong> <strong>Document</strong>. A receipt thereof should be obtained<br />
from the person specified therein.<br />
2.17.2 The Authority may, in its sole discretion, extend the Proposal Due Date by<br />
issuing an Addendum in accordance with Clause 2.11 uniformly for all<br />
Applicants.<br />
2.18 Late Proposals<br />
2.18.1 Proposals received by the Authority after the specified time on Proposal Due<br />
Date shall not be eligible for consideration and shall be summarily rejected.<br />
2.19 Modification/ substitution/ withdrawal of Proposals<br />
2.19.1 No Proposal shall be modified, substituted, or withdrawn by the Applicant after<br />
the Proposal is submitted according to the provision Clause 2.17.1 above.<br />
2.19.2 Any alteration / modification in the Proposal or additional information or<br />
material supplied subsequent to its submission unless the same has been<br />
expressly sought for by the Authority, shall be disregarded.<br />
2.20 Bid Security<br />
2.20.1 The Applicant shall furnish as part of its Proposal, a Bid Security of Rs.<br />
1,00,000.00 (Rupees One Lakh) only in the form of a Demand Draft issued by<br />
the Nationalised/Scheduled Banks in India in favour of the Director General,<br />

<strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong> payable at Lucknow (the “Bid<br />
Security”).<br />
2.20.2 The Bid Security shall be refunded to the unsuccessful Applicants within a<br />
period of two (2) weeks from the date of signing of Agreement with the<br />
Successful Applicant. The Bid security of the Successful Applicant shall be<br />
refunded after signing of Agreement and submission of Performance Security.<br />
2.20.3 Any Proposal not accompanied by the Bid Security shall be rejected by the<br />
Authority as nonresponsive.<br />
2.20.4 The Authority shall not be liable to pay any interest on the Bid Security amount.<br />
2.20.5 The Applicant, by submitting its Application pursuant to this <strong>RFP</strong> <strong>Document</strong>,<br />
shall be deemed to have acknowledged that without prejudice to the Authority’s<br />
any other right or remedy hereunder or in law or otherwise, the Bid Security<br />
shall be forfeited and appropriated by the Authority under the following<br />
conditions:<br />
a. If an Applicant submits a non-responsive Proposal;<br />
b. If an Applicant engages in any of the Prohibited Practices specified in<br />
Section 4 of this <strong>RFP</strong> <strong>Document</strong>;<br />
c. If an Applicant withdraws its Proposal during the period of its validity as<br />
specified in this <strong>RFP</strong> <strong>Document</strong> and as extended by the Applicant from<br />
time to time;<br />
d. In the case of the Successful Applicant, if the said Applicant fails to (i)<br />
sign the Agreement or (ii) found to have a Conflict of Interest as specified<br />
in Clause 2.3<br />
2.21 Evaluation of Proposals<br />
2.21.1 The Authority shall open the Proposals at 1530 hours on the Proposal Due Date,<br />
at the place specified in Clause 1.7 in the presence of the Applicants or their<br />
authorised representatives who choose to attend. The authorised representative<br />
shall produce satisfactory evidence of authority from the Applicant for whom he<br />
is representing before opening of the proposal. The envelopes marked<br />
“Technical Proposal” shall be opened first. The envelopes marked “Financial<br />
Proposal” shall be kept sealed for opening at a later date.<br />
2.21.2 Prior to evaluation of Proposals, the Authority will determine whether each<br />
Proposal is responsive to the requirements of the <strong>RFP</strong>. The Authority may, in its<br />
sole discretion, reject any Proposal that is not responsive hereunder. A Proposal<br />
shall be considered responsive only if:<br />
a. the Technical Proposal is received in the form specified at Appendix-I;<br />
b. it is received by the Proposal Due Date including any extension thereof<br />
pursuant to Clause 2.17;<br />
c. it is accompanied by the Bid Security as specified in Clause 2.20.1.<br />
d. it is signed, sealed, bound together in hard cover and marked as stipulated<br />
in Clauses 2.13 and 2.16;<br />

e. it is accompanied by the Power of Attorney as specified in Clause 2.13.3;<br />
f. it contains all the information (complete in all respects) as requested in<br />
this <strong>RFP</strong> <strong>Document</strong>;<br />
g. it does not contain any condition or qualification; and<br />
h. it is not non-responsive in terms hereof.<br />
2.21.3 The Authority reserves the right to reject any Proposal which is non-responsive<br />
and no request for alteration, modification, substitution or withdrawal shall be<br />
entertained by the Authority in respect of such Proposals.<br />
2.21.4 The Authority shall subsequently examine and evaluate Proposals in accordance<br />
with the Selection Process specified at Clause 1.6 and the criteria set out in<br />
Section 3 of this <strong>RFP</strong> <strong>Document</strong>.<br />
2.21.5 After the technical evaluation, the Authority shall prepare a list of shortlisted<br />
Applicants in terms of Clause 3.1 for opening of their Financial Proposals. A<br />
date, time and venue will be notified to all shortlisted Applicants for announcing<br />
the result of technical evaluation and opening of Financial Proposals. Before<br />
opening of the Financial Proposals, the list of shortlisted Applicants along with<br />
their Technical Score will be read out. The opening of Financial Proposals shall<br />
be done in presence of respective representatives of Applicants who choose to<br />
be present according to clause 2.21.1 above. The Authority will not entertain<br />
any query or clarification from Applicants who fail to qualify at any stage of the<br />
Selection Process. The financial evaluation of the Proposals shall be carried out<br />
in terms of Clauses 3.2.<br />
2.21.6 Any information contained in the Proposal shall not in any way be construed as<br />
binding on the Authority, its agents, successors or assigns, but shall be binding<br />
against the Applicant if the Consultancy is subsequently awarded to it.<br />
2.22 Confidentiality<br />
2.22.1 Information relating to the examination, clarification, evaluation, and<br />
recommendation for the selection of Applicants shall not be disclosed to any<br />
person who is not officially concerned with the process or is not a retained<br />
professional adviser advising the Authority in relation to matters arising out of,<br />
or concerning the Selection Process. The Authority will treat all information,<br />
submitted as part of the Proposal, in confidence and will require all those who<br />
have access to such material to treat the same in confidence. The Authority may<br />
not divulge any such information unless it is directed to do so by any statutory<br />
entity that has the power under law to require its disclosure or is to enforce or<br />
assert any right or privilege of the statutory entity and/or the Authority.<br />
2.23 Clarifications<br />
2.23.1 To facilitate evaluation of Proposals, the Authority may, at its sole discretion,<br />
seek clarifications from any Applicant regarding its Proposal. Such<br />
clarification(s) shall be provided within the time specified by the Authority for<br />
this purpose. Any request for clarification(s) and all clarification(s) in response<br />
thereto shall be in writing.<br />

2.23.2 If an Applicant does not provide clarifications sought under Clause 2.23.1<br />
within the specified time, its Proposal shall be liable to be rejected. In case the<br />
Proposal is not rejected, the Authority may proceed to evaluate the Proposal by<br />
construing the particulars requiring clarification to the best of its understanding,<br />
and the Applicant shall be barred from subsequently questioning such<br />
interpretation of the Authority.<br />
2.24 Substitution of Key Personnel<br />
2.24.1 The Authority will not normally consider any request of the Successful<br />
Applicant for substitution of Key Personnel as the ranking of the Applicant is<br />
based on the evaluation of Key Personnel and any change therein may upset the<br />
ranking. Substitution will, however, be permitted if the Key Personnel is not<br />
available for reasons of any incapacity or due to health, subject to equally or<br />
better qualified and experienced personnel being provided to the satisfaction of<br />
the Authority.<br />
2.24.2 Substitution of the Team Leader will not normally be considered and may lead<br />
to disqualification of the Applicant or termination of the Agreement.<br />
2.25 Indemnity<br />
2.25.1 The Applicant shall, subject to the provisions of the Agreement, indemnify the<br />
Authority for an amount not exceeding the value of the Agreement for any<br />
direct loss or damage that is caused due to any deficiency in services.<br />
2.26 Award of Consultancy<br />
2.26.1 After selection, a Letter of Intent (the “LOI”) shall be issued, in duplicate, by<br />
the Authority to the Successful Applicant and the Successful Applicant shall,<br />
within 7 (seven) days of the receipt of the LOI, sign and return the duplicate<br />
copy of the LOI in acknowledgement thereof to the Authority. In the event the<br />
duplicate copy of the LOI duly signed by the Successful Applicant is not<br />
received by the stipulated date, the Authority may, unless it consents to<br />
extension of time for submission thereof, appropriate the Bid Security of such<br />
Applicant.<br />
2.27 Execution of Agreement<br />
2.27.1 After acknowledgement of the LOI as aforesaid by the Successful Applicant, it<br />
shall execute the Consultancy Agreement in the form mentioned in Schedule 2<br />
within the period prescribed in Clause 1.7. The Successful Applicant shall not<br />
be entitled to seek any deviation in the Agreement.<br />
2.28 Commencement of Assignment<br />
2.28.1 The Successful Applicant shall commence the Services at the Project site within<br />
7 (seven) days of the date of the Agreement or such other date as may be<br />
mutually agreed. If the Successful Applicant fails to sign the Agreement as<br />
specified in Clause 2.27.1, the Bid Security shall be forfeited and appropriated<br />

in accordance with the provisions of Clause 2.20.5.<br />
2.29 Proprietary data<br />
Department of <strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong><br />
2.29.1 Subject to the provisions of Clause 2.22, all documents and other information<br />
provided by the Authority or submitted by Successful Applicant to the Authority<br />
shall remain or become the property of the Authority. Successful Applicants<br />
may treat all information as strictly confidential. The Authority will not return<br />
any Proposal or any information related thereto. All information collected,<br />
analysed, processed or in whatever manner provided by the Applicant to the<br />
Authority in relation to the Consultancy shall be the property of the Authority.<br />
3 CRITERIA FOR EVALUATION<br />
3.1 Evaluation of Technical Proposals<br />
3.1.1 In the first stage, the Technical Proposal will be evaluated on the basis of<br />
Applicant’s experience, its understanding of TOR, proposed methodology and<br />
Work Plan, and the experience of Key Personnel. Only those Applicants whose<br />
Technical Proposals get a score of 80 marks or more out of 100 shall qualify for<br />
further consideration.<br />
3.1.2 A Proposal shall be rejected if the Team Leader scores less than 70% marks. In<br />
case the Selected Applicant has one Key Personnel, other than the Team Leader,<br />
who scores less than 70% marks, he would have to be replaced, with a better<br />
candidate who, in the opinion of the Authority, would score 70% or above.<br />

The details of the education and experience required for each position and terms<br />
of reference of each Applicant are as follows:<br />
Team Leader<br />
Education and Experience: Bachelors in Civil Engineer / Architecture with Post<br />
graduation in Planning / Project Management / or any engineering specialisation<br />
with around 15 years experience in design, management and supervision of urban<br />
infrastructure projects. Must have demonstrated leadership qualities.<br />
Terms of Reference<br />
a. Overall Management of the Project- manage all tasks required under the<br />
contract and ensure delivery of outputs in a timely and satisfactory manner<br />
in accordance with the overall project implementation schedule;<br />
b. Co-ordinate and assist the Authority in their functions and responsibilities<br />
design and implementation;<br />
c. Assist the Authority in coordinating with agencies such as ASI, Ministry of<br />
<strong>Tourism</strong>, Ministry of Culture, , other agencies and other stakeholders.<br />
d. Set up procedures and systems for overall project management and<br />
monitoring project implementation;<br />
e. Develop procedures and as necessary ensure transparent procurement<br />
including prequalification of contractors, evaluation of bids, awards of<br />
contracts etc., and assist the Department in undertaking bidding procedures<br />
including prequalification of the contractors, bidding, bid evaluation and<br />
preparation of bid evaluation reports and awards of contracts for<br />
procurement of equipment, materials and civil works for all contract<br />
packages;<br />
f. Provide solutions to the Authority on key technical issues;<br />

Civil Engineer (for Building and Infrastructure and Water supply/<br />
sanitation)<br />
Bachelors in Civil Engineering with around 10 years experience in design of civil<br />
structures including infrastructure services such as water supply, sanitation and<br />
solid waste management.. The engineer should be conversant with National/<br />
International codes and best practices in design and management of historical<br />
sites.<br />
Terms of Reference<br />
With overall guidance from the Team Leader and inputs from other specialists,<br />
will be responsible for review and management of all activities such as review of<br />
designs including structural elements, estimates, procurement, bid documents of<br />
all civil and infrastructural facilities.<br />
The Engineer shall:<br />
a. Prepare TORs and coordinate all surveys and investigations required for the<br />
design of improvements;<br />
b. Prepare DPRs and detailed engineering of all sub-components along with<br />
detailed estimate and BoQs<br />
c. Support the team on aspects relating to sourcing of construction material<br />
and related tests;<br />
d. Assist the Authority in appraising subprojects, preparing subproject<br />
appraisal reports and finalizing the bid documents;<br />
e. Assist in bidding procedures including invitation of bids, bid evaluation,<br />
and awards of contract;<br />

develop indicators; devise solutions, and design landscape components and<br />
supervise its construction.<br />

a. Active participation in finalisation of Master Plans and Action Plans<br />
b. Detailed design of River front development<br />
c. Lead design of TOR for surveys and investigations required for the works<br />
near monuments;<br />
d. Finalise documents for procurement of contractors for execution of<br />
landscaping work<br />
e. Responsibilities will include supervision of works.<br />
Cultural Heritage Conservation Specialist<br />
Degree in Architecture/ Conservation and formal training in heritage<br />
conservation/ with at least 15 years experience in a senior management position at<br />
a major archaeological or monumental site(s) subject to intensive visitor pressure.<br />
Demonstrated ability to analyze site management problems; develop indicators;<br />
devise solutions, and design conservation and heritage components and supervise<br />
its construction.<br />

physical and non-physical interventions on the affected monuments and<br />

implementation of the proposed activities in all the sites.<br />
e. Prepare and Coordinate designs for all elements (including working<br />
drawings);<br />
f. Oversee the implementation of all conservation work, restoration, removal,<br />
addition, rearrangement and other interventions / alterations to the physical<br />
structure and layout of the area near monuments / structures and other sites<br />
in the vicinity with particular attention to preserving the authenticity and<br />
integrity of the physical heritage and facilitation of integrated cultural<br />
tourism;<br />
g. Provide input into the design of environmental and visitor infrastructure and<br />
services to ensure that their design and construction is in conformity with<br />
the authenticity and integrity of the sites and needs of integrated cultural<br />
tourism;<br />
h. Review estimates in consultation with (i) the engineers, (ii) associated<br />
bidding documents, assist Consultant in bidding procedures including<br />
invitation of bids, bid evaluation, and awards of contracts and (iii) assist the<br />
Consultant with overall management of construction works and in the<br />
resolution of contractual issues and preparation of as-built drawings;<br />
i. Assist Community development specialist in developing measures for<br />
sustainable management of heritage site and properties;<br />
j. In close collaboration with the Site Engineers and the Safeguards<br />
Specialists, devise protocols and systems for on-site monitoring and<br />
predictive modeling and reporting of the impact of tourism on the state of<br />
conservation of the monument, their buffer zones; the surrounding<br />
environment and the affected human communities; and<br />
k. Draft an operations manual for the implementation of the afore-mentioned<br />
protocols and systems and conduct workshop to training concerned staff in<br />
the application of the manual.<br />
l. Define the Management plan and measures to ensure implementation.<br />
Finalise and assist the Team in Master and management Plan in full<br />
publishable format, together with the necessary maps; technical annexes;<br />
and time-bound action plans for the implementation of the Master Plan.<br />
Community Development/Livelihood Specialist<br />
Education and Experience: Masters in Social Sciences/ Management, around 10<br />
years experience in community mobilization and community based heritage<br />
tourism product development focused on livelihood. Design of livelihood and<br />
community based tourism products and in community capacity building.<br />

Safeguards Specialist Environment<br />
Bachelor in Planning/ Environment/ Ecology with around 10 years experience in<br />
design and environment related safeguards for heritage property / site<br />
development and management. Should be conversant with relevant national and<br />
state Land and environmental laws, and orders/rulings of Hon’ble Courts.<br />
Terms of Reference<br />
a. Planning and implementation of works in Project area in view of Hon’ble<br />
Court’s directions, and existing rules, laws and byelaws;<br />
b. Assistance and advice on institutional strengthening and capacity building<br />
at the Authority and field levels in regards to environmental practices;<br />
c. Ensure that baseline surveys, environmental monitoring plans and<br />
programs, initial environmental impact examinations (IEE) as may be<br />
required are carried out;<br />
d. Preparation of Authority’s procedure compliant environmental safeguard<br />
actions including impact assessments if any during the design stage;<br />
e. Management plan and mitigation measures;<br />
f. Oversight of implementation of environmental standards and safeguards as<br />
part of Project implementation;<br />
g. Participate in preparation of Master Plan for project area and contribute to<br />
the environmental safeguards to the plan and sub components;<br />
h. Preparation of performance monitoring reports.<br />
Project Monitoring Specialist<br />
Education and Experience: Masters in Engineering/ Planning with around 10<br />
years of experience in project performance monitoring, preferably projects<br />
pertaining to heritage sites developments and management or urban planning and<br />

Terms of Reference<br />
In relation to the project outcomes and in discussion with the team, design the<br />
project performance monitoring mechanisms for the Project to include:<br />
a. Definition of the Project Performance Monitoring System (PPMS), forms<br />
and monitoring schedule;<br />
b. Set up systems and procedures for Project management, implementation<br />
and monitoring of the progress;<br />
c. Assist in preparing PPMS for the Program and ensure that the necessary<br />
independent inputs are in place when and where required;<br />
d. Specify the requirements from the Environmental Engineer/ Planner and<br />
Cultural Heritage Specialist (Supervision Consultants) specific<br />
requirements on outcome monitoring;<br />
e. Identifying and specifying the baseline indicators of the project for output<br />
and outcome monitoring of the Program.<br />
3.1.4 Eligible Assignments<br />
For the purposes of determining Conditions of Eligibility and for evaluating the<br />
Proposals under this <strong>RFP</strong> <strong>Document</strong>, advisory/ consultancy assignments in<br />
respect of preparation of Detailed Project Report (DPR)/ detailed engineering<br />
including engineering surveys and social and environmental impact assessment,<br />
community consultation, Project Management Consultancy Services involving<br />
independent review and approval of designs and drawings, preparation of bid<br />
documents, procurement of contractors, day to day supervision, monitoring of<br />
progress and quality of construction, erection and installation work, reporting<br />
and ensuring compliance by the Contractor with the Design and Specifications<br />
during implementation period for infrastructure development for the following<br />
type of projects shall be deemed as eligible assignments (the “Eligible<br />
Assignments”):<br />
Urban renewal project or Heritage project or<br />
Integrated infrastructure development works (Such as Building Works, Road<br />
works, Water supply, Drainage, Electrical Works, River front development,<br />
landscaping etc.)<br />
3.2 Evaluation of Financial Proposal<br />
3.2.1 In the second stage, the financial evaluation will be carried out. For financial<br />
evaluation, the total cost indicated in the Financial Proposal, will be considered.<br />
a) The Authority will determine whether the Financial Proposals are<br />
complete, unqualified and unconditional. The cost indicated in the<br />
Financial Proposal shall be deemed as final and reflecting the total cost of<br />
services. Omissions, if any, in costing any item shall not entitle the<br />
Applicant to be compensated and the liability to fulfil its obligations as<br />
per the TOR within the total quoted price shall be that of the Consultant.<br />
Applicants securing 80% marks in Technical Proposal shall qualify for<br />
opening of Financial Proposal. The weightage to Technical and Financial<br />
Proposals would be 80% and 20% respectively.<br />

b) The total marks obtained out of 100 marks in Technical Proposal shall be<br />
scaled down to a maximum of 80 as follows which shall henceforth be<br />
the total marks obtained by the Applicants against the Technical<br />
Proposal.<br />
Marks (maximum 80) on Technical Proposal (A) = 0.80 x Marks of<br />
Technical Proposal under evaluation<br />
c) The least Financial Proposal would be best Financial Proposal and shall<br />
be awarded 20 marks. Other Financial Proposals would be awarded<br />
marks out of maximum 20 based on following formula:<br />

Financial Proposal/ Financial Proposal under evaluation) x100<br />
d) Total Marks = A+B<br />
e) The Bidder scoring maximum Total Marks would be recommended for<br />
selection.<br />
4 FRAUD AND CORRUPT PRACTICES<br />
4.1 General<br />
4.1.1 The Applicants and their respective officers, employees, agents and advisers shall<br />
observe the highest standard of ethics during the Selection Process.<br />
Notwithstanding anything to the contrary contained in this <strong>RFP</strong> <strong>Document</strong>, the<br />
Authority shall reject a Proposal without being liable in any manner whatsoever<br />
to the Applicant, if it determines that the Applicant has, directly or indirectly or<br />
through an agent, engaged in corrupt practice, fraudulent practice, coercive<br />
practice, undesirable practice or restrictive practice (collectively the “Prohibited<br />
Practices”) in the Selection Process. In such an event, the Authority shall,<br />
without prejudice to its any other rights or remedies, forfeit and appropriate the<br />
Bid Security or Performance Security, as the case may be.<br />
4.1.2 Without prejudice to the rights of the Authority under Clause 4.1.1 hereinabove<br />
and the rights and remedies which the Authority may have under the LOI or the<br />
Agreement, if an Applicant , as the case may be, is found by the Authority to have<br />
directly or indirectly or through an agent, engaged or indulged in any corrupt<br />
practice, fraudulent practice, coercive practice, undesirable practice or restrictive<br />
practice during the Selection Process, or after the issue of the LOI or the<br />
execution of the Agreement, such Applicant or Consultant shall not be eligible to<br />
participate in any tender or <strong>RFP</strong> issued by the Authority during a period of 2<br />
(two) years from the date such Applicant or Consultant, as the case may be, is<br />
found by the Authority to have directly or through an agent, engaged or indulged<br />
in any corrupt practice, fraudulent practice, coercive practice, undesirable practice<br />
or restrictive practice, as the case may be.<br />
4.1.3 For the purposes of this Section, the following terms shall have the meaning<br />
hereinafter respectively assigned to them:<br />

a. “corrupt practice” means (i) the offering, giving, receiving, or soliciting,<br />
directly or indirectly, of anything of value to influence the action of any<br />
person connected with the Selection Process (for avoidance of doubt,<br />
offering of employment to or employing or engaging in any manner<br />
whatsoever, directly or indirectly, any official of the Authority who is or<br />
has been associated in any manner, directly or indirectly with the Selection<br />
Process or the LOI or has dealt with matters concerning the Agreement or<br />
arising therefrom, before or after the execution thereof, at any time prior to<br />
the expiry of one year from the date such official resigns or retires from or<br />
otherwise ceases to be in the service of the Authority, shall be deemed to<br />
constitute influencing the actions of a person connected with the Selection<br />
Process); or (ii) save as provided herein, engaging in any manner<br />
whatsoever, whether during the Selection Process or after the issue of the<br />
LOI or after the execution of the Agreement, as the case may be, any<br />
person in respect of any matter relating to the Project or the LOI or the<br />
Agreement, who at any time has been or is a legal, financial or technical<br />
consultant/ adviser of the Authority in relation to any matter concerning<br />
the Project;<br />
b. “fraudulent practice” means a misrepresentation or omission of facts or<br />
disclosure of incomplete facts, in order to influence the Selection Process;<br />
c. “coercive practice” means impairing or harming or threatening to impair<br />
or harm, directly or indirectly, any persons or property to influence any<br />
person’s participation or action in the Selection Process;<br />
d. “undesirable practice” means (i) establishing contact with any person<br />
connected with or employed or engaged by the Authority with the<br />
objective of canvassing, lobbying or in any manner influencing or<br />
attempting to influence the Selection Process; or (ii) having a Conflict of<br />
Interest; and<br />
e. “restrictive practice” means forming a cartel or arriving at any<br />
understanding or arrangement among Applicants with the objective of<br />
restricting or manipulating a full and fair competition in the Selection<br />
Process.<br />
5 MISCELLANEOUS<br />
5.1 Pre-proposal Conference<br />
5.1.1 Pre-Proposal Conference of the Applicants shall be convened at the designated<br />
date, time and place. A maximum of two representatives of each Applicant shall<br />
be allowed to participate on production of an authority letter from the Applicant.<br />
5.1.2 During the course of Pre-Proposal Conference, the Applicants will be free to<br />
seek clarifications and make suggestions for consideration of the Authority. The<br />
Authority shall endeavour to provide clarifications and such further information<br />
as it may, in its sole discretion, consider appropriate for facilitating a fair,<br />
transparent and competitive Selection Process.<br />

5.2 Performance security<br />
5.2.1 The successful Applicant will have to give a Bank Guarantee of an amount of 10<br />
percent of the Consultancy amount as Performance Security. Bank Guarantee<br />
shall be in favour of Director General <strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong><br />
valid for the period of 30 months. Bank Guarantee shall be issued by any<br />
Nationalised or Scheduled Bank. Bank Guarantee shall be submitted 15 days<br />
before execution of Consultancy Agreement between Successful Consultant and<br />
Authority<br />
5.3 Period of Consultancy<br />
5.3.1 The Consultancy period shall be initially for two years effective from the date of<br />
signing of Agreement between Successful Consultant and the Authority which<br />
period may be extended by another term of one year. No additional payment<br />
shall be made for the execution of assigned work. However, if the Project cost<br />
increases subsequently by inclusion of new work then the payment shall be<br />
made on pro-rata basis.<br />

TERMS OF REFERENCE (TOR)<br />
1. Introduction<br />
The project components are mainly: East Gate Road, West Gate Road, South Gate<br />
Road, Fatehabad Road and Taj ganj Ward. The planning of work is supposed to be<br />
done for 1.0 km radius from outer boundary of Taj Mahal. The aggregated block<br />
estimated cost of the Project is expected around Rs 150 crore. The Authority is<br />
anticipating completing the Project within next 2 years that may need Project<br />
Management Services. However, the Authority shall have the discretion to increase<br />
or decrease the number of components under the Project.<br />
The Terms of Reference (the “TOR”) and the scope of the Consultancy for this<br />
assignment are specified below.<br />
2. Objective<br />
The prime objective of the assignment is to:<br />
a. Assist the Authority in creating and maintaining world class infrastructure in<br />
areas around Taj.<br />
b. Make arrangements for maintenance of created infrastructure on long term<br />
basis.<br />
c. Ensure greater participation by local communities in tourism-related<br />
economic and livelihood activities.<br />
3. Scope of Works<br />
Without limiting the scope, the Consultant has to work in close liaison with the<br />
Authority and will be responsible for the following tasks:<br />
a. The Consultant shall be responsible for overall supervision, coordination and<br />
management of the Project and its all sub-components<br />
b. Recently, the Authority has prepared a Detailed Project Report (DPR) of<br />
approach road and infrastructure in Tajganj ward that should be taken as a<br />
module of work and be reviewed and improved upon by the Consultant.<br />
Similarly improvement and development works of different<br />
Departments/Government Agencies are in progress at different stages in the<br />
Project Area which should be reviewed and improved upon by the Consultant<br />
to make them a part of the Master Plan. The main components which will<br />
form part of the detailed Master Plan are:<br />

c. Review all existing Reports, DPRs, on-going projects and finalise the Master<br />
Plan based on ground checking subject to necessary surveys as required.<br />
d. The Consultant shall be responsible for effectively leading and taking<br />
initiative to manage, execute and implement the Project by carrying all<br />
necessary surveys and design the sub-projects plus ensuring proper<br />
construction supervision.<br />
e. The work entails co-ordination with many important stakeholders like the<br />
residents of the area, shop owners, Hotel owners and associations,<br />
Archaeological Survey of India, Central Industrial Security Force, the District<br />
Administration, Forest Department, Horticulture Department, Irrigation<br />
Department, Department of <strong>Tourism</strong>, Ministry of <strong>Tourism</strong>, Government of<br />
India, and Ministry of Culture, Government of India. There are a number of<br />
studies and documentation on Taj and surrounding area by many reputed<br />
institutions, which will be made available to the Consultant, which can be<br />
assimilated in the preparation of DPRs.<br />
Periodically conduct Stakeholder’s consultation meeting to incorporate<br />
necessary inputs/changes for the Master Plan and DPR<br />
Follow participatory approach while finalising the Master Plan<br />
f. The Consultant shall assist the Authority in getting necessary clearances and<br />
approvals as applicable from concerned authorities including Hon’ble Supreme<br />
Court and accordingly finalise the necessary documents.<br />
g. The Consultant shall prepare the Detailed Project Reports of identified<br />
components along with necessary engineering details for ease of<br />
implementation.<br />
h. The Consultant shall prepare all necessary procurement documents, carry out<br />
scrutiny and assist in processing of tender documents for the various works<br />
under the Project incorporating all statutory / mandatory provisions in respect<br />
of labour laws, taxes/ levies etc. as per relevant rules, and obtaining approval<br />
from the Authority. The Consultant shall assist the Authority in Tender<br />
Process Management which shall include pre tender meetings, compilation of<br />
queries, preparation of draft response, opening and evaluation of tenders,<br />
negotiation if required and signing of agreement etc.<br />
i. The Consultant shall be responsible for the day to day supervision of<br />
construction works at site through contractors, quality control, taking<br />
measurements, entering measurements in the Measurement Books certifying<br />
and finalizing the bill of contracts, handing over completed works and attend<br />
to audit queries & all arbitration / litigation cases with respect to the Project.<br />
j. The Consultant shall check and finalize contractor’s detailed programme of<br />
activities commensurate with the tender provisions, requirement of labour,<br />
materials and samples and delivery of products requiring long lead time<br />
procurement.<br />

k. The Consultant shall conduct preliminary interaction with the contractor and<br />
ensure timely release of drawings well in advance as per the requirement.<br />
l. The Consultant shall be responsible for the field supervision carrying out<br />
field tests on materials, structures etc. and obtaining necessary approvals<br />
thereon and maintaining adequate records thereof on the forms prescribed by<br />
the Authority. The Consultant shall ensure proper establishment of field<br />
laboratories/quality control equipments on site by contractors to conduct tests<br />
on materials/mixes being used for construction such as cement, steel, bricks,<br />
mortars, concretes et cetera. Essential gauges, instruments etc. should be got<br />
calibrated periodically. The Consultant shall maintain necessary site records<br />
and obtain data in support of the same. They shall carry out field and<br />
laboratory tests on materials of construction as well as partially or completely<br />
erected structures etc. and maintain adequate records thereof.<br />
m. The Consultant shall avoid cropping up of Extra items/ substituted items and<br />
deviations should strictly be avoided. However, in unavoidable circumstances<br />
extra items/substituted items, deviation the necessary statement duly<br />
supported by justification and analysis of rates shall be submitted as per<br />
CPWD/PWD formats or any other formats approved by the Authority along<br />
with Consultant’s recommendations for extra/substituted items. The<br />
Consultant should ensure that the case is put up for the Authority’s approval<br />
early enough so that in no case construction work suffers on this account. As<br />
regards grant of time extension cases, prior approval of the Authority should<br />
be obtained by the Consultant.<br />
n. The Consultant shall suggest modifications, if any, due to site conditions and<br />
submit the recommendations along with cost variations on account of the<br />
same to the Authority for approval.<br />
o. The Project Manager shall be responsible for the planning and monitoring<br />
progress by using modern methods of control such as computerized PERT /<br />
CPM (either by Primavera or MS-Projects), submission of progress reports of<br />
work executed monthly. Both financial and physical progress reports with<br />
reference to prefixed targets will be prepared. Constant review of progress<br />
within present time and cost parameters will have to be done. The Consultant<br />
shall suggest improvements from time to time. The Consultants inform the<br />
Authority of the progress of the Project vis-à-vis PERT/CPM controls on a<br />
monthly basis.<br />
p. The Consultant shall ensure the contractual obligation such as<br />
implementation of Labor laws, environmental/safety management system<br />
obligations and other statutory regulations are adhered during the<br />
construction to completion stage.<br />
q. The Consultant shall ensure adherence of safe working procedures at<br />
construction site and conduct safety audit at site and shall submit monthly<br />
safety audit reports to the Authority non-adherence to the safety instruction,<br />
unsafe practices followed by the contractor if any and shall report any<br />

accident and its analysis with recommended preventive and corrective<br />
actions.<br />
r. The Consultant shall be required to participate in the Project review meetings<br />
held from time to time by the Authority, as also to participate in emergency<br />
or extraordinary meetings held to deal with any emergency, force majeure<br />
event or other exigencies.<br />
s. The Consultant shall submit monthly compliance of environmental safe guard<br />
measures implemented by the contractors.<br />
t. The Consultant shall be responsible for assessing, verifying and sending<br />
replies to the day-to-day issues raised by the contractors during the execution<br />
of work or after completion of the work. However, in case of any claims with<br />
financial implication, approval of the Authority shall be obtained. Nothing<br />
extra will be paid to the consultant for such works.<br />
u. The Consultant shall provide all technical services/ guidance/ advice as may<br />
in any way relate to or arise out of the construction of the said work as have<br />
been entrusted to the Consultant by the Authority.<br />
v. The Consultant shall prepare a realistic cash flow/ expenses on budget head<br />
for the Project on available information and update the same as required on a<br />
regular basis to reflect the current status.<br />
w. The Consultant shall keep the Authority appraised of any delays; keep a<br />
hindrance register indicating all details of all such delays which will also be<br />
furnished with recommendations for approval of the Authority for grant of<br />
extension of time by the Authority to contractors.<br />
x. Reconciliation of the quantities for the final bill shall be done by the<br />
Consultant before the final bill is submitted to the Authority. The Consultant<br />
shall ensure that all the test reports /certificates, guarantees, warrantees bonds<br />
are obtained.<br />
y. Obtain and submit all the records and the records of any changes made in the<br />
works during the progress of works and submit adequate number of<br />
completion reports and completion drawings for the Project, prepared by the<br />
contractor/consultant incorporating all such changes, duly authenticated as<br />
required for obtaining “Completion/Occupancy Certificate" from statutory<br />
authorities, wherever required.<br />
z. Obtain certification and submit “As Built Drawings” prepared by the<br />
Contractor at an appropriate scale indicating the details of building, structure<br />
and services duly authenticating and supply 3 sets of as built/completion<br />
drawings to the Authority also hand over the originals of the completed<br />
drawings.<br />
aa.<br />
Submit two soft copies of the entire drawings / documents and two sets of<br />
drawings on reproducible paper for the works executed to the Authority.<br />

bb. Verification of work on its completion and issuing completion certificates<br />
(virtual as well as actual) for the completed works, so as to enable the<br />
Authority to record completion of the works.<br />

Verification by taking and recording joint measurements of the final bill to be<br />
submitted by the contractors, process, certify and recommend as per the terms<br />
and conditions of contract agreement for release of final payment by the<br />
Authority and attend to the observations /queries raised while processing the<br />
same for payments by the Authority.<br />
dd. The Consultant shall also submit necessary information as required by the<br />
Authority for finalization of accounts.<br />

The Consultant shall maintain complete documentation and render all<br />
technical services as may in any way relate to or arise out of the construction<br />
of the said work as have been entrusted to the Consultant by the Authority.<br />
The Consultant shall get the “Maintenance Manual” for infrastructure and all<br />
the internal and external services prepared by the contractor (s).<br />
gg. Identification and quantification of estimated financial impact of the Project<br />
on Government resources;<br />
hh. Creating performance indicators/ parameters for maintenance of assets<br />
created.<br />
4. Deliverables<br />
Inception Report<br />
Within a month of mobilization, the Consultant will submit an Inception Report. The<br />
Inception Report should consist of a detailed work plan with detailed of<br />
implementation strategies for each sub-component.<br />
Master Plan and Action Plans<br />
Upon commencement, the Consultant, in close coordination with the Authority, shall<br />
prepare the Project’s Master Plan and Action Plan for the development of the said<br />
area. The Action Plan will include a detailed description of activities that are to be<br />
carried out for development in the Project area. The Action Plan will include<br />
quantitative and qualitative targets to be accomplished and a detailed schedule of<br />
actions and activities to be performed. The Action Plan will also detail the specific<br />
responsibilities for carrying out the tasks and key assumptions underlying the timely<br />
and effective carrying out of tasks and activities. This will be based on the surveys,<br />
reports, studies, and field visits of the Project area. The first Action Plan is due not<br />
later than two months after the mobilization of Team.<br />
Preparation of DPRs and Detailed Engineering<br />
The Consultant will update the existing Detailed Project Report prepared by the<br />
Authority. In addition, the Consultant shall prepare detailed engineering drawings of<br />
the sub-components based on necessary surveys, community consultations et cetera.<br />
for developing state of art infrastructure in Project area. The DPR will be split into<br />

independent but integral modules in a way that implementation of a module can be<br />
taken up separately which fits ultimately into the complete plan of scheme. This will<br />
be done in six months time from mobilization.<br />
Implementation of the Project<br />
In consultation with the Authority, the bidding documents for different modules be<br />
prepared and floated for procuring the services of a competent firm / company for<br />
execution of that module. The competent firm/ company be selected through<br />
transparent bidding. The work on first module should begin in four months from the<br />
date of commencement. The entire work envisaged in the DPR has to be completed<br />
in 24 months from the date of commencement.<br />
Monthly Progress Report<br />
The Consultant will submit following reports in the English language:<br />

Monthly progress reports to be prepared within two weeks of the end of each<br />
quarter and submitted to the Authority; and<br />
Project completion report within three months of physical completion of<br />
Project.<br />
Interim Report<br />
At the end of the every six months the Consultant will provide a broad view of the<br />
physical and institutional progress achieved, and make recommendations to the<br />
Authority on suitable modifications to successful implementation of the Project.<br />
Final Report<br />
A final report will be prepared and submitted to the Authority on completion of the<br />
Assignment. The detailed content and topic coverage will be determined by the<br />
Authority in consultation with other agencies concerned.<br />

6. Working Arrangements<br />
The Consultant will be attached to the Authority and will be based at Project Site i.e.<br />
Agra from where the Consultant will carry out their duties. The Consultant will have<br />
frequent interactions with the field staff of different Departments and will assist and<br />
carry out on-the job training as a routine part of their activities.<br />
The Authority will provide suitable support facilities including all relevant and<br />
available reports, documents, maps, and photographs etc.. The Authority will<br />
provide suitable office space to the Consultant at Lucknow and their Site office at<br />
Agra.<br />
Consultant will be responsible to:<br />
Arranging for communication facilities (telephone, fax and internet)<br />
Arranging for refurbishment of office space, furniture, equipment etc as<br />
required for setting up and maintenance of its office;<br />
Arranging for communication, data processing, computers, printing<br />
equipments and necessary stationeries;<br />
Arranging for all transportation and travelling required for the Assignment<br />
and;<br />
Arranging for any training material, printouts, etc required for Consultancy<br />

Draft Consultancy Agreement<br />
THIS AGREEMENT (“Consultancy Agreement”) is made on the ___ th day of ____, 201*<br />
at Lucknow.<br />
BETWEEN:<br />
The Governor of <strong>Uttar</strong> <strong>Pradesh</strong> through Secretary, Department of <strong>Tourism</strong>, Government of<br />
<strong>Uttar</strong> <strong>Pradesh</strong>, having its office at Lucknow (hereinafter referred to as “Authority”, which<br />
expression shall mean and include its successor in office) of the ONE PART<br />
AND<br />
_____________, and having its registered office at ___________(hereinafter referred to as<br />
the “Consultant”) which expression shall, unless it be repugnant to the context or<br />
meaning thereof, include its successors of the SECOND PART<br />
The Authority and the Consultant are collectively referred to as 'Parties' and individually<br />
as “Party”.<br />
WHEREAS<br />
A. The Authority intends to develop the approach roads to Taj Mahal, the infrastructure<br />
in Tajganj, development of adjoining garden (Sahjahan Garden, Taj Nature Walk<br />
and Mehtab Bagh) and landscaping of nearby river front of world class quality<br />
befitting to the World Heritage Site of the Taj (the “Project”)<br />
B. The Authority intends to hire a Consultant to prepare detailed project report, detailed<br />
engineering, detailed estimates based on necessary surveys, review and approval of<br />
existing designs and drawings, obtain the necessary approvals and clearances<br />
required for Project implementation, prepare bid documents, assist the Authority in<br />
procuring Contractors, day to day supervision, monitoring of progress and quality of<br />
construction, erection and installation work, reporting and ensuring compliance by<br />
the Contractor with the Design and Specifications during Implementation period for<br />
infrastructure development (“Consultancy”).<br />
C. Accordingly, the Authority invited proposals from various interested Applicants<br />
through a transparent and competitive selection process to assist the Authority in the<br />
Consultancy for the said Project. In response thereto, the Authority received<br />
proposals from various Applicants for the Consultancy Services. Pursuant thereto,<br />
after evaluation of all the proposals, the Authority accepted the proposal of<br />
___________ and accordingly issued a Letter of Intent bearing No.<br />
____________________, dated ________________ requesting M/s<br />
________________ to execute the Agreement, which the Consultant has<br />
acknowledged through the Letter of Acceptance dated _________________.<br />
D. M/s ____________________ is a Company engaged in providing consultancy<br />
services across diverse sectors on a commercial basis. It specializes in providing<br />

Now, therefore, in consideration of the premises aforesaid, the Parties hereby agree, as<br />

1. ROLE OF THE CONSULTANT<br />
M/s _________________________ shall provide Consultancy Services to the<br />
Authority towards the Project and Scope of Works of Consultant and other terms and<br />
conditions to be adhered to by Consultant is more particularly set out in Schedule 1<br />
(Terms of Reference) to the <strong>RFP</strong> <strong>Document</strong>.<br />
2. ROLE OF THE AUTHORITY<br />
a. Ensure payment of fees to M/s ________________________ in accordance with<br />
this Agreement<br />
b. Provide the Consultant with, and/or give access to, all such information which is<br />
relevant for the purpose of the Project<br />
c. Subject to the Applicable Law issue all such instructions as may be necessary or<br />
appropriate for the prompt and effective implementation of the Consultancy<br />

3. PAYMENT<br />

4. TERMINATION OF THE AGREEMENT<br />
a. The Authority shall have a right to terminate this Consultancy Agreement if the<br />
Consultant commits breach of any conditions by giving a written notice of 30 days<br />
to the Consultant. Breach of Agreement include, but are not limited to, the<br />
following:<br />
i. It is found that the time schedule of the Consultancy is not being adhered to.<br />
ii. The Consultant stops work for a period exceeding 30 days and such<br />
stoppage has not been authorized by the Authority.<br />
iii. In case the Consultant fails to carry out the instructions/orders issued by the<br />
Authority from time to time during the period of the Consultancy<br />

Agreement and fails to comply with the laws applicable in the State of <strong>Uttar</strong><br />
<strong>Pradesh</strong>.<br />
iv. The Consultant fails to deliver any or all of the obligations within the time<br />
period(s) specified in the Consultancy Agreement, or any extension thereof<br />
granted by the Authority.<br />
v. The Consultant fails to depute required Key personnel as agreed in the <strong>RFP</strong><br />
vi. The Consultant fails to perform any other obligation(s) under the<br />
Consultancy Agreement.<br />
b. If the work on the Assignment is stopped for period of atleast 30 days, the<br />
Consultant may also terminate the Consultancy Agreement by giving a notice of 30<br />
days to the Authority.<br />
c. The Consultancy Agreement may also be terminated at any time by mutual<br />
consent.<br />
5. DISPUTE AND SETTLEMENT<br />
In case of any dispute with respect to the terms of Consultancy Agreement, the<br />
matter may be represented to Director General <strong>Tourism</strong>, Government of <strong>Uttar</strong><br />
<strong>Pradesh</strong> by the Consultant after giving a notice of 30 days. The matter shall be<br />
examined and put up to Secretary <strong>Tourism</strong>, Government of <strong>Uttar</strong> <strong>Pradesh</strong> for<br />
decision. In case the dispute is not resolved at the level of the Secretary <strong>Tourism</strong>,<br />
Government of <strong>Uttar</strong> <strong>Pradesh</strong>, the matter shall be referred to the Infrastructure and<br />
Industrial Development Commissioner (IIDC). If after 30 days from the<br />
commencement of such direct negotiations at the level of IIDC, the dispute is not<br />
resolved, it shall then be settled by the sole arbitrator appointed by IIDC under the<br />
Arbitration and Conciliation Act, 1996 and his decision would be final and binding<br />
on both the parties. The Arbitration and Conciliation Act 1996 and the rules made<br />
thereunder and any statutory modification or re-enactments thereof, shall apply to<br />
the arbitration proceedings. The venue of the arbitration shall be Lucknow, <strong>Uttar</strong><br />
<strong>Pradesh</strong>. Pending the submission of and/or decision on a dispute, difference or<br />
claim or until the arbitral award is published; the Consultant shall continue to<br />
perform all its obligations under the Consultancy Agreement without prejudice of<br />
final adjustment in accordance with such award.<br />
Not withstanding anything contained in this Agreement, the aggregate liability of<br />
the Consultant in connection with the services to be performed hereunder, shall in<br />
no event exceed the contract price. The Consultant shall only be liable for the<br />
direct damages or loss arising out this<br />
6. LEGAL JURISDICTION<br />
Any legal dispute arising out of this Consultancy Agreement shall be settled at the<br />
Court of Law located at Lucknow.<br />
7. GOVERNING LAW<br />
This Agreement shall be governed by and constructed in accordance with the laws<br />
of India. Neither the Authority nor the Consultant shall have the right to transfer or<br />
assign their responsibilities resulting from this Agreement<br />

8. AMENDMENTS AND MODIFICATIONS<br />

Any notice or other communications required to be given pursuant to this<br />
Consultancy Agreement shall be in writing and shall be sufficiently given or served<br />
if delivered by hand or courier with acknowledgement or faxed at the numbers given<br />
below or sent by registered post to the representative persons at the address given<br />

10. PERIOD<br />
The Consultant shall be expected to have completed the entire process of<br />
consultancy services completed by the end of 24 months from the date of execution<br />
of this Agreement which period may be extended by 12 months on the same terms<br />

1. With reference to your <strong>RFP</strong> document dated ________, I/we, having examined all<br />
relevant documents and understood their contents, hereby submit our Proposal for<br />
selection as Project Management Consultant (Consultants) for Integrated<br />
Infrastructure Development around Taj.<br />
2. The Proposal is unconditional and unqualified.<br />
3. All information provided in the Proposal and in the Appendices is true and<br />
correct.<br />
4. This statement is made for the express purpose of appointment as the Consultant<br />
for the aforesaid Project.<br />
5. I/We shall make available to the Authority any additional information it may find<br />
necessary or require to supplement or authenticate the Proposal.<br />
6. I/We acknowledge the right of the Authority to reject our Proposal without<br />
assigning any reason or otherwise and hereby waive our right to challenge the<br />
same on any account whatsoever.<br />
7. We certify that in the last three years, we have neither failed to perform on any<br />
contract, as evidenced by imposition of a penalty or a judicial pronouncement or<br />
arbitration award, nor been expelled from any project or contract nor have had<br />
any contract terminated for breach on our part.<br />

undesirable practice or restrictive practice, as defined in Section 4 of the<br />
<strong>RFP</strong> document, in respect of any tender or request for proposal issued by<br />
or any agreement entered into with the Authority or any other public<br />
sector enterprise or any Government, Central or State; and<br />
I/ We hereby certify that we have taken steps to ensure that in conformity<br />
with the provisions of Section 4 of the <strong>RFP</strong> <strong>Document</strong>, no person acting<br />
for us or on our behalf has engaged or will engage in any corrupt practice,<br />
fraudulent practice, coercive practice, undesirable practice or restrictive<br />
practice.<br />
9. I/ We understand that you may cancel the Selection Process at any time and that<br />
you are neither bound to accept any Proposal that you may receive nor to select<br />
the Consultant, without incurring any liability to the Applicants, in accordance<br />
with Clause 2.8 of the <strong>RFP</strong> document.<br />
10. I/ We declare that we are not a Member of any other Applicant submitting a<br />
Proposal for the Project.<br />
11. I/ We certify that in regard to matters other than security and integrity of the<br />
country, we have not been convicted by a Court of Law or indicted or adverse<br />
orders passed by a regulatory authority which could cast a doubt on our ability to<br />
undertake the Project or which relates to a grave offence that outrages the moral<br />
sense of the community.<br />
12. I/ We further certify that in regard to matters relating to security and integrity of<br />
the country, we have not been charge-sheeted by any agency of the Government<br />
or convicted by a Court of Law for any offence committed by us or by any of our<br />
Members.<br />
13. I/ We further certify that no investigation by a regulatory authority is pending<br />
either against us or against our CEO or any of our Directors/ Managers/<br />
employees.<br />
14. I/ We undertake that in case due to any change in facts or circumstances during<br />
the Selection Process, we are attracted by the provisions of disqualification in<br />
terms of the guidelines referred to above, we shall intimate the Authority of the<br />
same immediately.<br />
15. I/We hereby irrevocably waive any right which we may have at any stage at law<br />
or howsoever otherwise arising to challenge or question any decision taken by the<br />
Authority in connection with the selection of Consultant, or in connection with<br />
the Selection Process itself, in respect of the above mentioned Project.<br />
16. In the event of my/ our being declared as the Successful Applicant, I/We agree to<br />
enter into an Agreement provided by the Authority.<br />

17. I/We have studied all the <strong>RFP</strong> <strong>Document</strong>s carefully and also surveyed the Project<br />
Site. We understand that except to the extent as expressly set forth in the <strong>RFP</strong><br />
<strong>Document</strong>, we shall have no claim, right or title arising out of any documents or<br />
information provided to us by the Authority or in respect of any matter arising out<br />
of or concerning or relating to the Selection Process including the award of<br />
Assignment.<br />
18. The Bid Security of Rs. 1,00,000 (Rupees One Lakhs) only in the form of a<br />
Demand Draft is attached, in accordance with the <strong>RFP</strong> <strong>Document</strong>,<br />
19. The Consultancy Fee has been quoted by me/us after taking into consideration all<br />
the terms and conditions stated in the <strong>RFP</strong> <strong>Document</strong>.<br />
20. I/We agree to keep this offer valid for 180 (one hundred and eighty) days from<br />
the date of opening of Financial Proposal.<br />
21. I/We agree and understand that the Proposal is subject to the provisions of the<br />
<strong>RFP</strong> <strong>Document</strong>. In no case, shall I/we have any claim or right of whatsoever<br />
nature if the Consultancy for the Project is not awarded to me/us or our Proposal<br />
is not opened or rejected.<br />
22. I/We agree and undertake to abide by all the terms and conditions of the <strong>RFP</strong><br />

The proposed methodology and work plan shall be described as follows:<br />
Understanding of TOR (not more than two pages)<br />
The Applicant shall clearly state its understanding of the TOR and also highlight its<br />
important aspects. The Applicant may supplement various requirements of the TOR and<br />
