As part of this commitment, the Group subscribes to the Code of Corporate Governance issued by the Corporate Governance Committee in March 2001. This statement outlines the main corporate governance practices of the Company with specific reference to the Code of Corporate Governance (the “Code”). BOARD OF DIRECTORS (PRINCIPLES 1, 2, 3 AND 4) ROLE OF THE BOARD The primary role of the board of directors of the Company (the “Board”) is to protect and enhance long-term shareholders’ value. It is responsible for setting the strategic direction of the Group. It also supervises the management of the Group (the “Management”), including establishing goals for Management and monitoring the achievement of these goals. Other matters within the purview of the Board include the appointment of directors, review of the Group’s financial performance and major funding or investment proposals and other material transactions. The Board holds regular meetings each year and has held two meetings during the financial year. The Board may convene additional meetings to address any specific significant matters that may arise from time to time. In addition, the Executive Directors have regularly participated in seminars and/or conferences to keep abreast of the latest developments which are relevant to the Group. BOARD COMPOSITION AND BALANCE The directors of the Company in office as at the date of this report are set out in the Directors’ Report. The Nominating Committee has reviewed the size and composition of the Board. It is satisfied that the current Board size is appropriate and effective, and that the Board comprises professionals who are suitably qualified to meet the Company’s objectives.
