consolidating adjustments, and the policies
and assumptions disclosed in Sections 5.1,
5.2, 5.4, 5.5 and 5.6 of the Prospectus,
and in accordance with the measurement
and recognition requirements, but not all of
the disclosure requirements, of applicable
Accounting Standards and other mandatory
professional reporting requirements (Urgent
Issues Groups Consensus Views) in Australia.

6.5 Subsequent Events
Apart from the matters dealt with in this report,
and having regard to the scope of our report,
to the best of our knowledge and belief no
material transactions or events outside of the
ordinary business of the Groups and the Company
have come to our attention that would require
comment on, or adjustment to, the information
referred to in our report or that would cause
such information to be misleading or deceptive.
6.6 Independence
Haines Norton does not have any interest in the
outcome of the Offer other than in connection
with the preparation of this report for which
normal professional fees will be received.
