SECURITIES INDUSTRY<br />
(c) a company that under the laws of the<br />
jurisdiction to which it is subject purchases<br />
its shares and resells them.<br />
(2) For the purposes of this <strong>Act</strong>, “security” or<br />
“securities” means any share, stock, debenture, loan stock,<br />
fund, bond, or note issued by any person or body, whether<br />
incorporated or unincorporated, or of any government or<br />
local government authority, or government agency, or<br />
quasi-government agency, or foreign government agency,<br />
or foreign quasi-government agency, or international<br />
governmental organization, and includes, but is not limited<br />
to —<br />
(a) an obligation secured by a mortgage and its<br />
derivatives;<br />
(b) an obligation secured by an asset and its<br />
derivatives;<br />
(c) rights; options, futures, contracts or other<br />
interest (whether described as units or otherwise)<br />
in or in respect of any of the securities hereinbefore<br />
mentioned in this subsection;<br />
(d) certificates of interest or participation in, or<br />
temporary or interim certificates for, receipts for,<br />
or warrants to subscribe to or purchase, any of<br />
the foregoing;<br />
(e) derivatives including options, futures, contracts<br />
or other rights with respect to commodities,<br />
currencies, indices or other tangible or<br />
intangible personal property or rights therein,<br />
but does not include —<br />
(i) any securities of any company which is a private<br />
company and which has not taken steps to<br />
become a public company;<br />
(ii) any interest arising under a partnership agreement<br />
or proposed partnership agreement (other<br />
than an agreement creating a limited partnership),<br />
unless the agreement or proposed agreement<br />
relates to an undertaking, scheme,<br />
enterprise, or investment contract promoted by<br />
or on behalf of a person whose ordinary business<br />
is or includes the promotion of similar undertakings,<br />
schemes, enterprises, or investment<br />
