(b) “registrant” means a security exchange facility,<br />

broker-dealer, principal, associated person,<br />

stockbroker, dealer, dealer or trader as defined<br />

by the <strong>Securities</strong> <strong>Industry</strong> <strong>Act</strong>.<br />

92. (1) A public company, prior to any meeting of<br />

its shareholders, shall have a notice of the meeting and<br />

proxy sent to each shareholder in the prescribed form and<br />

in accordance with the requirements set out by the<br />

Commission.<br />

(2) A public company shall file copies of any proxy<br />

materials with the Commission prior to any such proxy<br />

materials being sent to its shareholders for any purposes,<br />

within such time limit as may be established by regulations.<br />

(3) <strong>The</strong> Commission may review any proxy<br />

materials or any other communications to shareholders and<br />

may insist on any modifications and may as a result of its<br />

review extend the period for any mailing or shareholder<br />

meeting as prescribed in the Companies <strong>Act</strong>.<br />

(4) Where the securities are registered in the names<br />

of broker-dealers or nominees, the public company shall<br />

inquire as to the beneficial ownership of the securities,<br />

furnish sufficient copies of the proxy materials for<br />

distribution to all shareholders and pay any reasonable<br />

expenses of such distribution.<br />

93. <strong>The</strong> Minister may, after consultation with the<br />

Commission, make regulations for carrying out the<br />

provisions of this <strong>Act</strong> and without prejudice to the<br />

generality of this provision may make regulations —<br />

(a) for the regulation and operation of securities<br />

exchanges, securities markets and market participants;<br />

(b) for the contents of prospectuses for the purpose<br />

of issuing securities to the public;<br />

(c) for the conduct of securities business and<br />

transactions in or from <strong>The</strong> <strong>Bahamas</strong>;<br />

(d) for prescribing fees to be paid in respect of<br />

matters arising under or provided for or<br />

authorized by this <strong>Act</strong>; and<br />

(e) for any other matter or thing which may be or is<br />

required to be prescribed under this <strong>Act</strong>.<br />

94. <strong>The</strong> Commission may publish guidelines of any<br />

regulations or rules made pursuant to this <strong>Act</strong>, or of any<br />

provisions of this <strong>Act</strong>.<br />
