person within such reasonable time as is specified in the<br />

notice to give as far as it lies within his knowledge written<br />

particulars of the agreement or arrangement and the<br />

parties to it.<br />

(5) Where a public company receives information<br />

from a person in pursuance of a requirement imposed on<br />

him by this section, it shall inscribe against the name of<br />

that member in a separate part of the register kept by it<br />

under section 87 —<br />

(a) the fact that the requirement was imposed and<br />

the date on which it was imposed; and<br />

(b) the information received in pursuance of the<br />

requirement.<br />

(6) Where a public company receives information<br />

from a person in pursuance of a requirement imposed on<br />

him by this section, it shall not disclose such information<br />

except where disclosure —<br />

(a) is required under any provision of this or any<br />

other <strong>Act</strong>; or<br />

(b) is lawfully required or permitted by a court of<br />

competent jurisdiction.<br />

(7) For the purposes of section 86 and of this section,<br />

the expression “relevant share capital” means issued share<br />

capital of a class carrying the right to vote in all<br />

circumstances and at all general meetings.<br />

89. Any person who commits a breach of any section<br />

in this Part or who in complying with any other section<br />

makes a statement which he knows to be false, or recklessly<br />

makes a statement which is false, or fails to supply any<br />

particulars which he is required to supply is guilty of an<br />

offence and shall be liable —<br />

(a) on summary conviction to a fine of thirty<br />

thousand dollars or to imprisonment for six<br />

months, or to both;<br />

(b) on conviction on information to a fine of<br />

seventy-five thousand dollars or to imprisonment<br />

for one year, or to both.<br />

90. <strong>The</strong> provisions of this Part shall apply mutatis<br />

mutandis to partnerships, limited liability partnerships,<br />

trusts, joint ventures, syndicates, and other issuers, as the<br />

case may be.<br />
