which the advice is given and receives no<br />
commission or other consideration for giving the<br />
advice,<br />
where engaging in offering to provide or providing<br />
securities investment advice is only incidental to their<br />
principal business or occupation.<br />
PART IV<br />
REGULATORY AUTHORITY OF THE<br />
COMMISSION<br />
30. (1) In carrying out its responsibilities under this<br />
<strong>Act</strong> the Commission may make rules providing for such<br />
matters as may be necessary or expedient for giving effect<br />
to such responsibilities.<br />
(2) Without prejudice to the generality of subsection<br />
(1) the Commission may also make rules for —<br />
(a) tender offers, mergers and other issues of<br />
corporate control and acquisition involving any<br />
public company;<br />
(b) the solicitation of proxies by shareholders of<br />
public companies, including but not limited to<br />
their need, form and content.<br />
31. (1) <strong>The</strong> Commission shall have the authority to<br />
supervise and regulate the securities market and the<br />
operations and duties specifically delegated or otherwise<br />
conferred upon, a <strong>Securities</strong> Exchange or any other body<br />
registered under this <strong>Act</strong>.<br />
(2) Without prejudice to the generality of the<br />
foregoing, the Commission shall have the authority to —<br />
(a) review, approve, reverse or vary any rules,<br />
regulations, interpretations, decisions, actions or<br />
orders of a <strong>Securities</strong> Exchange or any other<br />
body registered under this <strong>Act</strong>;<br />
(b) establish by rules the educational criteria or<br />
standards, if any, which govern the eligibility of<br />
an individual to engage in any of the activities<br />
regulated by this <strong>Act</strong>;<br />
