qualification must be accompanied by a fee of<br />

$200 for each <strong>part</strong>ner in this state on the<br />

date of renewal, not to exceed $750. A<br />

renewal statement of foreign qualification<br />

filed under this section continues an<br />

effective registration for one year after the<br />

date the effective registration would<br />

otherwise expire.<br />

Sec. 152.909. ACTION BY SECRETARY OF STATE. The secretary<br />

of state may remove from its active records the registration of a<br />

foreign limited liability <strong>part</strong>nership the registration of which<br />

has:<br />

(1) been withdrawn or revoked; or<br />

(2) expired and not been renewed. (TRPA 10.02(h).)<br />

Sec. 152.910. EFFECT OF FAILURE TO QUALIFY. (a) A foreign<br />

limited liability <strong>part</strong>nership that transacts business in this<br />

state without being registered is subject to Subchapter B,<br />

Chapter 9.<br />

(b) A <strong>part</strong>ner of a foreign limited liability <strong>part</strong>nership is<br />

not liable for a debt or obligation of the <strong>part</strong>nership solely<br />

because the <strong>part</strong>nership transacted business in this state without<br />

being registered. (TRPA 10.03.)<br />

<strong>part</strong>nership transacting business in Texas may<br />

not maintain an action, suit, or proceeding<br />

in Texas unless it has registered in Texas<br />

and paid to the secretary of state all<br />

amounts owing under Section 10.02.
