D. Except as otherwise provided in the<br />

articles of organization or the regulations,<br />

if the limited liability company has<br />

managers, meetings of members shall be held<br />

on written or printed notice, stating the<br />

place, day, and hour of the meeting and, in<br />

the case of a special meeting, the purpose or<br />

purposes for which the meeting is called,<br />

which notice shall be delivered to the<br />

members not less than 10 or more than 60 days<br />

before the meeting, either personally or by<br />

mail.<br />

Revisor's Note<br />

Section 101.352 states the requirements<br />

for notice of regular and special meetings of<br />

the members, governing authority, and<br />

committees of the governing authority of a<br />

limited liability company. Except in certain<br />

cases, existing law leaves notice<br />

requirements solely to the provisions of the<br />

regulations. This change provides a new<br />

default rule.<br />

Sec. 101.353. QUORUM. A majority of all of the governing<br />

persons, members, or committee members of a limited liability<br />

company constitutes a quorum for the purpose of transacting<br />

business at a meeting of the governing authority, members, or<br />

committee of the company, as appropriate. (TLLCA 2.23.A (<strong>part</strong>).)<br />
