DRAFT MINUTES ANNUAL MEETING OF MEMBERS AND 2011-2012 BOARD OF DIRECTORS MEETING FRIDAY, JUNE 24 AND SATURDAY, JUNE 25, 2011 OMNI FORT WORTH HOTEL; FORT WORTH, TX PAGE 12 XXIV. ANNUAL MEETING OF THE TSCPA CPE FOUNDATION. Diane Pappas, Vice Chair of the CPE Advisory Board, gave an annual report on the CPE Foundation. She noted, among other things, that there is an expansive curriculum of CPE and mentioned the many formats in which CPE is available to TSCPA members (i.e., live seminars; self-study programs; web casts; on site courses; training classes, etc.). Ms. Pappas also noted that technology is enabling the CPE Foundation to be a “24/7” provider to members to get CPE and information in innovative and flexible formats. She overviewed the 2010-2011 CPE highlights. XXV. ANNUAL MEETING OF THE TSCPA PEER ASSISTANCE FOUNDATION. Patsy Culver, Chair of the TSCPA Peer Assistance Committee, presented the annual report of the Peer Assistance Foundation. She recognized the members of the Committee and explained the purpose of the Peer Assistance Program – the Accountants Confidential Assistance Network (ACAN). The program is specifically dedicated to helping Texas CPAs, CPA candidates and accounting students to battle drug, alcohol and mental health problems. The TSCPA is trying to get the message out to members through a multitude of communications. Ms. Culver explained the ACAN process for Board referrals and that funding is through TSBPA annual grants and TSCPA member contributions. She encouraged everyone to get the word out even further by inviting Peer Assistance Committee members to make presentations at their organizations/firms, chapter luncheons/meetings, and other seminars and conferences. The Peer Assistance Program is a proven resource for help and it has been a resource for other state CPA societies that are interested in establishing a similar program. There is an ACAN page on the TSCPA web site for additional information and selfreferrals, and more information may be obtained through Craig Nauta, the TSCPA ACAN Program Director. XXVI. OPEN FORUM. Members were afforded the opportunity to discuss issues or topics of their choice during an open forum. XXVII. INVITATION TO 2012 MIDYEAR BOARD OF DIRECTORS MEETING. Ms. Wesling invited the members to attend the 2012 Midyear Board of Directors Meeting on January 20-21, at the Hilton Hotel & Conference Center in College Station, Texas. She encouraged the members to make their reservations as soon as possible because the room block sells out quickly.

INVITATION TO 2012 ANNUAL MEETING OF MEMBERS & BOARD OF DIRECTORS MEETING. Ms. Wesling invited the members to attend the 2012 Annual Meeting of Members and Board of Directors Meeting on June 29-30, at the Omni Corpus Christi Bayfront Hotel in Corpus Christi, Texas. XXIX. ADJOURNMENT. There being no further business, a motion was approved to adjourn the meeting at 12:30 pm. MOTIONS PASSED: 1. Ratification of motions at Awards Luncheon. 2. Approval of the minutes of the 2011 Midyear Board of Directors Meeting held January 25-26, 2011, at the Sheraton Austin Hotel in Austin, Texas, as corrected and presented. 3. Election of Accountancy Museum Directors. 4. Approval of the 2011-2012 budgets for the Texas Society of CPAs and the TSCPA CPE Foundation and capital budget for 2011-2012.
