“To establish a non-profit medical model healthcare facility, imbedded<br />

with ethnic-specific psycho-socio-emotional, religious and culturallysensitive<br />

services for the Filipino-American aging population in the San<br />

Francisco Bay Area and promote replication advocacy of said model<br />

across the country.<br />

C. POLICIES AND PROCEDURES: DEFINING THE STRUCTURES OF<br />

PROGRAM DEVELOPMENT OF THE FOUNDATION<br />

Policy Statement #1: Sine Quod Non Habet<br />

Prior to determining the Policy and Procedural Statements that would<br />

define the STRUCTURES of Program Development and effectively carry to<br />

accomplish the mission of the <strong>Foundation</strong>, it should be made clear that the<br />

following procedural statements are needed to be complied with:<br />

1. Pre-requisite Procedural Statements:<br />

1a. Organization and Management.<br />

• Determine from among the <strong>Calantas</strong> Children on their commitment to come<br />

on board and join the CR<strong>USA</strong>DE of the (1) <strong>Foundation</strong>, by being elected as<br />

(2) members of the board, trustees and officers, (3) register the <strong>Foundation</strong> in<br />

California and secure a tax-exempt status from the IRS (501.c3) and FTB,<br />

(4) adopt the 3 Phases of Program Development and (5) conduct fundraising<br />

activity for the Phases 1 and 2 Scholarship Program in the Philippines.<br />

• Agree to meet at least once a year for Board Meeting, Election of Officers,<br />

Board Members and Trustees;<br />

• Write and adopt a Articles of <strong>Inc</strong>orporation and By-Laws of the <strong>Foundation</strong>.<br />

1b. Legal Requirements via Initial Agent for Service of Process<br />

• Register the <strong>Foundation</strong> into a non-profit, non-stock corporation under the<br />

Nonprofit Public Benefit Corporation Law (Title 1, Div. 2, Part 2, ss. 5110 et seq.<br />

of the California Code of Regulations) through the Office of the Secretary of State<br />

in California as: <strong>CYDF</strong> <strong>USA</strong>, <strong>Inc</strong>.<br />

• Obtain State Tax Exempt Status under Section 23701d of the Revenue and<br />

Taxation Code in California; and/or,<br />

• Obtain Federal Tax Exempt status under Section 501.c3 of the IRS Code;<br />

• Obtain a TIN (Tax Identification Number) from the IRS;<br />

• Other legal papers, as determined and required (DOJ, BE, EDD, DIR, FTB and<br />

City).<br />

• Once the <strong>Foundation</strong> is registered as a nonprofit organization, it has to be registered<br />

in the City where the main Office is located at: San Francisco, CA.<br />
