Exhibition Regulations<br />

2. Venue<br />

New Munich Trade Fair Centre<br />

Exhibition Grounds, 81823 Munich, Germany<br />

3. Duration of Exhibition<br />

The exhibition will be open from 9am – 5pm on 8th and 9th<br />

November <strong>2011</strong> and from 9am - 4pm on 10th November<br />

<strong>2011</strong>. During these times, booths and exhibits must not be<br />

covered up and staff must be in attendance. On no account<br />

will Exhibitors be permitted to remove goods from the<br />

exhibition grounds prior to 4pm on Thursday 10 November<br />

<strong>2011</strong>. Opening hours may be subject to alteration. The<br />

Organisers reserve the right to change the dates, location and<br />

duration of the exhibition or to postpone the event without<br />

Exhibitors having the right to claim indemnity.<br />

4. <strong>Booth</strong> <strong>Space</strong> Application and Admission<br />

Only companies in industry, trade and commerce whose<br />

products comply with the Exhibit Categories of <strong>ICE</strong> <strong>Europe</strong><br />

<strong>2011</strong> may exhibit.The decision to admit an Exhibitor is at the<br />

discretion of the Organisers.<br />

Once the contract has been submitted via post or fax,<br />

Exhibitors will receive an official booth space confirmation<br />

letter from the Organisers. Confirmation of the allocation of<br />

floor space by the Organisers constitutes conclusion of the<br />

rental contract between the Exhibitor and Mack Brooks<br />

Exhibitions Ltd. Conditions or reservations added to the<br />

contract cannot be considered. For legal reasons contracts<br />

returned via email cannot be accepted.<br />

The confirmation of booth space allocation signifies admission<br />

to exhibit and is valid only for the Exhibitor named therein. In<br />

the event of false assumptions or misinterpretations, the<br />

Organisers are entitled to revoke admission previously granted.<br />

5. Payment for <strong>Space</strong>, the Turn-key package<br />

and Online Marketing Packages<br />

Immediately after the official confirmation of floor space<br />

allocation has been sent, the Exhibitor will receive from the<br />

Organisers an invoice for 40% of the total floor space orTurnkey<br />

package cost, as well as an invoice for 100% of the cost<br />

for any online marketing packages ordered.<br />

The second payment of 30% of the total booth space orTurnkey<br />

package cost is due by 31 March <strong>2011</strong>.The third and final<br />

payment of 30% of the total cost should also be paid as<br />

invoiced and in any case no later than by 30 June <strong>2011</strong>.<br />

Invoices issued after 30 June <strong>2011</strong> are payable immediately in<br />

full. Participation by Exhibitors is dependent upon the full cost<br />

being paid to the Organisers before taking up space in the<br />

exhibition. If the remaining balance is not paid by the stated<br />

date, the Organisers shall have the right to re-allocate the<br />

space. An Exhibitor is liable for the cost of booth space and<br />

Turn-key package booked under the terms of the<br />

“Cancellation of <strong>Space</strong> and the Turn-key package” clause.<br />

6. Cancellation of <strong>Space</strong>, the Turn-key package and<br />

Online-Marketing Packages<br />

An Exhibitor cancelling the booth space or Turn-key package<br />

booking after official allotment of space is liable for 40% of the<br />

total cost until 31 March <strong>2011</strong>, 70% of the total cost until 30<br />

June <strong>2011</strong> and 100% of the total cost thereafter by way of<br />

liquidated damages. An Exhibitor reducing booth space after<br />

official allotment of space is liable for payment of the total<br />

charge of the original booking.All cancellations must be made<br />

in writing.A change from a contract for the Turn-key package<br />

to a contract for floor space only is not permitted. A<br />

cancellation charge as stated above applies.<br />

By cancelling booth space or the Turn-key package, an<br />

Exhibitor automatically cancels any online marketing packages<br />

previously booked. The costs for online marketing packages<br />

will not be refunded in case of cancellation.<br />

7. Insolvency<br />

In the event of an Exhibitor entering into liquidation, whether<br />

compulsory or voluntary (save for the purpose of<br />

reconstruction or amalgamation) or, being an individual,<br />

committing any act of bankruptcy, or whether a company or<br />

an individual, calling any meeting of, or making any<br />

arrangement with, their creditors, or permitting any<br />

judgement to remain unsatisfied for seven days, or a receiver<br />

of any of the assets of the Exhibitor being appointed by any<br />

distress or execution being levied upon any goods or<br />

premises of the Exhibitor, the Organisers shall have the right<br />

to terminate any contract with the Exhibitor, to cancel the<br />

allotment of space and to retain all monies paid by the<br />

Exhibitor under such contract.<br />

In any event, the Exhibitor shall immediately inform the<br />

Organisers of any proposal for composition or institution of<br />

bankruptcy proceedings.<br />

8. Failure to pay<br />

In the event of any outstanding amount being due to<br />

the Organisers from the Exhibitor, the exhibits shall be<br />

subject to lien.<br />

9. Prohibition of Transfer<br />

Exhibitors may not assign, sub-let or grant licences, in respect<br />

of the whole or any part of the space allotted to them, nor<br />

may any cards, advertisements, or printed matter of firms or<br />

companies who are not bona fide Exhibitors be exhibited or<br />

distributed from any booth.<br />

10. Amendment to Hall Layout<br />

The Organisers reserve the right to amend the plan of the<br />

halls and move the position of booths if required by the hall<br />

owners, fire authorities or for any other reason.<br />

11. Co-Exhibitors<br />

The Main Exhibitor (<strong>Contract</strong> Partner) must enter names and<br />

addresses of any Co-Exhibitor/s on the <strong>Booth</strong> <strong>Space</strong><br />

<strong>Contract</strong>.The acceptance of Co-Exhibitors is governed by the<br />

criteria in the Exhibit Category section. In addition, the<br />

Exhibition Regulations apply to these companies. The Main<br />

Exhibitor is bound to notify the Co-Exhibitor of the<br />

Exhibition Regulations.Transfer - even in part - of the rights<br />

and obligations arising from rental contract to third parties is<br />

not permitted. Products/services of companies other than<br />

those specified on the <strong>Booth</strong> <strong>Space</strong> <strong>Contract</strong> must not be<br />

displayed or advertised on the booth. A Co-Exhibitor fee of<br />

$1290 (+VAT if applicable) applies for every Co-Exhibitor.<br />

The fee will be charged directly to the Co-Exhibitor and is not<br />

refundable.The Main Exhibitor of the booth remains the party<br />

liable for payment of the Co-Exhibitor fee.<br />

12. Sales Regulations<br />

No Exhibitor shall be permitted to take orders for<br />

products/services not complying with the Exhibit Categories.<br />

Sold exhibits may only be removed after the event. Statutory<br />

laws concerning the sale of goods must be adhered to.<br />

13. Promotional Activity<br />

The distribution of leaflets and promotional material shall be<br />

confined to the booth area and is not permitted elsewhere in<br />

the halls or exhibition grounds.<br />

Publicity shall be confined to promotion of exhibited goods<br />

and shall not be in breach of statutory regulations or good<br />

taste, nor shall it be of an ideological or political nature.<br />

Comparative advertising is not permitted. The Organisers<br />

reserve the right to prohibit the display or distribution of<br />

advertising matter that could give rise to offence, and to<br />

confiscate the supplies thereof for the duration of the event.<br />

Optical, mobile and acoustic publicity aids are permitted,<br />

provided they do not disturb neighbouring Exhibitors.<br />

The use of audio and visual equipment, amplifiers, etc. and/or<br />

live performances by Exhibitors at their booths is restricted<br />

and details are given in the Technical Handbook. In all cases,<br />

Exhibitors are responsible themselves for obtaining, at their<br />

own expense, the relevant permits in terms of copyright<br />

licences and/or performance approval from the respective<br />

authorities or institutions. The Organisers accept no<br />

responsibility in this respect nor any liability which may arise<br />

from an Exhibitor’s failure to obtain clearance.<br />

14. Photography<br />

Commercial photography (including digital video image<br />

capture) within the exhibition grounds is only permitted to<br />

photographers licensed in writing by the Organisers.<br />

Licensed photographers have fixed commercial rates.<br />

Photography by amateurs is only allowed in approved<br />

circumstances and, if this is abused, the Organisers reserve<br />

the right to cancel this permission.<br />

15. Access to <strong>Booth</strong>s of Other Exhibitors<br />

Exhibitors have no right of access to other booths outside the<br />

official opening hours unless permission has been obtained<br />

from the Exhibitor renting the booth.<br />

16. General Instructions and Regulations<br />

Exhibitors must comply with the Organisers’ Regulations, the<br />

Rules and Regulations issued by the owner of the exhibition<br />

grounds (Messe München GmbH), and all Statutory<br />

Regulations that have effect at the exhibition grounds.<br />

17. Technical Handbook<br />

Details regarding the Technical Handbook, which serves as a<br />

guide and step-by-step explanation to the exhibition<br />

arrangements, will be sent to all Exhibitors four months prior<br />

to the show. By signing the booth space contract, Exhibitors<br />

are contractually bound to all Rules and Regulations in the<br />

Technical Handbook.<br />

18. Exhibition Tenancy<br />

Adequate time will be allowed by the Organisers for the<br />

erection of booths and technical connections, also for the<br />

dismantling of booths and the removal of all exhibits and<br />

contractors’ materials. By signing the booth space contract,<br />

Exhibitors are contractually bound to the dates and times for<br />

these operations as shown in the Technical Handbook.When<br />

vacated, the rented floor space must be left in its original<br />

condition. The Organisers reserve the right to remove any<br />

materials or exhibits that may be abandoned within the halls<br />

at a cost to be passed on to the Exhibitor.<br />

19. <strong>Booth</strong> Construction<br />

Each Exhibitor will be provided with a drawing and detailed<br />

information about shell scheme options/Turn-key packages.<br />

All Exhibitors must send detailed plans of their booth layout,<br />

indicating length, width and height, to the Organisers for<br />

approval no later than 8 weeks prior to the opening of the<br />

exhibition.<br />

20. <strong>Space</strong> Only <strong>Contract</strong>s<br />

The Exhibitor is responsible for the construction of the<br />

booth including fire resistant floor covering and fixed walling<br />

to the perimeter of their booth where it adjoins another<br />

booth, booth spaces that are vacant or the wall of the<br />

exhibition hall.<br />

21. Electrical Installations<br />

General lighting within the exhibition facilities is supplied<br />

but an official contractor has been appointed, should<br />

Exhibitors require extra lighting within their booths.<br />

Electrical installations are to be ordered from the appointed<br />

official contractor using the order form contained in the<br />

Technical Handbook. No other electrical contractor is<br />

allowed to work within the exhibition halls.<br />

22. Gas, Water, Waste Disposal and<br />

Compressed Air<br />

Gas, Water, Waste Disposal and Compressed Air are to be<br />

ordered from the appointed official contractor through<br />

forms contained in the Technical Handbook.<br />

23. Dangerous Materials<br />

The following are excluded from the exhibition: explosives,<br />

detonating or fulminating compounds, and all dangerous or<br />

harmful substances, including primings, fireworks, matches,<br />

etc. Primings, fireworks, matches and similar objects can<br />

only be exhibited in the form of imitations and on condition<br />

that they contain no inflammable matter. The use of<br />

compressed gas, liquid gas and flammable liquids is<br />

prohibited. Any special authorisation for such substances<br />

must be obtained from the Munich Fire Department<br />

(Branddirektion München). Only goods described at the<br />

time of application may be displayed on booths, and any<br />

goods not approved by the Organisers must be removed<br />

from the building.<br />

24. Fire Precautions<br />

All materials used for building, decorating or covering booths<br />

must be made of non-flammable or flame resistant material.<br />

In the case of horizontal fabric structures, the fabric must be<br />

sprinkler-proof. Exhibitors must comply with any reasonable<br />

instructions given by the Organisers, or the licensees of the<br />

exhibition halls, or any local or other authority.<br />

25. Noise Control<br />

The use of video equipment, loudspeaker systems, audio<br />

players, film projectors or slide projectors is permitted<br />

provided the noise level is sufficiently low to avoid<br />

disturbance to visitors and other Exhibitors. The Organisers<br />

reserve the right to exercise their judgement in respect of<br />

an acceptable level of noise. Demonstration of noisy<br />

machinery must be kept to a minimum in order to avoid<br />

annoyance to visitors and Exhibitors.<br />

26. Security<br />

Security of the halls and exhibition area is arranged by the<br />

Organisers. Security and maintenance of booths are the<br />

responsibility of Exhibitors. Official contractors are available<br />

for security.<br />

27. Cleaning<br />

General cleaning of the halls and exhibition area is arranged<br />

by the Organisers. Unless an Turn-key package has been<br />

booked, cleaning of booths is the responsibility of the<br />

Exhibitors. Official contractors are available for cleaning.<br />

28. Limitation of Liability<br />

The Organisers will not be responsible for the safety of any<br />

exhibit or property of any Exhibitor, its staff, contractors, or<br />

agents or any other persons, or for the loss of, damage or<br />

destruction to the same, by theft, fire or other cause<br />

whatsoever, or for any loss or damage whatsoever sustained<br />

by any Exhibitor by reason of any defect in the building, fire,<br />

storm, tempest, lightning, national emergency, labour<br />

disputes, strikes, lockouts, civil disturbances, explosion,<br />

inevitable accident, force majeure or any other cause not<br />

within the control of the Organisers whether ejusdem<br />

generis or not, or for any other loss or damage whatsoever,<br />

or if by reason of the happenings of any such events, the<br />

opening of the exhibition is prevented, postponed or<br />

abandoned or the building becomes wholly or partially<br />

unavailable for the holding of the exhibition or if the<br />

Exhibitor suffers any other damage whatsoever. As the<br />

Organisers will accept no responsibility for any loss or<br />

damage suffered by any Exhibitor, Exhibitors should cover<br />

themselves by insurance in respect thereof. Exhibitors<br />

should note that there are no circumstances under which<br />

the Organisers can either become contractually bound to an<br />

Exhibitor or be regarded as a principal or an agent in<br />

relation to any legal agreement into which an Exhibitor may<br />

enter with a contractor.<br />

29. Law of <strong>Contract</strong><br />

This contract shall be deemed to be governed by English<br />

Law. Any notice document acceptance or other<br />

communication under or in connection with these contract<br />

conditions shall be sufficiently served or given if in writing<br />

and posted to or left at the last known business address of<br />

the company or person to be served and shall also be<br />

sufficiently served or given if sent by telegraphic facsimile<br />

transmission to the person to be served and service shall be<br />

deemed to be made or acceptance given on the day of<br />

transmission if transmitted before 4pm G.M.T. on a weekday<br />

but otherwise on the next following weekday.<br />
