BY-LAWS Preamble: These By-Laws are created to prescribe the general principles that are required for the conduct of business for the Club but, are not meant to be an all inclusive description of details covering every condition that may occur. Therefore the Club has created a document of Rules and Regulations and a Policy Book covering items that arise from time to time and require expanded explanation. These Rules and Regulations and Policies are available to members upon request. The Policies are contained in a Policy Book in the office of the Club. These By-Laws are created by the Board of Directors and approved by the membership and shall only be revised by a vote of the membership. ARTICLE I Section l: Name Mission Valley Golf and Country Club, Inc. (the Club) is a Florida not for profit corporation operating under paragraph 501 C 7 of the tax codes. Section 2: Purpose The Club’s purpose is to operate a golf course, tennis courts, clubhouse, and related facilities for the benefit and enjoyment of its members. Section 3: Principal Business The Club’s principal place of business is at Mission Valley, 1851 Mission Valley Boulevard, Nokomis, Sarasota County, Florida 34275. ARTICLE II Section 1: Board of Directors The governance of the Club is vested in a Board of Directors
(Board) consisting of nine (9) voting members of the Club, as defined in Article IV of these By-Laws. A Board member serves a 3-year term and may not serve more than two consecutive 3- year terms. A Board member serving to fill a vacancy may serve two consecutive additional full three year terms. Section 2: Filling Vacancies on the Board A. Appointment by the Board The Board may fill a vacancy on the Board that occurs for reasons other than the normal expiration of an elected term. If the vacancy occurs more than 100 days prior to an annual meeting, the newly appointed member serves until that meeting. If the vacancy occurs within 100 days of an annual meeting, the newly appointed Director serves until the expiration of the term of the replaced Director or until the second annual meeting after the vacancy occurs, which ever comes first. B. Election at Annual Meeting 1. At the annual meeting the voting members shall elect, from a slate of candidates, a voting member to fill each vacancy on the Board arising out of the expiration of an elected or appointed term. A member elected to fill a vacancy in an unexpired elective term serves until that term expires. 2. The Board shall appoint a nominating committee comprised of 5 voting members. A Board member may not serve on this committee. Each year, one member and only one member of a prior year’s nominating committee may serve during the current year for purposes of continuity and this member may not serve for the next three (3) years. Except as provided above, a member who served on a nominating committee within the prior 4 years may not serve on the committee. 3. The Nominating Committee shall: A. Solicit recommendations from the members for candidates for existing or upcoming vacancies for the Board.
