13. EXECUTIVE COMMITTEE<br />
13.1 The Society shall be governed and controlled by a Committee, the members of<br />
which shall all be members of the Society entitled to vote and which shall consist<br />
of the following officials:<br />
Chairman, Vice Chairman, five additional members, a <strong>Referee</strong>’s Representative<br />
and the Manager <strong>Referee</strong>s(non-voting).<br />
With the exception of the <strong>Referee</strong>’s Representative who shall be elected annually<br />
at the Annual General Meeting, the term of office of the Committee shall be from<br />
the dissolution of one Annual General Meeting until the dissolution of the second<br />
Annual General Meeting following that at which the Committee was elected for a<br />
second year term.<br />
13.2 Termination of Office:<br />
13.2.1 A member of the Executive Committee, or Performance Review Committee may<br />
be removed from office by a vote of not less than two-thirds of those present and<br />
entitled to vote at a General Meeting of the <strong>Referee</strong> Society, in the following<br />
circumstances:<br />
13.2.2 At the Annual General Meeting after he reaches the age of 70 years.<br />
13.2.3 when he is declared insolvent, insane or incapable of handling his own affairs by<br />
a court.<br />
13.2.4 should he undermine the authority of the Society in any way whatsoever;<br />
13.2.5 should he refuse and/or fail to carry out his duties in a manner which can<br />
reasonably be expected of him and such refusal and/or failure continues for<br />
seven(7) days after such Executive Member has received written notice requiring<br />
him to carry out the said duties:<br />
13.2.6 should he not diligently comply with any provisions of the <strong>Constitution</strong>, Bye-<br />
Laws, Regulations or Rules of the Society, and such non-compliance continues<br />
for seven(7) days after such Executive Member has received written notification<br />
from the Society to so comply;<br />
13.2.7 If he is removed from an office of trust on account of misconduct.<br />
13.2.8 If he has at any time been convicted (whether in the Republic or elsewhere) of<br />
theft, fraud, forgery or uttering a forged document, perjury, an offence under the<br />
Prevention of Corruption Act, 1958(Act No. 6 of 1958), or any offence involving
