Remuneration Policy<br />
The Company’s policy is to provide executive remuneration packages which are designed to attract, motivate and retain directors of<br />
the high caliber required and to reward them for enhancing value to shareholders. The performance measurement of the executive<br />
directors and the determination of their annual remuneration package are undertaken by the Remuneration Committee consisting<br />
solely of non-executive directors. The remuneration of the non-executive directors is determined by the full Board.<br />
In framing remuneration policy the Remuneration Committee has given consideration to the requirements of the Combined Code.<br />
Components of Remuneration<br />
The components of remuneration are;<br />

basic salary and benefits determined by the Remuneration Committee and reviewed annually;<br />
performance related bonuses having regard to profitability of the Company; and<br />
share option incentives.<br />
Basic Salary<br />
An executive director’s basic salary is determined by the Remuneration Committee at the beginning of each year and when an<br />
individual changes position or responsibility.<br />
Bonus Payments<br />
In the year ended 31 December 2008, the executive directors received bonuses as shown in the table which reflected an amount relating<br />
to the financial performance of the year ended 31 December 2007. Bonus awards are discretionary amounts based upon Company<br />
performance and other criteria, after consideration by the Remuneration Committee..<br />

Directors’ Contracts<br />
The Company has entered into employment agreements with certain members of senior management. The terms of these agreements<br />
range from six months to one year and include non-compete and non-disclosure provisions as well as providing for defined severance<br />
payments in the event of termination or change in control. If any existing contract of employment is breached by the Company in the<br />
event of termination, the Company would be liable to pay, as damages, an amount approximating the net loss of salary and contractual<br />
benefits for the unexpired notice period. The Remuneration Committee will seek to ensure that the director fulfills his obligation to<br />
mitigate his losses and will also give consideration to phased payments where appropriate.<br />
