ข้อก ำหนดและเงื่อนไขส ำหรับกำรใช้บริกำร HOMEPAGE, HOSTING, URL [TERM AND CONDITION FOR HOMEPAGE, HOSTING, URL SERVICE]
ข้อ 1. ในใบสมัครใช้บริการฉบับนี้ ถ้าข้อความมิได้แสดงให้เห็นเป็นอย่างอื่น ให้ข้อความต่างๆมีความหมาย ดังนี้
In this Service Agreement, unless stated otherwise, the following words shall have the meaning specified herein.
“ บริษัท ” หมายถึง บริษัท ซีเอส ล็อกซอินโฟ จ ากัด(มหาชน)/ /“ The Company” meanes CS. Loxinfo Public Company Limited.
“ ผู้ใช้” หมายถึง หน่วยงานราชการ/รัฐวิสาหกิจ/องค์กร/นิติบุคคล ที่ประสงค์จะใช้บริการอินเตอร์เน็ตที่ให้บริการโดยบริษัท//“The User” means Government Agencies, State Enterprise, Organizations
or Juristic persons desiring to use the internet service provided by the Company.
“ บริการ Web Hosting” คือ บริการรับฝากโฮมเพจหรือบริการให้เช่าพื้นที่บนเครื่องเซิร์ฟเวอร์แม่ข่ายภายในศูนย์ IDC (Internet Data Center) โดยบริษัทจะจัดเตรียมพื้นที่ รวมถึงการเชื่อมต่อกับเครือข่าย
อินเตอร์เน็ตหลัก (Internet Backbone) ผ่านระบบเครือข่ายคอมพิวเตอร์ระยะใกล้ (LAN) เพื่อพร้อมให้ผู้ใช้สามารถใช้บริการ "Web Hosting /Dedicated Server Service" means the service of
providing home page or server deposit in the Internet Data Center
("IDC") as prepared spaces by the Company including Internet Backbone connection service through the Local Area Network ("LAN") readily for the User’s utilization.
“ ค่าใช้บริการ” คือ ค่าบริการที่ผู้ใช้จ่ายตอบแทนการใช้บริการที่ก าหนดในสัญญา/"Service Fees" means the fees to be paid THE USER for the service specified in this Agreement.
ข้อ 2. ผู้ใช้บริการตกลงช าระค่าใช้บริการทั้งหมดตลอดระยะเวลาการใช้งานตามสัญญานี้ ให้แก่บริษัทในวันสมัครใช้บริการ/ The User agrees to pay all of the Service Fee to the Company in the day we
made this Agreement.
ข้อ 3. ในกรณีที่ผู้ใช้ผิดนัดไม่ช าระค่าใช้บริการงวดใดงวดหนึ่ง ผู้ใช้ต้องช าระเงินเพิ่มในอัตราร้อยละ 15 (สิบห้า) ต่อปี คิดค านวณจากจ านวนเงินที่ถึงก าหนดช าระแล้ว และหากผู้ใช้ยังไม่ได้รับช าระค่าใช้บริการ
และเงินเพิ่มภายในก าหนด 30 (สามสิบ)วัน นับแต่วันสิ้นงวดการเรียกช าระค่าใช้บริการแต่ละงวด บริษัทมีสิทธิบอกเลิกสัญญาและระงับหรือยกเลิกการให้บริการได้ทันที โดยมิต้องแจ้งล่วงหน้า/
In case the User fails to make payment of Service Fee of each Monthly Service Use, an additional charge shall be imposed at the rate of 15% per year on any amount due. If any required payment and
additional charge thereof has not been received by the Company after thirty (30) days from the Service Fee Payment Date, the Company shall be entitle to terminate this Agreement and suspend the
Server co-location service immediately without prior notice.
ข้อ 4. เมื่อครบก าหนดระยะเวลาการให้บริการ (Service Period) ตามใบสมัครนี้ ให้ขยายระยะเวลาการให้บริการออกไปโดยอัตโนมัติครั้งละ 1 ปี นับจากนั้น เว้นแต่ฝ่ายใดฝ่ายหนึ่งจะมีหนังสือแจ้งความ
ประสงค์ที่จะไม่ขยายระยะเวลาบริการ เป็นลายลักษณ์อักษรให้อีกฝ่ายทราบล่วงหน้าไม่น้อยกว่า 60 (หกสิบ)วันก่อนครบก าหนดระยะเวลาบริการ / The User reserves the right to extend the duration of
this Agreement under the agreed terms and conditions, the User, in such case, shall submit a notice in writing at least 60 (sixty) days prior to the expiration date to the Company. In case the User
fails to submit the notice of extension within the period specified, the duration of the Agreement shall be deemed to have extended for further one year.
ข้อ 5. ผู้ใช้ต้องใช้ความระมัดระวัง ก ากับดูแล และต้องไม่ใช้บริการตามสัญญานี้ ไปในทางที่ก่อให้เกิดการล่วงละเมิดสิทธิของบุคคลอื่น บุกรุกระบบคอมพิวเตอร์ใดๆ ที่ผู้ใช้ไม่ได้รับอนุญาตให้เข้าไปใช้งาน
รวมถึงไม่กระท าการใดๆ ที่เป็นอันตราย ขัดต่อกฎหมาย ความสงบเรียบร้อยและศีลธรรมอันดีของประชาชน หรือเป็นภัยต่อความมั่นคงของประเทศ หากการกระท าใด ๆ ของผู้ใช้ก่อให้เกิดความเสียหาย
ต่อบุคคลอื่น ผู้ใช้ต้องรับผิดชอบแต่เพียงผู้เดียว/ The User shall use reasonable care in the supervision and utilization of the Services and shall not use such Service in such a way as to violate the other's
rights, access to any computer system without permission, do any act which is harmful, contrary to the laws or against public order and good morals of the people, or which is prejudicial to the peace
and security of the country.
ในกรณีที่ผู้ใช้กระท าการโดยไม่ชอบด้วยกฎหมาย บริษัทมีสิทธิบอกเลิกสัญญาและระงับหรือยกเลิกการให้บริการได้ทันทีโดยมิต้องแจ้งล่วงหน้า/ In case the User illegally makes, the Company shall be
entitle to terminate this Agreement and suspend the Server co-location service immediately without prior notice.
ข้อ 6. ผู้ใช้จะต้องไม่น าบริการตามสัญญานี้ ไปให้บริการต่อ (Resale) ไม่ว่าจะมีวัตถุประสงค์แสวงหาก าไรหรือไม่ก็ตาม เช่นการน าพื้นที่บนเครื่องคอมพิวเตอร์ไปขายต่อ โดยไม่ได้รับความยินยอมจากบริษัท
การฝ่าฝืนเงื่อนไขดังกล่าวถือว่าเป็นการละเมิดเงื่อนไขการให้บริการตามสัญญานี้ ซึ่งผู้ใช้จะต้องชดใช้ค่าเสียหายอันเป็นผลจากการฝ่าฝืนนั้น/ The User shall not use the Service under this Agreement for
resale, regardless of whether or not profits are made. The breach of such condition shall be deemed a breach of condition of service. Any loss or damages, as a result of such breach, shall be the sole
responsibility of the User.
ข้อ 7. บริษัทไม่มีหน้าที่ควบคุม ตรวจสอบ ป้องกัน เก็บรักษาหรือด าเนินการอื่นใด รวมตลอดทั้งไม่รับประกันในคุณภาพ ข้อมูลข่าวสาร เนื้อหาข่าวสารที่ผู้ใช้ได้รับ-ส่งผ่านระบบเครือข่ายของบริษัท และบริษัท
ไม่ต้องรับผิดชอบ ในความเสียหายต่อผู้ใช้อันเนื่องมาจากความล่าช้า ผิดพลาด ขาดตกบกพร่อง หรือการขัดข้องของวงจรสื่อสาร จานแม่เหล็กที่ผู้ใช้รับ-ส่งผ่านระบบเครือข่ายของบริษัทแต่อย่างใด/
The control, detection, protection, storing or any other acts, including the guaranty of the quality of Information , data or picture transmitted through the Company’s network are not the Company’s
duties. Also, the loss or damages resulting from the delay, mistakes, defect or malfunction of the communications circuit or disk drive, the User used by for transmission purpose through the
Company’s network, are not the Company’s responsibility.
ข้อ 8. บริษัทไม่ต้องรับผิดชอบในความเสียหายอย่างใดๆ ที่เกิดแก่ผู้ใช้ ไม่ว่าจะเป็นค่าเสียหายหรือประโยชน์ทางธุรกิจ หรือประโยชน์อื่นใดที่ผู้ใช้พึงได้รับจากการใช้บริการตามสัญญานี้ /In no event, shall the
Company be liable for any direct, indirect, incidental or consequential damages or loss of profits or revenues whether foreseeable or not occasioned by any defect, or by reason of an outage or failure in
the Service, or the provision or any delay in the provision of services to the User or any other causes whatsoever.
ข้อ 9. บริษัทขอสงวนสิทธิ์การให้บริการแก่เว็บไซต์ที่มีลักษณะเป็นเว็บไซต์รับฝากไฟล์ หรือ Bittorrent หรือบริการอื่นๆที่อาจมีการรับส่งข้อมูล หรือใช้ทรัพยากรระบบส่วนรวมมากจนมีผลต่อเสถียรภาพของ
ระบบ หรือผู้ใช้รายอื่นๆ/ The Company reserves the rights to suspend service to the User regarding file download hosting, bittorrent services or any other services that may consume too much bandwidth
and/or other shared system resources which may affect system reliability or other users.
ข้อ 10. บริษัทขอสงวนสิทธิ์ในการระงับการให้บริการ กรณีมีค าสั่งศาล หรือหน่วยงานอื่นที่มีอ านาจก ากับดูแลให้ระงับการให้บริการแก่ผู้ใช้ / The company reserves the rights to suspend service to the User by
the Court order or other regulator in charge.
ข้อ 11. ในระหว่างอายุสัญญานี้หรือระยะเวลาที่มีการขยายออกไป ผู้ใช้จะไม่โอนสิทธิหรือหน้าที่ตามสัญญานี้ให้แก่บุคคลอื่นโดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษรจากบริษัทก่อน และหากได้รับความ
ยินยอมดังกล่าวแล้ว ผู้ใช้จะเป็นผู้ช าระค่าใช้บริการทั้งหมดตามสัญญานี้ และปฏิบัติภาระหน้าที่ทั้งปวงของผู้ใช้ และจะแจ้งให้ผู้รับโอนได้ทราบและยอมรับปฏิบัติตามเงื่อนไขและก าหนดเวลาในสัญญา
นี้ / During the term of this Agreement or further extension, if any, the User shall have no rights to assign any of its rights or obligations herein to any person without prior written consent of the
Company. In case of permitted assignment, any and all obligations as well as payment obligations of the User shall remain in full force and effect. In addition, the User shall inform and procure its
permitted assignee to acknowledge and comply with all terms and conditions of this Agreement.

ข้อ 12. ข้อก าหนดและเงื่อนไขในใบสมัครนี้ถือว่าเป็นสาระส าคัญของใบสมัคร ในกรณีที่ผู้ใช้ไม่ปฏิบัติตามข้อก าหนดและเงื่อนไขในสัญญานี้ บริษัทมีสิทธิระงับการให้บริการได้ทันทีโดยไม่ต้องแจ้งให้ทราบ
ล่วงหน้า และมีสิทธิบอกเลิกสัญญานี้ได้ทันที โดยบริษัทไม่ต้องรับผิดชดใช้ค่าเสียหายใดๆให้แก่ผู้ใช้ทั้งสิ้น / Terms and conditions stated in the Agreement are material conditions. The breach of such
terms and conditions shall result the immediate service discontinuation, without giving notice in advance, and termination of the Contract ,nor will the Company be liable to pay any costs of
termination to the User.
ข้อ 13. ในกรณีที่ผู้ใช้ไม่ปฏิบัติตามข้อก าหนดและเงื่อนไขในสัญญา เป็นเหตุให้บริษัทหรือบุคคลภายนอกได้รับความเสียหาย ผู้ใช้ตกลงจะเป็นผู้รับผิดชอบในความเสียหายที่เกิดขึ้นทั้งสิ้น / In case of the loss or
damages occur to the Company or the third party is the result of the User’s noncompliance with the terms and conditions stated in the Contract, the User shall be fully responsible to such loss and
damages.
ข้อ 14. ผู้ใช้ทราบดีว่าบริษัทเป็นบริษัทผู้ให้บริการอินเตอร์เน็ตที่ได้รับอนุญาตจากคณะกรรมการกิจการโทรคมนาคมแห่งชาติ กรณีหากใบอนุญาตระงับสิ้นไปไม่ว่าด้วยเหตุประการใด ให้ถือว่าสัญญานี้ระงับ
สิ้นไปในขณะเดียวกันด้วย และผู้ใช้ตกลงจะไม่เรียกร้องค่าเสียหายใดๆจากบริษัทเนื่องจากการระงับสิ้นไปของใบอนุญาตในกรณีดังกล่าว เว้นแต่การเรียกร้องค่าใช้บริการที่ได้ช าระไว้ล่วงหน้าและยัง
ไม่ได้มีการใช้บริการจริง /The User acknowledges that The National Telecommunications Commission Authority of Thailand granted the Company to provide the Internet Service. In case the license
is revoked or terminated or expire for whatever reasons, this Agreement shall automatically terminate, and the User shall have no claims whatsoever against the Company except to refund the Service
Fee paid in advance for the Internet Service was not use.
ข้อ 15. เนื่องจากบริษัทได้ลงทุนในการให้บริการตามสัญญานี้ ดังนั้นหากผู้ใช้บริการบอกเลิกสัญญาก่อนครบก าหนดระยะเวลาใช้บริการ (Service Period) หรือหากบริษัทฯ บอกเลิกสัญญานี้เนื่องจากความผิด
ของผู้ใช้บริการหรือผู้ใช้บริการกระท าผิดข้อตกลงใดในสัญญาฉบับนี้ ผู้ใช้บริการตกลงค่าสินไหมทดแทนเพื่อชดใช้ค่าเสียหาย อันเป็นผลมาจากการบอกเลิกสัญญานี้ โดยคิดเป็นเงินค่าเสียหายเท่ากับ
ค่าบริการทั้งหมดทุกงวดเดือนส าหรับระยะเวลาใช้บริการที่เหลือที่ยังไม่ถึงก าหนดช าระ /Whereas, the Company has invested on the preparation of the Service to be rendered, in the event the User
terminates before the expire date of the Service Period, or if the Company terminates this Service Agreement due the User’s fault or the User is in breach of any provision of this Service Agreement
the User agrees to pay the compensation for damages resulting from the termination of this Service Agreement as above mentioned, the amount of which compensation is calculated to be equivalent
all the Service Fees for the remaining Service Period not yet due.
ข้อ 16. ในการตีความสัญญาที่แตกต่างกันระหว่างภาษาอังกฤษและภาษาไทย ให้ถือข้อความภาษาไทยเป็นหลักในการตีความสัญญา/ Meaning in Thai is valid if it is construed differently from meaning in
English.
ข้อ 17. ในกรณีที่ข้อสัญญาใดในสัญญาฉบับนี้ถูกหรือถือว่าถูกชี้ขาดว่าไม่มีผลใช้บังคับหรือไม่สมบูรณ์ ให้ข้อสัญญาต่างๆส่วนที่เหลือในสัญญาฉบับนี้ยังคงมีผลใช้บังคับได้และยังคงสมบูรณ์และไม่
กระทบกระเทือนความสมบูรณ์ของบรรดาข้อสัญญาที่เหลือนั้นๆ บรรดาข้อพิพาทใดๆที่มีเกี่ยวด้วยสัญญาใช้บริการฉบับนี้ให้ใช้กฎหมายไทยบังคับ /This agreement will be governed by and construed
in accordance with the laws of Thailand. If any provision of this Agreement is held to be invalid or unenforceable, all other provisions shall remain in effect.
ผู้ใช้ได้อ่านและเข้าใจข้อก าหนดและเงื่อนไขการใช้บริการโดยตลอดแล้วสัญญาว่าจะปฏิบัติตามข้อก าหนดและเงื่อนไขที่ก าหนดไว้ทุกประการ
(THE USER has read and understood the prescribed terms and conditions of the services and hereby agree to comply with them.)
