Awilco Offshore ASA Legal counsel We have acted as Norwegian legal counsel to Awilco Offshore in connection with the Offering. We confirm that the Board of Directors of Awilco Offshore has been granted a valid authorisation from the Company’s General Meeting to increase the share capital of the Company through the issuance of the Offer Shares. As soon as the Board of Directors has passed the required resolution to carry out such share capital increase, we will issue a confirmation regarding this to the Oslo Stock Exchange. We confirm that the general description of tax matters referred to in section 10 of this Prospectus reflects the present tax regime in Norway for Norwegian investors.
