Land Lease Agreement(ii)(iii)(iv)incorrect st<strong>at</strong>ement, represent<strong>at</strong>ion or warranty to be incorrect having a m<strong>at</strong>eria<strong>land</strong> adverse effect on the Company’s ability to per<strong>for</strong>m its oblig<strong>at</strong>ions under thisLease Agreement;any m<strong>at</strong>erial breach by <strong>BPDB</strong> of this Lease Agreement th<strong>at</strong> is not remediedwithin thirty (30) Days after notice from the Company to <strong>BPDB</strong> st<strong>at</strong>ing th<strong>at</strong> am<strong>at</strong>erial breach of this Lease Agreement has occurred and is continuing th<strong>at</strong>could result in termin<strong>at</strong>ion of this Lease Agreement, identifying the m<strong>at</strong>erialbreach in question in reasonable detail, and demanding remedy thereof;the Possession D<strong>at</strong>e does not occur within one hundred and eighty (180) Days ofthe Financial Closing D<strong>at</strong>e; ora termin<strong>at</strong>ion of the Implement<strong>at</strong>ion Agreement due to a GOB Event of Default ora termin<strong>at</strong>ion of the Power Purchase Agreement due to a <strong>BPDB</strong> Event of Defaultthereunder or a termin<strong>at</strong>ion of the Gas Supply Agreement due to a Gas SupplierEvent of Default thereunder.7.3 Rights and Remedies Upon an Event of Default(a)Notice of Intent to Termin<strong>at</strong>e(i)(ii)Upon the occurrence of a <strong>BPDB</strong> Event of Default or a Company Event of Default,as the case may be, th<strong>at</strong> is not cured within the applicable period (if any) <strong>for</strong> cure,the non-defaulting Party may, <strong>at</strong> its option, initi<strong>at</strong>e termin<strong>at</strong>ion of this LeaseAgreement by delivering a notice (a “Notice of Intent to Termin<strong>at</strong>e”) of its intentto termin<strong>at</strong>e this Lease Agreement to the defaulting Party.The Notice of Intent to Termin<strong>at</strong>e shall specify in reasonable detail the CompanyEvent of Default or <strong>BPDB</strong> Event of Default, as the case may be, giving rise to theNotice of Intent to Termin<strong>at</strong>e.(b)Consult<strong>at</strong>ion(i)Following the delivery of a Notice of Intent to Termin<strong>at</strong>e, the Parties shall consult<strong>for</strong> a period of:(A)(B)thirty (30) Days in case of a failure by either Party to make paymentswhen due, and<strong>for</strong>ty five (45) Days with respect to any other Event of Default (or in eachcase such longer period as the Parties mutually may agree)as to wh<strong>at</strong> steps shall be taken with a view to resolving or mitig<strong>at</strong>ing theconsequences of the relevant Event of Default:(ii)Notwithstanding any such consult<strong>at</strong>ions, during the period following the deliveryof the Notice of Intent to Termin<strong>at</strong>e, the Party in default may continue toundertake ef<strong>for</strong>ts to cure the default, and if the default is cured <strong>at</strong> any time priorto the delivery of a Termin<strong>at</strong>ion Notice in accordance with Section 7.3(c), thenthe non-defaulting Party shall have no right to termin<strong>at</strong>e this Lease Agreement inrespect of such cured default.21
