Terms of deliveryWe deliver and provide services on the basis of our written confirmation of order and its general terms of delivery.2. Application of the price listChanges in the copper price are taken into consideration by the use of corresponding price lines. The applicable price is ourrespective current offer.All price details in this list refer exclusively to the manufacturer’s gross price. They constitute neither a specification nor aprice recommendation for the customer’s pricing. This price list loses its validity on introduction of a new price list by themanufacturer. The prices named are quoted in euros per price unit excluding value added tax.3. Delivery formsThis price list applies exclusively to the delivery range according to the listed price sheets. In the case of other specifications,e.g. regarding hardness, tolerances, dimension, delivery form or copper grade, the prices for the tubes are calculated accordingto our price list for industrial copper tubes.Please see the respective overviews in this price list for the packaging units/minimum packaging units.4. Orders and acceptanceWe distinguish between the following possibilities:a) Orders with specification for delivery within three months.The applicable price for these orders is the price valid on the day we receive the order.In the event of large increases in the copper price we reserve the right to adjust the respective price line and/or to limit thevolume of the contract!The period for acceptance is three months. At the end of this time we calculate a price surcharge of 1% per started monthin the form that the discounts or surcharges agreed on purchase are adjusted accordingly. No separate agreement is necessaryfor this. Should the purchaser not consent to this, we are entitled to place the volumes not yet accepted at its disposaland also to invoice it with adjusted prices.b) Advance order with specification.If, on placement of the order, the price is not yet to be fixed finally, we accept the order on the proviso that the price is fixedat the latest 30 days before delivery at the price valid on the day of fixing the price.c) Orders for building projects with delivery periods extending beyond three months.If fixed prices have to be agreed for tenders with delivery periods extending beyond three months, we offer our price termscalculated for the delivery date on the basis of the specification and adjusted to the performance periods. They includeappropriate costing surcharges for costs that arise up to the time of delivery.5. PackagingOur prices are quoted including standardised packaging.6. Terms of deliveryWe only conclude delivery contracts by way of our written confirmations of orders and not on other terms than those containedin the confirmations and in our general terms of delivery and the additional terms of sale for SANCO, WICU andCOPATIN.43

General terms of delivery1. Contractual terms, applicable lawa) Our written confirmation of order and these general terms of delivery shall apply exclusively for contracts. Other terms or oralunderstandings require our separate written acceptance in order to have validity.b) The law of the Federal Republic of Germany shall apply to all legal relations with us; application of the United Nations Conventionon Contracts for the International Sale of Goods of 11.04.1980 is excluded.2. Prices, payment, securitya) Our offers are made without obligation. All taxes and other levies incurred for our deliveries and services in the receivingcountry shall be borne by the ordering party.We may effect a reasonable price adjustment in the case of a significant change in our processing costs. Fixed metal pricescannot be changed subsequently.b) Payment is due net cash within 30 days. We only grant prompt-payment discounts by arrangement and not before settlementof our other due claims. Payment and prompt-payment-discount periods commence from the invoice date and fordeliveries abroad from the date of receipt of the goods; the date of receipt of payment shall be authoritative for compliancewith the deadlines.Cashless payments are accepted in lieu of performance; costs and charges shall be borne by the ordering party except forprompt-payment-discount charges up to payability of the invoice. We only accept bills of exchange by separate agreement.We may determine ourselves against which of our claims received payments are set off.c) In the case of late payment we are entitled to charge default interest of 8 % above the respective base interest ratepublished in the German Federal Gazette.d) Set-off and retention are only permissible if the counter-claim has been recognised by declaratory judgement or is undisputed.e) If execution of the contract is jeopardised due to a lack of solvency on the part of the ordering party, which shall also be thecase should the credit limit of a trade credit insurance be cancelled, we may refuse the performance incumbent upon us andfurthermore revoke all granted periods for payment and demand advance payment as security.In addition we shall have the right to withdraw from the contract. If the ordering party is in default of payment, we shall beentitled to take back the goods and accordingly to enter the ordering party’s premises. We may moreover prohibit the resale,further processing and removal of the supplied goods.3. Conversion ordersThe metal cover for conversion orders must be present on the metal account at the latest six weeks before the deliverydate.4. Risk, delivery, trade terms, public standardsa) All risks – also in the case of free shipment or collection – pass over to the ordering party when the goods leave our shippingdepot.b) The ordering party cannot reject part deliveries.In the case of shipment we shall determine the forwarder, carrier and route of shipment.c) INCOTERMS 2000 shall apply to all trade terms.d) In the case of public national or international standards referred to in the order text the respectively valid edition of thestandard shall apply.5. Time of delivery, impediment to delivery, defaulta) Delivery periods and dates always only indicate the approximate time of delivery ex works or warehouse.b) Our obligation to effect delivery shall be subject to correct delivery to ourselves in due time unless the unpunctual or belateddelivery or non-delivery is our fault.c) If the delivery is delayed due to force majeure, then a reasonable extension to the delivery period in accordance with thecircumstances shall be granted. This provision shall be applicable irrespective of whether the reason for the delay occursbefore the agreed delivery period or at a time when the affected contracting party is in default. Operational breakdowns, lossof production, procurement difficulties, industrial disputes and other circumstances which make the delivery significantlymore difficult for us shall be equivalent to force majeure.d) We shall only be in default in all cases if after the due date we do not effect performance within a reasonable additionalperiod following a written reminder from the ordering party on account of reasons for which we are responsible. A prerequisiteis furthermore that the ordering party itself is not in default with an obligation arising from the business relationship.e) If our default is due to minor negligence, then our liability for damages is excluded unless a case of death, physical injury ordamage to health is concerned. Alternatively, we limit our liability arising from default in the case of minor negligence to thetypically foreseeable loss.44

General terms of delivery6. Weight, unit number, dimensions, condition, alloys, deviationsa) A deviation in weight, unit number or specifications of the supplied goods from our details in the delivery note and invoicemust be proven by the ordering party.b) Depending on the type of the products, we are entitled to make excess or short deliveries of up to 10 % with regard to theagreed weights or the unit number. The tolerances of the respectively valid German Industrial Standard (DIN) edition shallapply to the prescribed values, otherwise the customary permissible deviations. References to standards, material datasheets, works test certificates, etc. are no guarantee for the nature of the goods.7. Reservation of titlea) The goods shall remain our property until the final performance of all current and future claims arising from the businessrelationship with the ordering party.b) In the case of the processing of our goods by the ordering party, we shall be deemed the manufacturer, without us thusincurring obligations, and shall acquire ownership of the newly created articles. If processing is undertaken together withother materials, we shall acquire co-ownership in proportion to the invoice value of our goods to the invoice value of the othermaterials. If in the case of the joining or mixing of our goods with an article of the purchaser, this article is to be regarded asthe principal article, co-ownership of the article shall pass to us in proportion to the invoice value of our goods to the invoicevalue or – if no such value applies – market value of the principal article. In these cases the ordering party shall be deemedthe custodian.c) The ordering party already now assigns to us by way of security all claims arising from the sale of goods to which we are entitled to ownership rights in the amount of our ownership share of the sold goods.d) The ordering party is entitled to dispose of the goods subject to our ownership rights in the ordinary course of business andto collect the assigned claims as long as it meets its obligations in due time from the business relationship with us – especiallycomplies with the terms of payment – and a danger to our reservation of title rights seems impossible.Otherwise we are entitled, also without withdrawing from the contract and without setting an additional period for performance,to demand at the ordering party’s expense the interim surrender of the goods subject to our ownership. At ourrequest the ordering party must grant us access to take an inventory and to take possession of our goods. We are furthermoreentitled to revoke the right to collect claims.e) At our request the ordering party must give us all necessary information on the stock of the goods subject to our ownershipand on the claims assigned to us above and must also notify its purchasers of the assignment.f) If the value of the securities exceeds our claims by more than 20%, then we shall accordingly release securities of our choiceat the ordering party’s request.8. Warrantya) The goods are to be inspected without delay. We are to be notified of material defects, wrong deliveries and wrong quantities,if they can be ascertained by reasonable inspections, without delay in writing, at the latest, however, two weeks afterreceipt of the goods. If a defect later becomes apparent which was not recognisable upon initial inspection, then we must benotified of it – with immediate cessation of any treatment or processing – without delay in writing, at the latest,however, two weeks after discovery.b) If the ordering party fails to notify us in due time, then the goods shall be deemed as accepted with regard to the defect. Thesame shall apply if the ordering party does not enable us to undertake a proper inspection of the defect without delay afterour request. If the ordering party treats or processes the goods, then we may presume that the goods are suitable for theordering party’s purpose.c) In the case of not just insignificant material and legal defects, we are entitled to take the following action in addition to thestatutory provisions:We are entitled to repair the defect twice. If it arises from the manner of the article or the defect or on account of other circumstances that the repair has not yet failed after two attempts and if it is reasonable for the contracting party, then we areentitled to undertake further repairs. If the repair has failed, then the contracting party is entitled to reduce the remunerationor at its option to withdraw from the contract.d) The ordering party cannot derive any rights from faulty part deliveries regarding the other part deliveries.9. Technical advice, guaranteea) We give technical advice to the best of our knowledge and ability. It is, however, non-binding and does not release the orderingparty from undertaking its own examinations and tests. The ordering party is responsible for complying with statutory andofficial regulations when using our goods.b) Details on the scope of delivery, dimensions, weights, materials, appearance and performance serve to denote the subjectmatterof the delivery and do not constitute a guarantee of specific qualities or suitability for purpose. Any guarantee grantedby us must be expressly made in writing to be legally effective. If the goods are lacking such a guaranteed characteristic atthe time of the passing of risk, we shall at the ordering party’s discretion eliminate the defect free of charge or deliver replacement with free shipment to the original place of delivery in return for return of the defective goods weight by weight or takeback the goods against reimbursement of any payment already made.45

General terms of delivery10.General limitation of liabilitya) If our obligation to pay damages is based on only slightly negligent infringement of fundamental contractual obligations, weshall limit our liability for damages and the liability of our legal representatives or vicarious agents to the typical contractualforeseeable loss unless a case of death, physical injury or damage to health is concerned.b) If our obligation to pay damages is based on only slightly negligent infringement of non-fundamental secondary obligations,we shall exclude our liability and the liability of our legal representatives or vicarious agents unless a case of death, physicalinjury or damage to health is concerned.c) In all other cases of liability for damages due to negligent infringement of obligations, irrespective of the legal basis, our liabilityfor damages shall be limited to the typical contractual loss which is foreseeable to us.d) Alternatively, we exclude our liability for damages and the liability of our legal representatives or vicarious agents if we commita slightly negligent infringement of a contractual obligation which according to its type and consequence does not jeopardisethe purpose of the contract unless a case of death, physical injury or damage to health is concerned.e) The above provisions shall not apply to claims according to the German Product Liability Act.f) If a claim is made against us for damages arising from product liability according to Article 823 of the German Civil Code,we shall limit our liability over and above the above provisions to the compensation of our liability insurer. The insured sumis covered by a policy which typically reflects the possible losses, the contract and the articles. If the insurance does notapply or does not apply in full, then our liability, limited to the amount of the insured sum, shall remain unaffected. If the insured sum is not covered by a policy which typically reflects the possible losses, the contract and the articles, we shall limitour liability in these cases to the claim sum typical of the losses, the contract and/or the articles.g) The ordering party is obliged to take action without delay after discovering a defect so that further losses can definitely beavoided. The ordering party must provide an estimate of the expected claim sum with its notification of the defect. The orderingparty shall notify us accordingly without delay in writing after the occurrence of circumstances which may influencethe amount of the claim. If the ordering party fails to make this notification, then we shall not be obliged to reimburse financiallosses over and above this sum.11. Limitation of actionsAll warranty claims and claims for damages – for whatever cause in law – shall become statute-barred after 12 months fromthe time of delivery or performance, if a longer warranty period is agreed, at the time of its expiry.12. Third-party industrial property rights, rights to toolsa) If third-party industrial property rights are infringed in the case of deliveries according to drawings or other details of theordering party, the ordering party shall indemnify us against all claims.b) The ordering party shall not acquire any rights to the tools themselves by payment in full or in part of tool costs.13. Place of performance, place of jurisdictiona) The place of performance for all obligations arising from this contract is Ulm (Danube).b) If the ordering party is a registered merchant, the place of jurisdiction is Ulm (Danube).46
