Purchase Order Number: [_________]SCHEDULE “C”PRIVACY UNDERTAKINGThis Privacy Undertaking forms part of the agreement it is attached to (the “Agreement”) as Schedule “C”. Forthe purposes of Section 10 of the Agreement, the Supplier hereby agrees as follows:WHEREAS the Supplier (which terms includes any employee, officer, or agent of the Supplier, includingthe Representative) may be exposed to Personal Information (“Personal Information”), which must beprotected and held in strict confidence pursuant to the Privacy Act,. As a result, the Supplier agrees that:1. Definitions1.1 In this Privacy Undertaking:(a)(b)(c)“Act” means the Privacy Act, (R.S., 1985, c. P-21), as amended from time to time;“Personal Information” means personal information as defined in the Act which isdisclosed to or collected by the Supplier in the course of the performance of theAgreement; and“Privacy Coordinator” means the incumbent of the position of Privacy Coordinatorat EDC.2. Purpose2.1 The purpose of this Privacy Undertaking is:(a)(b)(c)to enable EDC to comply with its statutory obligations under the Act with respectto Personal Information;to ensure that, as a service provider to EDC, the Supplier is aware of and complieswith the requirements of the Act with respect to Personal Information; andif applicable, to enable EDC to ensure the protection of the Personal Informationin light of the potential application of the Uniting and Strengthening America byProviding Appropriate Tools Required to Intercept and Obstruct Terrorism Act(the “Patriot Act”) and any other similar foreign legislation.3. Ownership of Personal Information3.1 Unless EDC otherwise specifies, the Supplier is merely the custodian of the Personal Informationand has no ownership or control of any such Personal Information, EDC remaining the soleowner thereof.C-1
