13.3 Unless EDC has consented in writing to its disposal, the Supplier must retain all the informationdescribed in this section for six (6) years after either:a) when the Supplier receives the final payment under this Agreement, orb) until the settlement of all outstanding claims and disputes, whichever is later.During this time, the Supplier must make this information available for audit, inspection andexamination by the representatives of EDC, who may make copies and take extracts. The Suppliermust provide all reasonably required facilities for any audit and inspection and must furnish all theinformation EDC or its representatives may, from time to time, require to perform a complete orpartial audit of this Agreement.14. Relationship14.1 The parties hereto expressly acknowledge and agree that the Supplier shall render the Serviceshereunder as an independent Supplier and that the Supplier’s employees and/or agents, includingthe Representative, are not employees of EDC. As such, neither the Supplier nor any of itsemployees and/or agents, including the Representative, shall have any right to any EDC employeebenefit, entitlement or advantage.14.2 Nothing in this Agreement shall be construed as creating a partnership, joint venture or agencyrelationship between the parties, or as authorizing either party to act as agent for the other or toenter into any contracts on behalf of the other party. As such, neither the Supplier nor theRepresentative is authorized to bind or commit EDC, either actually or apparently, in any mannerwhatsoever, without express prior written authority from EDC to do so.14.3 The parties shall not extend an offer of employment to employees of the other party (including theRepresentative) for a period of two (2) months from the time Agreement is scheduled to terminate.Notwithstanding the forgoing sentence, nothing herein shall prevent either party from hiring anemployee of the other party, including the Representative, if that employee applies for a positionin response to a general advertisement or solicitation of the other party.15 Reference15.1 The Supplier and the Representative shall not make reference to EDC in any future promotionalmaterial, except as a professional reference, without the prior written authorization of EDC.Temporary Services Agreement 6
