ANNUAL REPORT 2004 TRUE CORPORATION PUBLIC COMPANY LIMITED59Insider Trading PolicyThe <strong>Company</strong> is currently in compliance with applicable laws to monitor and prevent the personal use of confidentialinformation of the <strong>Company</strong> by its management, including the use of said information for the purpose of insider trading.Material information which has not yet been disclosed will be kept confidential but will be disclosed only to the relevant seniormanagement of the <strong>Company</strong>. The relevant senior management of the <strong>Company</strong> who shall access or receive said informationare required to report their trading of shares in the <strong>Company</strong> pursuant to the Regulations of the Office of the Securities andExchange Commission Regarding Rules, Conditions, and Procedures Governing the Preparation and Disclosure of Reportson Securities Holdings, in order to prevent insider trading using internal information, and to ensure that the trading of sharesby çinsidersé of the <strong>Company</strong> is transparent.In addition, the <strong>Company</strong> has been carrying on the comparative study of the insider trading policies of various foreigninstitutions to be applied as a guideline to enhance transparency and boost the confidence in the <strong>Company</strong> amongst theanalyst and investor community.Internal ControlsAfter an assessment of the <strong>Company</strong>ûs internal controls with the Audit Committee, the Board of Directors has an opinionthat the <strong>Company</strong>ûs internal controls are adequate and suitable. Moreover, the external auditor has an opinion that they/it didnot encounter any matter involving internal controls and its operation which are considered to be material weaknesses thatcould have a material effect on the financial statements.
