The CompanyThe Company carries on the business of operating the<strong>National</strong> <strong>Lottery</strong> under Licence from the Minister for Finance inaccordance with the provisions of the <strong>National</strong> <strong>Lottery</strong> Act, 1986.80% of the issued share capital is held by An Post and 20% is heldby the Minister for Finance.2. Results for the YearThe results for the year are set out on page 40.3. Business ReviewThe information required by Section 13 of the Companies(Amendment) Act, 1986, on the development of the businessand important events, is included in the Chairman’s Statementand Review of Operations on pages 2 <strong>to</strong> 23. As described therein,the performance of the Company was again very positive withsales growing by 7.9%, in part driven by strong Lot<strong>to</strong> growth, theintroduction of the Monday Million game in 2008 and the fullyear of EuroMillions Plus.As a result, €268 million was raised for the Beneficiary Fund in2008, compared <strong>to</strong> €245 million in 2007.In moni<strong>to</strong>ring the Company’s performance, the Direc<strong>to</strong>rsand management have regard <strong>to</strong> a range of key performanceindica<strong>to</strong>rs (KPIs).KPI 2008 2007Prizes as a percentage of sales 54.1% 54.1%Operating costs as a percentage of sales 14.0% 14.4%Surplus earned as a percentage of sales 31.9% 31.5%Spend per capita €189.97 €179.42Number of retail outlets 3,675 3,623The above KPIs are within the terms of the Licence <strong>to</strong> operate the<strong>National</strong> <strong>Lottery</strong>.The key risks and uncertainties facing the future development ofthe Company include the retention of the Company’s licence <strong>to</strong>operate the <strong>National</strong> <strong>Lottery</strong>, the Company’s significant relianceupon its IT infrastructure and retailer operations, the impact ofgeneral economic fac<strong>to</strong>rs on the Company and the introductionof new games and channels. The Direc<strong>to</strong>rs have developed arange of strategies <strong>to</strong> address these and other risks faced by theCompany. The Corporate Governance Statement on page 27 setsout the Company’s policies and approach <strong>to</strong> risks and the relatedinternal control procedures and responsibilities.4. Direc<strong>to</strong>rs, Secretary and their interestsThe Direc<strong>to</strong>rs of the Company are appointed by the Minister forFinance for a fixed term, usually three years, and their conditionsof appointment and fees are set out in writing.The terms of office of Donal Connell, James Hyland and BarbaraPat<strong>to</strong>n expired on 5 November 2008. Donal Connell and JamesHyland were re-appointed from that date and Barbara Pat<strong>to</strong>nwas re-appointed on 4 December 2008. Corporate GovernanceMaintaining high standards of corporate governance continues<strong>to</strong> be a priority of the Direc<strong>to</strong>rs of An Post <strong>National</strong> <strong>Lottery</strong>Company. The Board has developed its corporate governancepolicy so as <strong>to</strong> give effect <strong>to</strong> the Code of Practice for theGovernance of State Bodies issued by the Department of Financeand <strong>to</strong> apply as appropriate the relevant main and supportingprinciples of good governance in the 2006 Combined Codeissued by the Financial Reporting Council in the UK. While theprovisions of the Combined Code are of direct relevance only <strong>to</strong>listed companies, the Board feels that their application, whereappropriate, assists the Company in its compliance with bestcorporate governance practice.The Direc<strong>to</strong>rs are accountable <strong>to</strong> the shareholders for goodcorporate governance and this report addresses how the relevantmain and supporting principles of the Code of Best Practice forthe Governance of State Bodies and the 2006 Combined Codehave been applied within An Post <strong>National</strong> <strong>Lottery</strong> Company.The BoardThe Company is controlled through its Board of Direc<strong>to</strong>rs. TheBoard’s main roles are <strong>to</strong> oversee the operation of the Company,<strong>to</strong> provide leadership <strong>to</strong> the Company, <strong>to</strong> approve the Company’sstrategic objectives and <strong>to</strong> ensure that the necessary financialand other resources are made available <strong>to</strong> enable them <strong>to</strong> meetthose objectives. The Board, which meets monthly during theyear, has a schedule of matters reserved for its approval.The specific responsibilities reserved <strong>to</strong> the Board include:setting Company strategy and approving an annual budget andmedium-term projections; reviewing operational and financialperformance; approving major capital expenditure; ensuringcompliance with the terms of the licence <strong>to</strong> operate the <strong>National</strong><strong>Lottery</strong>, reviewing the Company’s systems of financial controland risk management; ensuring that appropriate managementdevelopment and succession plans are in place; reviewingthe environmental, health and safety performance of theCompany; approving the appointment of the Company Secretary;and ensuring that a satisfac<strong>to</strong>ry dialogue takes place withshareholders.The Board has delegated the following responsibilities <strong>to</strong>management: the development and recommendation ofstrategic plans for consideration by the Board that reflect thelonger-term objectives and priorities established by the Board;implementation of the strategies and policies of the Companyas determined by the Board; moni<strong>to</strong>ring of the operating andfinancial results against plans and budgets; development ofcontrols over the operation of draws; prioritising the allocationof technical and human resources; and developing andimplementing risk management systems.5.
