And, the registration fee pervehicle is only $20!Last year’s event drew nearly 150 Britishcars of all marques, including many Rolls-Royces and Bentleys.The event starts on Saturday at 11 a.m.with registration and a fully stockedhospitality suite set up so that you can visitwith other attendees while you snack andshop for event merchandise.At about 3 p.m., there is a driver/navigatormeeting, where you get the directions forthe road rallye. This is a fun event that willtest your ability to get to your ultimatedestination (dinner) while paying attentionto specific details along the route. Don’tforget to write the driver’s name andnavigator’s name on the sheet of paper thatyou use to record the answers (this is thenumber one way to get disqualified!).At the end of the road rallye is where thegroup will eat dinner together (separatechecks). After dinner, there is free timeto explore the area or go back to the hosthotel and visit with other attendees. Lastyear, the <strong>com</strong>pany that is now buildingDeLoreans had a huge trailer set up in theparking lot and sponsored a hospitalitysuite with <strong>com</strong>plimentary beverages.On Sunday morning, after a nice breakfastat the hotel, you drive your PMC just a fewmiles from the host hotel to the beautifultree-lined area above the lake at OldSettlers Park for the participant’s choicecar show, where your PMC will be parkedwith all the other PMCs. Don’t forget yourdisplay materials (history of your car, greypoupon or whatever it may be).For your convenience, on the judging fieldyou will find a non-profit vendor servinghot coffee, donuts, breakfast tacos, etc.,for a nominal fee. And, as the morningturns into lunch time, the same vendorwill be serving grilled hamburgers, sausagewraps, etc. with all the fixings along with aselection of beverages.At the lakeside pavilion, just down the hillfrom the judging field, you can purchaseevent items and enter the charity raffle.Don’t forget to vote for your favorite car inas many as 26 categories! Voting ends at1 p.m.The awards ceremony starts at 2 p.m.Every category has 1st, 2nd and 3rd place,so your chances of winning an award aregreat.During this time there are all sorts of doorprizes given away, so don’t forget yourPMC’s event registration number.Please consider bringing your PMC to thisfun-filled, low key event. Dalewill also see about getting some of the majortools for us to use for the seminar.As I mentioned earlier, Silvey MotorCompany is our host garage this year. Theyare located about two miles from the garagewe have used in prior years. Silvey MotorCompany is owned by club membersRoss and Kari Silvey. Depending upon theweather, they have agreed to do a cookouton Saturday for lunch for those attendingthe Fall Tech Seminar.Silvey’s garage is located on over an acre ofproperty and is next to the Silvey’s residence,which is almost rural in feel even thoughthey are within the Austin city limits.The garage itself has two lifts, so everyonewill have the chance to have their cardiagnosed/evaluated and repaired (onlyif the fix is simple and the tools/parts areavailable) while the rest of us learn fromeach other, the mechanics and from theexperience.Club member Cathie Mouton is busyworking on ideas for what the ladies will beinvolved in during the Fall Tech Seminarwhile the rest of us are at the garage.Some of the events that she has set up in thepast are: Shopping and lunch, Brunch atthe Four Seasons, Central Market CookingClass, to name but a few.Homewood Suites continues to be our hosthotel. Geta larger group together and charter a busand transform your trip into a mobile partyto and from San Marcos!The 1st annual region-wide holiday party(really just an extension of a fun-filled day)will get underway Saturday evening at ourhost hotel with a delicious meal and lots ofvisiting with all your Texas region friends.This will be followed by a DJ spinning ourfavorites (and taking your requests) so thatwe can dance the night away!We want to see each and everyone of you inSan Marcos Tx for this event! A scheduled meeting of the Boardof Directors (BOD) of the Texas RegionRROC was held Sunday, February10, <strong>2008</strong> at Texas Land and CattleRestaurant in Austin, Texas. ChairmanStefano Andreucci called the meeting toorder at 1:55pm.Board members present were: Sneed Adams,Membership; Vernon Frost, Treasurer; PhillipReese, Activities Director; Steve Krazer, Editor; andCathie Mouton, David Krazer, and Eddy Bridges,Directors.Board members unable to attend were:Sharon Galvan, Secretary; Tim Myrick, ChiefJudge, and Dale Clark, Technical Chairman. Alsopresent were RROC members Dan Mouton andBuddy Shurtleff.Secretary’s Report:The last BOD meeting minutes were submittedand approved by the board. They werepublished in the LSL.National Director’s Report:Sneed Adam’s reported that the National RROCboard meeting will be February 21-24, <strong>2008</strong> inHouston, Texas. He encouraged Texas membersto attend and send their registration forms tothe national office. If anyone was interested inattending the Sweeney/<strong>Star</strong>gel dinner, please giveJohn or Mike a call. Sneed also reported thatNational is working on rewriting and updatingthe By-Laws.Membership Report:As of January 29, <strong>2008</strong> we have 253 members,which is 71.9% of last years renewals. Sneed hassent out email reminders to members who havenot renewed their dues for <strong>2008</strong>. He will give anupdate at the BOD meeting in <strong>April</strong>.Treasurer’s Report:There was a balance at the end of 2007of $18,862.45 and the current balance is$23,500.00. Vernon would like for all clubevents to break even. He reported he sent a giftbasket to the Silvey’s and Mammy and $200 wassent to the mechanics. There was a discussionof expected revenue from dues and classifiedads, approx. $10,460. The expected expensefrom the LSL is $8,000, which leaves a projectedsurplus of $2,460. Steve Krazer made a motionto accept the Treasurer’s report, and DavidKrazer made a second. The motion passedunanimously.Activities Report:Phillip reported on the <strong>2008</strong> Spring Meet andthat Dallas Bentley will donate $2,000 towardthe event. He stated that all 33 rooms that weremade available to RROC club have beentaken at the Flying L, and other local hotelsare being booked. We are expected a greatturnout for the club’s 40 th Anniversary.Discussion was held regarding the November2007 Tech Session. All agreed it was a greatsuccess and would like to have Simon Curzonreturn for this year’s meet, which Vernonvolunteered to coordinate.With a projected surplus of $2,400, the boarddiscussed the Activities Chairman be able to usethese funds for the Spring <strong>2008</strong> meet and theFall Tech Seminar as he sees the need. EddyBridges made the motion for this,and Vernon made a second. Themotion passed unanimously.The 2009 Texas Spring Meetwill be held in the Dallas area.Matt and Sela Garrett willhost this event, along with helpfrom David and Elaine Krazer.A date will be decided later, aswill the host hotel. We will nothave the club store this year,unless someone fills in for JimPowell, since he willbe unable toattend thisyears meet.This birthday cake,created by Chairman Stefano Andreuccifor Chief Judge Tim Myrick, was a big hit at theboard meeting... not to mention a delicious desert. It lasted 15seconds. Too bad Tim wasn’t there to enjoy it. Sorry, Tim!Editor’s Report:Steve reports that he is in need of technicalarticles and photos of the cars. A discussion washeld on the number of issues to be printed thisyear. He is projecting the LSL to be published 4times in <strong>2008</strong>.Chief Judge’s Report:The club has plenty of awards for now, andshould not have to purchase any until 2009.Other Business:Discussion was held regarding a Regional HolidayParty in January 2009. Sneed and Phillipwill check on hotels in the Austin area, and willpresent more information to the board at a laterdate.With no other business to discuss, a motion wasmade by Vernon Frost, and second by DavidKrazer to adjourn the meeting at 3:15 pm. Motionpassed unanimously.An electronic vote was taken by the BOD on forVernon Frost to purchase a gift for Phillip Reeseto be presented to him at the Spring Meet for allhis work in planning and organizing theMeet. Sneed Adams madea motion to accept the minutes,and Phillip Reese made a second.The motion passed unanimously and they willbe published in the next LSL.National Director’s Report:Sneed Adams submitted a written reportregarding the continued development of a newset of National By-Laws. Also, he announcedseveral National Tours and Annual Meets takingplace in the future. The Annual Meet in<strong>June</strong> <strong>2008</strong> will be in Williamsburg, VA; 2009Meet in New Orleans, LA; 2010 in Toronto,CA; 2011 in Tahoe, CA. There is also a September<strong>2008</strong> Fall Foliage Tour in Michigan;<strong>April</strong> 2009 Spring Tour in the ShenandoahValley, VA; and a <strong>April</strong> 2010 SpringTour on the Natchez Trace. Nationals hasalso announced a new Region– “Hawaii!Membership Report:Sneed Adams reported that the total TexasRegion membership is 299. In<strong>com</strong>e frommembership should be approx. $9,500.A discussion was held on ideas to increasemembership.Treasurer’s Report:Vernon Frost reported the club has $26,500after in<strong>com</strong>e from the Spring Meet, but this isbefore all bills are paid. A discussion was heldabout projected expenses for the mechanics atthe Fall Tech Session so as tobudget that item in. Guidelines for this will bepresented at the next board meeting. SharonGalvan made a motion to accept the Treasurer’sReport, and Phillip Reese gave a second. Themotion was passed unanimously.Activities Report:Phillip Reese gave an update on the Fall TechSeminar, which will be held October 31-November2. Phillip and Dale have agreed tocontact Simon Curzon and see if he is availableto <strong>com</strong>e. Both Matt and Mammy have agreedto <strong>com</strong>e back. Phillip also reminded everyoneof the Region-wide Holiday Party to be heldon Saturday, Jan. 10, 2009 in San Marcos.Details will be in the LSL. Tim Myrick madea motion to allow Phillip to <strong>com</strong>plete his planningon this event, and sign room contracts.Cathie Mouton made a second, andit passed unanimously. Phillip is alsocoordinating the details of the 2009Spring Meet with Matt Garrett.Editors Report:Steve Krazer announced the next issueof the LSL would include the membershipdirectory and Spring Meet. Hereported that the new Ladies Columnhas been well received.Chief Judge’s Report:Tim Myrick reported that there areenough plaques and ribbons for thenext Spring Meet in 2009. SharonGalvan agreed to find a trophy shopand select the plaque for the AtwellTrophy.Chairman Stefano Andreucci discussedthe plans for a summer board meetingwhich will be announced at a laterdate. The BOD discussed the factthat the Nominating Committeeshould be looking for members to runfor the BOD positions that will bevacated at the end of the year. These nameswill be presented to the BOD at their nextmeeting. If You Can’t Dodge It...Ram It!by David KrazerA few years ago, the supply of the TexasRegion RROC club badges had diminishedto the point we needed to reorder.It was put before the Texas Region boardof directors to possibly change the design,then look for a manufacturer of the newbadges. At that time, our club’s residentartist; Steve Krazer, put forth the designlogo for board approval. The new logo wasapproved and Sneed Adams was assignedthe task of locating a badge supplier.Sneed was able to secure a bid from severalbadge makers and the Board approved thepurchase of an initial order of badges. Thebadges sold very well and the Region wasable to recoup the cost of the badges - andeven made a little profit.A small problem occurred about a year orso after the badges were distributed. Thecolor resin on the face would peel off leavingonly the chrome metal backing. I hadproudly installed my beautiful Texas Regionbadge onto the front bumper of my2003 Dodge 2500 pickup - the Test Mule.I had been living in Amarillo, Texas at thetime so I chalked it up to the extremesin weather patterns there. I then foundthat I was not the only one with this issue- other members around the region wereexperiencing the same fate. We contactedthe manufacturer and found that the clearcoat was designed for a life of about 2years. They did redo some of the affectedbadges, but the “Test Mule” in Amarillodeveloped the same issue again. The boardthen decided to scrap that manufacturerand locate another one. The Board askedabout the issue of peeling with the newmanufacturer and were assured that wasnot going to be a problem.So now the Texas Region has a new andimproved badge. I am proud to say I havenot had any more peeling issues with ournew badge. But this mule had one moretest… a several weeks ago I was <strong>com</strong>ingback from taking our son, Patrick, toschool and Ford Ranger pickup truck hadstopped in front of me and, yes, I rammedmy Dodge pickup into him. Rolls-RoyceReleases FirstSketches of‘RR4’On May 27 th , Rolls-Royce Motor Carsrevealed the first design sketches of itsnext new model. Known as RR4, the caris due to be launched in 2010 and will sitalongside the Phantom model line-up. RR4will be smaller than Phantom andpowered by a new engine, unique toRolls-Royce.The design was signed off in 2007and engineering development is nowfully underway. The Goodwoodmanufacturing facilities are being<strong>com</strong>pletely reconfigured to ac<strong>com</strong>modatethe RR4, with extended paint,wood and leather shops as well as a secondassembly line. The <strong>com</strong>pany will move to atwo shift system next year as it gears up forfull production of the new model.Chief designer, Ian Cameron, said, “Effortlessperformance and standard-settinglevels of <strong>com</strong>fort and efficiency, executedwith the utmost care and attention, remainfundamentals of Rolls-Royce design. TheRR4 has a more informal presence than thePhantom models with a greater emphasison driving. ThursdayThursday was travel day to Bandera. Itwas nice to play hooky from ye ole workplace and head to the Hill Country. ThirtyMembers took the opportunity to arriveThursday afternoon and enjoy a relaxingtime greeting the many good folks we hadnot seen in 12 months. After unloading afew trailers filled with PMCs, hauling luggageup, down and about, most of us weretuckered out. As we watched the Texassun creep out of sight that meant only onething. Time to follow the tumbleweeds tothe Hospitality Suite where Cathie Moutonwas working magic with the refreshmentsand goodies. We could havestayed there all night but the dinnerbell sounded and we herdedourselves to the Flying L feed lot.It was the usual great time butmore hugs and greeting. We allate too much and the kitchen helpfinally had to shoo us out with apromise of excitement under thegreat live oak tree. The FlyingL entertainment director Buckintroduced us to Buffalo Bill andhis buffalo, Bill.Bill tried his best to convince us thatBuffalo was tame and could do tricks.I believe most of us came away from thisentertaining encounter not knowing whichwas the tame member of the duo. We didagree that the 4-legged one was cute andslobbered a lot. After this unique insightinto buffalo legend, Buck led us over tothe patio under the large oak tree where acampfire was burning. Buck found hisguitar and sang a few delicate cowboytrail songs. Beryal could not resist anda new country western duet was born thatevening under that old Texas oak tree.After Buck sang all 5 songs that he knewhe took us on a hayride through the darkcountryside looking for deer. We did notsee any deer but the stars were blinding intheir brilliance. FridayWhat a magnificent sunrise. The air wascool and still. You could not help but takea deep breath and inhale that sweet aromaof the open range. Having had a greatnight’s sleep we all wandered over to thechuck wagon to stoke the ole furnace fora day of heavy duty Hill Country touringin our shiny PMCs. Many Membersstaggered in late after dark on Thursdayand experienced the joys and excitement oftrying to find the Flying F in the dark afterthey rolled up the side walks in town andshut off the street lights.After breakfast it was calf scramble time.We all had to get our discipline in orderand line up for the tour which Phillip hadplotted west of Bandera through that incredibleHill Country. After several passesat trying to form a line we gave up anddrove off like a herd of spooked doggies ina thunderstorm. They don’t call this thehill country for nothin’! Steep climbs….hairpin turns… scenic views… wild animals…after all, it’s not every day that youget to see four large elk flat foot it over afence just to your left… cross the road…and then flat foot it over the fence on yourright… but it happened. They didn’t seemthe least bit impressed with our cars… andwere very uncooperative when asked topose for a snapshot. Then there were theguineas at the state park. Yep… guineas.We made them stand in line for their turnat the rest rooms just like the rest of us.All in all, it was a breathtaking and beautiful150 mile scenic tour. We paused ata small town nestled way off the beatentrack and enjoyed a magnificent lunch.Remaining true to our traditions we had acouple “failures to proceed” along the way.Those of you who have experienced thistime honored milestone in ownership willhave to admit that failing to proceed in theHill Country is something you can’t buyat Neiman Marcus. Nonetheless everyonemade it back to the Flying L in time foranother thought provoking happy hour atthe hospitality barn. It was truly amazingthat there were liquid refreshmentsleft over from Thursday evening’s assault.With our best western duds adorning ourdusty hides, they loaded us in the FlyingL’s open air John Deere livestock haulerand bounced and jiggled us down to GhostTown for a big time Texas BBQ dinner. Itwas great fun getting all dressed up Texasstyle and finishing the evening with linedancing lessons. We all know now whoamong us have two left feet. The newest car was a1996 Bentley Continental R owned byTerry Anderson.This year we did the judging on Saturdaymorning. This allowed for a leisurely atmosphereand plenty of time to admire thecars and chat about the important thingsin life. It was the rubycolored affair of a lifetime… to be sure.Following dinner… Chief Judge,Tim Myrick took the goldenmicrophone and announced theresult of this year’s judging. Ityou didn’t take home an awardthen you must have forgotten toput your car on the judging field.We can still hear Beryal’s reactionto learning that her SilverShadow won first place. Article I. Name of the ClubThe name of the club shall be TexasRegion, Rolls-Royce Owners’ Club, Inc.Article II. Location of the ClubThe geographical boundary for the Texas Region willbe the same as the boundary for the State of Texas.Article III. Purpose of the ClubThe purpose for which the Texas Region is founded isidentical to those outlined in Section 1, Article 4 of theBy-Laws of the Rolls Royce Owners’ Club, Inc., withparticular emphasis on activities and the interchangeof information regarding Rolls-Royce and Bentleyautomobiles domiciled in the geographical region asoutlined in Article II.Article IV. MembershipAny member of the Rolls-Royce Owners’ Club, Inc.may apply for membership in the Texas Region.Spouses or a “member of the household” (maximum ofone per active member) will have the right to vote andto hold office in the Region only if this person is also amember in good standing of the Region.Article V. DuesThe annual dues shall be determined by the Board ofDirectors of the Texas Region, and shall be in additionto the RROC, Inc. dues. Dues shall be for the calendaryear.Article VI. Officers and DirectorsThe Board of Directors shall consist of the followingpositions:• Regional Chairman• Secretary• Treasurer• Editor• Activities/Awards Chairman• Membership Chairman• Technical Chairman• Chief Judge• Three Directors at-large, not holding specific dutiesArticle VII. Terms of Officers and DirectorsOfficers shall be elected for a one-year period. The RegionalChairman shall be limited to three consecutiveterms (three consecutive years). After one interveningyear said Chairman may be eligible for re-election.30 The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong> • May–<strong>June</strong> <strong>2008</strong>Directors shall be elected for a three-year term and shallbe eligible for re-election to one additional Three-Yearterm (a total of six consecutive years). They may againbe eligible for re-election after one intervening year.Directors at-large elections shall be staggered so thatonly one director will be up for election or re-electionin any one year.The terms for the officers and directors shall begin onJanuary 1, and end on December 31 of the appropriateyear.Article VIII. Election of the Officers and DirectorsThe Regional Chairman, with approval of the Board,will appoint a nominating <strong>com</strong>mittee of a total ofthree persons. The <strong>com</strong>mittee chairman shall be theRegional Secretary. In addition to the <strong>com</strong>mitteechairman, the nominating <strong>com</strong>mittee shall consist ofone regional member at-large and one Board member.This <strong>com</strong>mittee will submit and nominate one personfor each of the officers and directors outlined in ArticleVI, after ascertaining that such member can and willserve.Ballots listing the slate of officers and directors previouslynominated shall be included with the September/October issue of The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong> and sent to alldues-paying members of the Region. (deleted: no laterthan October 30 each year) Ballots shall include spacesfor write-in candidates by the members. Additionally,ballots shall be pre-numbered or otherwise identifiableso they can be properly certified. In order for votes tobe valid they must be returned to the designated nominating<strong>com</strong>mittee member no later than the Thursdayprior to the fall board meeting, so that those electedmay be announced prior to January 1 of the ensuingyear. The designated <strong>com</strong>mittee member receivingthe ballots shall maintain the envelopes unopened andensure they are taken to the fall board meeting wherethey shall be opened and counted.Nominees receiving a simple majority of the votes castshall be deemed to be elected.Article IX. Duties of the Officers and DirectorsThe Regional Chairman shall:1. Preside at meetings of the Board of Directors.2. Appoint <strong>com</strong>mittees, and have all the powers andduties usually vested in a presiding officer. He willdetermine the date, time and location of the Board ofDirectors’ meetings, giving at least 15 days notice ofsuch meetings.3. Notify any Affiliate or Regional Officer who hasbeen suspended or removed by the Board of Directorssubject to the provisions of the laws of the State ofNew York and the procedures provided by Section VII,Article 8 of these By-Laws.4. May set the time and place for the extraordinarymeetings of the Board of Directors.5. Respond to any formal request or challenge by aRegional member as directed in Article XIV.The Secretary shall:1. Chair the nominating <strong>com</strong>mittee and oversee theElections of Officers and Directors.2. Notify the membership via The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong> ofthe place and date of the annual meeting of the Boardof Directors and membership.3. Have an assistant, if the Secretary desires, and anyother help he or she may need from time to timewithout <strong>com</strong>pensation.4. Record all minutes of the Board of Directors andsupply approved minutes to the Editor for inclusion inThe <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong>.5. Perform such other duties as may be prescribed bythe Board.The Treasurer shall:1. Be responsible for the receipt and disbursement ofthe funds of the Club, subject to the approval of theBoard of Directors.2. Keep the books or financial records of the Club andshall prepare an annual report for the presentation toand adoption by the Board of Directors in accordancewith the requirements of RROC, Inc. (National).3. Be responsible for making re<strong>com</strong>mendations regardinga budget for the succeeding year to the Board.4. Present the budget for the succeeding year to theBoard of Directors for approval.5. The fiscal year of the Club shall be the year specifiedby RROC, Inc. (National).6. Ensure that all expenditures over $1500.00 havereceived specific board approval and that checks issuedfor amounts over $1500.00 have signatures of twoofficers or directors authorized on the account. Expendituresand checks for the publication and distributionof The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong> are specifically and uniquelyexempt from this requirement.


The Activities/Awards Chairman shall:1. In partnership with the Chief Judge, select, solicitbids and procure awards for the Regional and Technicalmeets as directed by the Board of Directors.2. Select, solicit bids and procure awards for recognitionof service to the Region.3. Back up the Event Chairmen for Regional Events.4. Communicate on behalf of the region with memberswho may be ill, in the hospital or needingremembrance.5. Communicate with the Board of Directors andMembership relating to up<strong>com</strong>ing events, memberspecial circumstances.6. Select, if desired by the Activities Chairman, AreaActivities Coordinators to assist with these duties andwith activities in various parts of the Region.The Membership Chairman shall:1. Be responsible for all matters pertaining to attractingnew members and processing of new applications formembership.2. Communicate membership information receivedfrom RROC, Inc. (National) with the Activities Chairman,Area Activities Coordinators.3. Ensure that membership lists are correct and current.4. Wel<strong>com</strong>e new members with an overview of Regionalmembership benefits.The Chief Judge shall:1. Be the Chief Judge and shall be in charge of implementingNational’s judging policies2. Be Chairman of the Judging Committee and withthe help and advice of the Committee shall maintain aManual for Judges in connection therewith, which shallbe the official judging manual of the Region.3. Will prepare and distribute official judging scoresheets for use at Regional Meets. When official judgingscore sheets are used at Regional Meets no variationsfrom the provisions of that score sheet shall be allowedand, in addition, all National policies regarding judgingcurrently in effect shall be followed.4. Solicit, appoint and instruct the necessary personnelas official judges at Annual Meets.5. Be responsible for the preparation of the field andthe placing of vehicles on the field at the Annual Meets.6. The Chief Judge and the Activities Chairman shallmake presentation of awards and trophies at AnnualMeets of the Club.7. Upon request of the Board of Directors, present tothe next Board meeting, for approval, reversal or modificationof any provision of the Manual for Judges,provision of official score sheets, judging manuals orjudging policy.8. Make the final decisions of the judging of thevehicles entered at the Regional Events.The Technical Chairman shall:1. Be in charge of all matters relating to technicalseminars, technical schools, technical questions andtechnical assistance to Regions for the Club andmembers of the Club.2. If requested make final decisions regarding car safetyat meets and at all Club functions based upon Nationalstandards. Any car not meeting their requirements andstandards may be refused entrance to and participationin activities and Club functions.The Editor shall1. Be responsible for publications on behalf of theClub. It shall be his responsibility to see that thesepublications are historically and technically accurateand that they are published and distributed to themembership on a timely basis.2. Be responsible for the <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong> and any otherpublications prepared by the Region.3. Be responsible for accurately publishing the minutesof Board meetings in The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong>.4. May appoint Editors for sections of current publicationsas he sees fit.Duties of other Officers are largely self-explanatory, butmay be expanded upon or modified or more accuratelydefined by action of the Board of Directors.The Directors shall:1. Participate in Regional Board Meetings.2. Provide policy and issue resolution leadership andguidance.Quorum and Conduct of Board Meetings:• At any meeting, a simple majority of the Officers andDirectors will constitute a quorum, and a majority ofthe quorum will be able to decide any question.• Proxies are not permitted for quorum determination,for voting purposes nor for any other purpose.• Meetings shall be conducted utilizing “Robert’s Rulesof Order.”• Minutes of each Board meeting, including minutesfrom any previous Electronic Meeting as discussed inArticle X, and after board approval of said minutes,shall be published in The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong>.• The official and permanent record of the meetingminutes shall be The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong>.Succession:If the Regional Chairman is unable to serve, the Boardof Directors shall appoint a member of the Board as anInterim Chairman who will serve as Chairman untilsuch time as the elected Chairman can resume hisduties or until another Regional Chairman is electedby the membership. Should an officer or director, otherthat Regional Chairman, resign or otherwise be unableto serve, the Regional Chairman shall, with approval ofthe board, appoint a member to such position to serveuntil the next regularly scheduled election.Article X. Electronic Meetings:The Board of Directors may at its discretion move,discuss, and call for a vote any motion via electronicmedia. A motion, once made and seconded, shall bevoted upon within a one-week’s period. During thisweek, the Regional Chairman may cut off discussionearly if there is no further discussion taking placebetween members of the board. The board membersshall be asked to <strong>com</strong>plete voting within four (4) daysfollowing the cut-off of discussion. All votes shall betallied by the Secretary and announced to the boardwithin 48 hours from the close of voting.A quorum for an electronic vote shall consist of themajority of the board. Minutes of the motion and voteshall be recorded into the minutes of the next physicalmeeting of the Board of Directors.Article XI. AmendmentsThese By-Laws may be amended or altered by a simplemajority vote of the entire Board.Article XII. ConflictsNothing in these By-Laws shall be construed to conflictwith the policies of the Rolls-Royce Owners’ Club, Inc.In the event of such conflict, the By-Laws or policiesof the Rolls-Royce Owners’ Club, Inc. shall takeprecedence.Article XIII. Regional DirectoryThe Regional Directory may not be loaned, sold, copied,or used, in whole or in part, as a basis or mailinglist for any venture or for advertisement of any venture,except for those advertisements approved by the Boardof Directors for inclusion in The <strong>Lone</strong> <strong>Star</strong> <strong>Lady</strong>.Article XIV. Formal Request for InformationShould a member desire official information concerningthe conduct of the Region’s business or activities ordesire to challenge the conduct of Regional Officers orDirectors, such request or challenge must be mailed,by certified mail, return receipt requested to both theRegional Chairman and the RROC, Inc. Directoroverseeing the Texas Region (Area Director). TheChairman shall inform the entire Board of Directors.The Board of Directors of the Texas Region shall decidehow to proceed and direct the Chairman to answerthe member’s letter in writing. The chairman will alsoprovide a copy of the response to the Area Director.Article XV.
