The above-mentioned guidelinesgovern any exceptions to this rule.4.2 CorruptionEmployees may not offer, promise or grant – either directly or indirectly– undue advantages in connection with a business activity(such as payments of money, gifts or other favors and services), orapprove any such advantages. Likewise, employees may not use theirposition or influence within SCHOTT to demand, accept, guaranteeor accept guarantees of personal advantages. This applies in relationto public officials as well as with regard to other companies andbusiness partners, including their governing bodies, employees andrepresentatives.Invitations, gifts and other favors that exceed a symbolic value, arebeyond a reasonable limit and exceed the customary norms, must bedeclined politely but firmly.Employees may not pursue their own business activities or personalinterests at the expense of the interests of SCHOTT. Employees maynot enter into personal business relationships with third parties thatdo business with SCHOTT if this might have the result of favoringthem in any way. This applies in particular if the employee has ormay have a direct or indirect influence on the business relationshipbetween the third party and SCHOTT.Subcontracts, orders or consultancy agreements may not be usedas a means to grant undue favors to public officials, employees orbusiness partners or their relatives and/or business associates. Thecompensation paid to those performing services for and on behalf ofSCHOTT must be fair, proportionate to the service provided and is to be paid exclusively for legitimate services.Financial contributions to candidates for public office, to politicalparties or to voter associations are subject to the full and unrestricteddisclosure obligation.10
4.3 Business Relationships with Customers and SuppliersSCHOTT expects from its customers and suppliers that they sharethe above values and principles which SCHOTT has defined for itself in terms of its corporate responsibility, and comply with all applicable laws and regulations.4.4 Interaction with AuthoritiesSCHOTT is committed to maintaining a cooperative and open relationship with all competent authorities. This applies also to investigative authorities pursuing violations of applicable laws and regulations.In order to ensure that official measures in this sense take theircourse in the context of applicable laws and regulations while at thesame time protecting the rights of the company and its employees,SCHOTT has established general rules of proper conduct during official measures such as searches, seizures and/or investigations.The exercise of the constitutional right to defend oneself correspondsto the rule of law as understood by SCHOTT. Exercising the “right toremain silent” is not interpreted as a confession of guilt.5. Company Property, Information andConflicts of Interest5.1 Official and Personal Use of Company PropertySCHOTT has many systems and equipment, such as telephones,copiers, computers, software, internet/intranet, machines and othertools, in its offices and factory areas. All employees are obligatedto handle such company equipment with care and for the intendedpurpose. Unless the guidelines applicable in these cases specificallypermit the use for private purposes, the information and communicationssystems may be used only for company purposes and only inthe context of the existing corporate guidelines.11
