The applicable Final Terms in relation to any series of Trust Certificatesmay specify other terms and conditions which shall, to the extent so specified or to the extentinconsistent with the following Terms and Conditions, replace or modify the following Terms andConditions for the purpose of such Trust Certificates.<strong>Emaar</strong> <strong>Sukuk</strong> Limited (in its capacity as issuer, the Issuer and, in its capacity as trustee, the Trustee)has established a programme (the Programme) for the issuance of up to U.S.$2,000,000,000 inaggregate face amount of Trust Certificates.Trust Certificates issued under the Programme are issued in series (each a Series). The final terms forthis Trust Certificate (or the relevant provisions thereof) are set out in Part A of the Final Termsattached to or endorsed on this Trust Certificate which supplement these Terms and Conditions (theConditions) and may specify other terms and conditions which shall, to the extent so specified or tothe extent inconsistent with the Conditions, replace or modify the Conditions for the purposes of thisTrust Certificate. References to the applicable Final Terms are to Part A of the Final Terms (or therelevant provisions thereof) attached to or endorsed on this Trust Certificate.Each of the Trust Certificates will represent an undivided beneficial ownership interest in the TrustAssets which are held by the Trustee on trust (the Trust) for, inter alia, the benefit of the holders ofthe Trust Certificates pursuant to (i) an amended and restated Master Trust Deed (the Master TrustDeed) dated 18 January 2011 and made between the Issuer, the Trustee, <strong>Emaar</strong> Properties PJSC(<strong>Emaar</strong>) and HSBC Corporate Trustee Company (UK) Limited (the Delegate) and (ii) a supplementaltrust deed (the Supplemental Trust Deed and, together with the Master Trust Deed, the Trust Deed)having the details set out in the applicable Final Terms.In these Conditions, references to Trust Certificates shall be references to the Trust Certificates whichare the subject of the applicable Final Terms.Payments relating to the Trust Certificates will be made pursuant to an amended and restated agencyagreement dated on or about 18 January 2011 (the Agency Agreement) made between the Issuer, theTrustee, the Delegate, <strong>Emaar</strong> and HSBC Bank plc in its capacity as principal paying agent (in suchcapacity, the Principal Paying Agent, which expression shall include any successor), calculation agent(in such capacity, the Calculation Agent, which expression shall include any successor), transfer agent(in such capacity, the Transfer Agent, which expression shall include any successor) and registrar (insuch capacity, the Registrar, which expression shall include any successor). The Principal PayingAgent, the Calculation Agent, the Transfer Agent and the Registrar are together referred to in theseConditions as the Agents.The holders of the Trust Certificates (the Certificateholders) are entitled to the benefit of, are boundby, and are deemed to have notice of, all the provisions of the documents set out below, copies ofwhich are available for inspection and obtainable free of charge during normal business hours at thespecified office for the time being of the Principal Paying Agent:(a)(b)(c)(d)an amended and restated master purchase agreement between the Trustee, <strong>Emaar</strong> <strong>Sukuk</strong> Limited(in its capacity as purchaser) and <strong>Emaar</strong> Properties PJSC (in its capacity as seller) dated on orabout 18 January 2011 (the Master Purchase Agreement);the supplemental purchase agreement (the Supplemental Purchase Agreement and, together withthe Master Purchase Agreement, the Purchase Agreement) having the details set out in theapplicable Final Terms;an amended and restated master lease agreement between the Trustee, <strong>Emaar</strong> <strong>Sukuk</strong> Limited (insuch capacity, the Lessor), <strong>Emaar</strong> Properties PJSC (in such capacity, the Lessee) and theDelegate dated on or about 18 January 2011 (the Master Lease Agreement);the supplemental lease agreement (the Supplemental Lease Agreement and, together with theMaster Lease Agreement, the Lease Agreement) having the details set out in the applicable FinalTerms (including any new Supplemental Lease Agreement entered into pursuant to theSubstitution Undertaking on any substitution of Lease Assets);48

INTERPRETATION1.1 DefinitionsWords and expressions defined in the Trust Deed and the Agency Agreement or used in theapplicable Final Terms shall have the same meanings where used in the Conditions unless thecontext otherwise requires or unless otherwise stated and provided that, in the event ofinconsistency between any such document and the applicable Final Terms, the applicable FinalTerms will prevail. In addition, in these Conditions the following expressions have the followingmeanings:Calculation Agent means the Principal Paying Agent or such other Person specified in theapplicable Final Terms as the party responsible for calculating the Periodic Distribution Amountand/or such other amount(s) as may be specified in the applicable Final Terms in accordancewith Condition 8;Cancellation Date means the date on which Trust Certificates are to be cancelled as specified inthe Exercise Notice and which shall be a Periodic Distribution Date;Cancelled Lease Assets means the assets to be sold by <strong>Emaar</strong> <strong>Sukuk</strong> Limited to <strong>Emaar</strong> inaccordance with the Sale Undertaking following the delivery of, and as specified in, anapplicable Exercise Notice;Dissolution Amount means, as appropriate, the Final Dissolution Amount, the Early DissolutionAmount (Tax), the Optional Dissolution Amount (Call), the Dissolution Amount for thepurposes of Condition 15 or such other amount in the nature of a redemption amount as may49
