If you have shares entered against your name in the DepositoryRegister (as defined in Section 130A of the Companies Act, Cap. 50), you should insert that number of shares. Ifyou have shares registered in your name in the Register of Members, you should insert that number of shares. If youhave shares entered against your name in the Depository Register and shares registered in your name in the Registerof Members, you should insert the aggregate number of shares. If no number is inserted, this form of proxy will bedeemed to relate to all the shares held by you.2. A member of the Company entitled to attend and vote at a meeting of the Company is entitled to appoint not more thantwo proxies to attend and vote on his behalf. A proxy need not be a member of the Company.3. Where a member appoints more than one proxy, he shall specify the proportion of his shareholding to be representedby each proxy.4. The instrument appointing a proxy or proxies must be under the hand of the appointor or his attorney duly authorisedin writing. Where the instrument appointing a proxy or proxies is executed by a corporation, it must be executed eitherunder its common seal or under the hand of its attorney or duly authorised officer.5. A corporation which is a member of the Company may authorise by resolution of its directors or other governing bodysuch person as it thinks fit to act as its representative at the Annual General Meeting, in accordance with its Articlesof Association and Section 179 of the Companies Act, Cap. 50.6. The instrument appointing a proxy or proxies, together with the power of attorney or other authority (if any) under whichit is signed, or notarially certified copy thereof, must be deposited at the registered office of the Company at No. 3Phillip Street #14-01 Commerce Point Singapore 048693 not later than 48 hours before the time set for the AnnualGeneral Meeting.7. The Company shall be entitled to reject the instrument appointing a proxy or proxies if it is incomplete, improperlycompleted or illegible or where the true intentions of the appointor are not ascertainable from the instructions of theappointor specified in the instrument appointing a proxy or proxies. In addition, in the case of members of the Companywhose shares are entered against their names in the Depository Register, the Company may reject any instrumentappointing a proxy or proxies lodged if such members are not shown to have shares entered against their names in theDepository Register at 48 hours before the time appointed for holding the Annual General Meeting as certified by TheCentral Depository (Pte) Limited to the Company.100 • ecoWise Holdings Limited • Annual Report 2007
