ABAA <strong>Board</strong> <strong>of</strong> Directors <strong>Orientation</strong> <strong>Manual</strong>ABAA POLICY FOR BALLOTING OFFICIAL ABAA DOCUMENTSThe following is the policy which ABAA shall follow for voting on and approving anydocument that will become an <strong>of</strong>ficial ABAA document.1. VotingAll documents shall be balloted electronically to the members <strong>of</strong> the appropriatecommittee or task group.a. Four options are available to the member when voting on a document:i. Affirmativeii. Affirmative with commentsiii. Abstainiv. Negative with comments. Negative votes shall includeproposed wording change.2. Closing Date <strong>of</strong> VotesA closing date shall be established by the committee / task group and stated on theballot form. A minimum 30 day time period shall be scheduled from the time <strong>of</strong> theissuance <strong>of</strong> a ballot to its closing. All votes on the ballot item shall be accepted until11:59 pm <strong>of</strong> the date stated on the ballot document.3. Calculation <strong>of</strong> a Successful BallotA successful ballot shall require a quorum <strong>of</strong> at least 60% <strong>of</strong> the voting membersand where at least 2/3 <strong>of</strong> the quorum, vote in the affirmative. Any ballots indicatingabstentions shall be included in the 60% quorum requirement but shall not beincluded in the number <strong>of</strong> ballots when calculating whether 2/3 <strong>of</strong> the votes areAffirmative (with comments). If this requirement is not met, the document shall bereturned to the committee/group for consideration. If the given ballot item issuccessful but received Negative votes which include both the rationale for theNegative vote as well as a proposed modification <strong>of</strong> the wording, then the processoutlined below shall be followed.4. Handling CommentsThe ABAA <strong>of</strong>fice shall compile all comments, the rationale for those comments andproposed modifications into an ABAA Comment Form. The ABAA <strong>of</strong>fice shalldevelop a first draft response to the comments by using either the proposedmodification or suggest alternative language. In drafting the responses to thecomments, the original document may require modification to harmonize theresponse to the comments. The completed ABAA Comment Form shall bedistributed to the members <strong>of</strong> the committee/task group for review.The ABAA <strong>of</strong>fice shall provide each individual commenter with the ABAA <strong>of</strong>fice draftresponse to their individual comment(s) and proposed modification to the ballot item.If the ABAA <strong>of</strong>fice draft response addresses the Negative vote to the satisfaction <strong>of</strong>the commenter, then the commenter shall have the opportunity to change their voteto Abstain or Affirmative (with comments).2013 <strong>Board</strong> <strong>of</strong> Directors <strong>Orientation</strong> <strong>Manual</strong> Page 20 <strong>of</strong> 59
