such day, time and place as may have been specified for the purpose in the noticeconvening the meeting or (if not so specified) as the chairman <strong>of</strong> the meeting maydetermine.51 AdjournmentThe chairman <strong>of</strong> any General Meeting at which a quorum is present may with the consent<strong>of</strong> the meeting (and shall if so directed by the meeting) adjourn the meeting from time totime (or sine die) and from place to place, but no business shall be transacted at anyadjourned meeting except business which might lawfully have been transacted at themeeting from which the adjournment took place. Where a meeting is adjourned sine die,the time and place for the adjourned meeting shall be fixed by the Directors. When ameeting is adjourned for 30 days or more or sine die, not less than seven days’ notice <strong>of</strong> theadjourned meeting shall be given in accordance, mutatis mutandis with <strong>Articles</strong> 46 and 47.52 Notice <strong>of</strong> adjourned meetingSave as hereinbefore expressly provided, it shall not be necessary to give any notice <strong>of</strong> anadjournment or <strong>of</strong> the business to be transacted at an adjourned meeting.53 Amendments to resolutions and other issues53.1 If an amendment shall be proposed to any resolution under consideration but shall in goodfaith be ruled out <strong>of</strong> order by the chairman <strong>of</strong> the meeting the proceedings on thesubstantive resolution shall not be invalidated by any error in such ruling. In the case <strong>of</strong> aresolution duly proposed as a Special Resolution, no amendment thereto (other than a mereclerical amendment to correct a patent error) may in any event be considered or votedupon.53.2 The Directors may make any security arrangements which they consider appropriaterelating to the holding <strong>of</strong> a General Meeting <strong>of</strong> the Company or a separate meeting <strong>of</strong> theholders <strong>of</strong> any class <strong>of</strong> shares <strong>of</strong> the Company, including, without limitation, arranging forany person attending a meeting to be searched and for items <strong>of</strong> personal property whichmay be taken into a meeting to be restricted. A Director or the Secretary may refuse entryto a meeting to any person who refuses to comply with any such arrangements.53.3 If it appears to the chairman that the place <strong>of</strong> the meeting specified in the notice conveningthe meeting is inadequate to accommodate all persons entitled and wishing to attend, themeeting is duly constituted and its proceedings are valid if the chairman is satisfied thatadequate facilities are available, whether at the place <strong>of</strong> the meeting or elsewhere, to ensurethat each such person who is unable to be accommodated at the place <strong>of</strong> the meeting is ableto participate in the business for which the meeting has been convened and to hear and seeall persons present who speak, whether by use <strong>of</strong> microphones, loud-speakers, audio-visualcommunications equipment or otherwise (whether in use when these <strong>Articles</strong> are adoptedor developed subsequently).54 Demand for pollPOLLSA09099335/0.6/04 Mar 2008 - 18 -
