aware, but any member or holder <strong>of</strong> debentures to whom a copy <strong>of</strong> these documents hasnot been sent shall be entitled to receive a copy free <strong>of</strong> charge on application at the Office.127 Validity <strong>of</strong> Auditor’s actsAUDITORSSubject to the provisions <strong>of</strong> the Statutes, all acts done by any person acting as an Auditorshall, as regards all persons dealing in good faith with the Company, be valid,notwithstanding that there was some defect in his appointment or that he was at the time <strong>of</strong>his appointment not qualified for appointment or subsequently became disqualified.128 Auditor’s right to attend General MeetingsAn Auditor shall be entitled to attend any General Meeting and to receive all notices <strong>of</strong> andother communications relating to any General Meeting which any member is entitled toreceive and to be heard at any General Meeting on any part <strong>of</strong> the business <strong>of</strong> the meetingwhich concerns him as Auditor.129 Service <strong>of</strong> notices etcCOMMUNICATION WITH MEMBERS129.1 The Company may, subject to and in accordance with the Companies Act 2006 and these<strong>Articles</strong>, send or supply all types <strong>of</strong> notices, documents or information to members byelectronic means and/or by means <strong>of</strong> a website.129.2 The Company Communications Provisions have effect for the purposes <strong>of</strong> any provision <strong>of</strong>the Companies Acts or these <strong>Articles</strong> that authorises or requires notices, documents orinformation to be sent or supplied by or to the Company.129.3 Any notice, document or information (including a share certificate) which is sent orsupplied by the Company in hard copy form or in electronic form but to be delivered otherthan by electronic means and which is sent by pre-paid post and properly addressed shallbe deemed to have been received by the intended recipient at the expiration <strong>of</strong> 24 hours (or,where second class mail is employed, 48 hours) after the time it was posted, and in provingsuch receipt it shall be sufficient to show that such notice, document or information wasproperly addressed, pre-paid and posted.129.4 Any notice, document or information which is sent or supplied by the Company byelectronic means shall be deemed to have been received by the intended recipient 24 hoursafter the time it was sent, and in proving such receipt it shall be sufficient to show that suchnotice, document or information was properly addressed.129.5 Any notice, document or information which is sent or supplied by the Company by means<strong>of</strong> a website shall be deemed to have been received when the material was first madeavailable on the website or, if later, when the recipient received (or is deemed to havereceived) notice <strong>of</strong> the fact that the material was available on the website.A09099335/0.6/04 Mar 2008 - 51 -
