2 <str<strong>on</strong>g>Public</str<strong>on</strong>g> <str<strong>on</strong>g>C<strong>on</strong>sultati<strong>on</strong></str<strong>on</strong>g> Process <strong>and</strong> Schedule2.1 Objective <strong>and</strong> Aim of the <str<strong>on</strong>g>C<strong>on</strong>sultati<strong>on</strong></str<strong>on</strong>g>:CITC invites all members of the public, including private individuals, public organizati<strong>on</strong>s, <strong>and</strong>commercial entities who register with the CITC (together, the “Resp<strong>on</strong>dents”) to participate inthis c<strong>on</strong>sultati<strong>on</strong> <str<strong>on</strong>g>Public</str<strong>on</strong>g> <str<strong>on</strong>g>C<strong>on</strong>sultati<strong>on</strong></str<strong>on</strong>g> Process.The objective of this c<strong>on</strong>sultati<strong>on</strong> <strong>process</strong> is to provide Resp<strong>on</strong>dents with the opportunity toprovide comments to CITC <strong>on</strong>(i) <strong>Bankruptcy</strong> <strong>Review</strong> Process Document (attachment 1)(ii) <strong>Mergers</strong> & Acquisiti<strong>on</strong>s <strong>Review</strong> Process Ddocument (attachment 2)CITC welcomes all comments <strong>and</strong> encourages participants to support their viewswith relevant data, analysis, benchmarking studies, <strong>and</strong> informati<strong>on</strong> based <strong>on</strong> the nati<strong>on</strong>alsituati<strong>on</strong> or <strong>on</strong> the experience of other countries to support their comments. All comments must bereceived by CITC no later than 24/5/1431 H , corresp<strong>on</strong>ding to 8/5/2010 G2.3 <str<strong>on</strong>g>Public</str<strong>on</strong>g>ati<strong>on</strong> of Submissi<strong>on</strong>s <strong>and</strong> the Treatment of C<strong>on</strong>fidentialityClaimsThe following methodology will apply to the publicati<strong>on</strong> of submissi<strong>on</strong>s <strong>and</strong> any claim ofc<strong>on</strong>fidentiality by Resp<strong>on</strong>dents in relati<strong>on</strong> to a document filed with CITC in relati<strong>on</strong> to thispublic c<strong>on</strong>sultati<strong>on</strong> <strong>process</strong>:(1) Where a document is filed with CITC by a Resp<strong>on</strong>dent in relati<strong>on</strong> to this proceeding, CITCshall place a copy of the document <strong>on</strong> the CITC website at http://www.citc.gov.sa unless theResp<strong>on</strong>dent asserts a claim of c<strong>on</strong>fidentiality, as regards part(s) or all of the document, at thetime of such filing.(2) Each claim for c<strong>on</strong>fidentiality made in c<strong>on</strong>necti<strong>on</strong> with a document filed with CITC orrequested by CITC shall be accompanied by written reas<strong>on</strong>s for such c<strong>on</strong>fidentiality claim.Any such claim for c<strong>on</strong>fidentiality shall itself be placed <strong>on</strong> the public record <strong>on</strong> the CITCwebsite.(3) Where it is asserted that specific direct harm would be caused to the Resp<strong>on</strong>dent claimingc<strong>on</strong>fidentiality, sufficient details shall be provided as to the nature <strong>and</strong> extent of such harm. no justificati<strong>on</strong> is provided as to why the informati<strong>on</strong> should be designated as c<strong>on</strong>fidentialinformati<strong>on</strong>, then CITC will assume that it is n<strong>on</strong>-c<strong>on</strong>fidential <strong>and</strong> may, subject to subsecti<strong>on</strong>(8) below, decide to place the informati<strong>on</strong> <strong>on</strong> the public record <strong>on</strong> the CITC website.(4) CITC will <strong>on</strong>ly c<strong>on</strong>sider claims of c<strong>on</strong>fidentiality that meet the definiti<strong>on</strong> of “C<strong>on</strong>fidentialInformati<strong>on</strong>” set forth at secti<strong>on</strong> 11.1 of the Rules of Procedure. If a claim of c<strong>on</strong>fidentiality ismade in relati<strong>on</strong> to informati<strong>on</strong> that does not meet the definiti<strong>on</strong> of “C<strong>on</strong>fidential Informati<strong>on</strong>”set forth in the Rules of Procedure, then CITC may, subject to subsecti<strong>on</strong> (8) below, decide toplace the informati<strong>on</strong> <strong>on</strong> the public record <strong>on</strong> the CITC website.(5) A Resp<strong>on</strong>dent claiming c<strong>on</strong>fidentiality in c<strong>on</strong>necti<strong>on</strong> with a document shall file with CITCeither an abridged versi<strong>on</strong> of the document to be placed <strong>on</strong> the public record in which thec<strong>on</strong>fidential informati<strong>on</strong> in the document has been removed or, where the entire document isdeemed to be c<strong>on</strong>fidential, reas<strong>on</strong>s for objecting to the filing of an abridged versi<strong>on</strong> thereof.Abridged versi<strong>on</strong>s of documents should be submitted in an electr<strong>on</strong>ic format that may beedited (such as MS Word or MS Excel) <strong>and</strong> should be edited by the Resp<strong>on</strong>dent in a mannerthat facilitates a determinati<strong>on</strong> of the places where <strong>and</strong> the extent to which informati<strong>on</strong> hasbeen omitted (for example, by means of use of square brackets or hash marks - ##). Wherethe abridged versi<strong>on</strong> of the document substantially eliminates the utility of that document,CITC may take the Resp<strong>on</strong>dent’s failure or unwillingness to provide the informati<strong>on</strong> intoaccount in reaching its decisi<strong>on</strong> in the proceeding.(6) Any registered party to the public c<strong>on</strong>sultati<strong>on</strong> <strong>process</strong> wishing the public disclosure of adocument in respect of which there has been a claim for c<strong>on</strong>fidentiality may file with CITCwithin 5 days of the publicati<strong>on</strong> of the c<strong>on</strong>fidentiality claim:(a) a request for such disclosure setting out the reas<strong>on</strong>s thereof, including the public interestin the disclosure of all informati<strong>on</strong> relevant to CITC’s regulatory resp<strong>on</strong>sibilities; <strong>and</strong>(b) any material in support of the reas<strong>on</strong>s for public disclosure.(7) A copy of a request for the public disclosure of a document shall be served <strong>on</strong> theResp<strong>on</strong>dent claiming c<strong>on</strong>fidentiality <strong>and</strong> that Resp<strong>on</strong>dent may, unless CITC otherwisedetermines, file a reply with CITC within 5 days after the date of service of the request <strong>and</strong>shall, where a reply is filed, serve a copy thereof <strong>on</strong> the party requesting public disclosure.(8) Where CITC of its own moti<strong>on</strong> requests that a document be placed <strong>on</strong> the public record,the Resp<strong>on</strong>dent claiming c<strong>on</strong>fidentiality shall have 5 days to file a reply, unless CITCotherwise determines.(9) Where CITC is of the opini<strong>on</strong> that, based <strong>on</strong> all the material before it, no specific directharm would be likely to result from disclosure, or where any such specific direct harm isshown but the benefits of disclosure outweigh any harm to the pers<strong>on</strong> who submitted theinformati<strong>on</strong>, CITC may issue a decisi<strong>on</strong> to order that the document be placed <strong>on</strong> the publicrecord.(10) Where CITC is of the opini<strong>on</strong> that, based <strong>on</strong> all the material before it, the specific directharm likely to result from public disclosure justifies a claim for c<strong>on</strong>fidentiality, CITC may(a) order that the document not be placed <strong>on</strong> the public record;(b) order disclosure of an abridged versi<strong>on</strong> of the document; or(c) order that some or all parts of the document be verbally disclosed, to the resp<strong>on</strong>dents at ahearing to be c<strong>on</strong>ducted.5


2. 4 Methodology of providing the comments:Participants are requested to indicate the document title, the Chapter <strong>and</strong> Secti<strong>on</strong>/subsecti<strong>on</strong>/ the clause(s) number in the proposed guidelines. If comments are moreextensive than this format allows, then kindly provide attachments bearing the appropriatereference to this documents.6
