• The committee reviewed the System of Internal<br />

Financial Control (‘SIFC’) in conjunction with the<br />

internal auditor.<br />

• The committee reviewed IAASA’s Risk Register<br />

and framework based on its own assessment,<br />

input from the executive and a detailed review<br />

by the Board at its annual strategic review day.<br />

• The committee reviewed the 2013 Financial<br />

Statements and recommended their approval by<br />

the directors.<br />

• The committee reviewed the 2013 <strong>Annual</strong><br />

Report to the Minister, and considered the<br />

Report understandable, consistent and unbiased.<br />

• Detailed ‘whistle-blowing’ procedures remained<br />

in place throughout the period.<br />

• As alluded to above, IAASA’s internal auditor<br />

completed a detailed audit of the SIFC, including<br />

testing of IAASA’s compliance with the Irish<br />

Code. The committee satisfied itself that no<br />

material instances of non-compliance arose<br />

during the year under review.<br />

• The committee met with the internal auditors,<br />

BDO on two occasions during the year.<br />

• As mandated by the Act, the C&AG remained<br />

and remains IAASA’s external auditor.<br />

External audit (section 6.6)<br />

• The C&AG carried out its audit of the 2013<br />

Financial Statements and cleared said<br />

Statements for approval by the directors.<br />

• A representative of the C&AG attended the AGM<br />

on 15 July 2014 and read the C&AG Audit Opinion.<br />

Other matters (section 6.8)<br />

• A report from the Chairperson of the audit<br />

committee to the Board was given at each<br />

Board meeting in 2014.<br />

• Based on an internal audit recommendation,<br />

the committee noted the compilation of an<br />

Employee Handbook during the year.
